Service Agreement
This Agreement is made between
(1) Mathpresso Inc. (hereinafter referred to as “the Company”), a company registered in Republic of Korea; and
(2) __________________________ (hereinafter referred to as “the Service Provider”), an individual with a legal
address at ____________________________________________________________________________________.
in consideration of the mutual covenants herein contained, the parties agree as follows:
Article 1 【Purpose of the Agreement and Service to be rendered by the Service Provider】
The Purpose of the Agreement is to agree on conditions in consideration of service to be provided to the Company by the
Service Provider. The Services shall include, but are not limited to, the following:
1. Monitor and evaluate the amount of work done and error-rate based on the guidelines provided by the
Company, using the designated platform; and
2. File a report and take further actions for the amount of work done and error-rate which fail to comply with the
suggested standard, as per the guidelines provided by the Company
Article 2 【Agreement Period】
The Agreement will be effective from _ (hereinafter referred to as "The Effective Date"). The Agreement will be
terminated after two (2) weeks from The Effective Date, and the Agreement period is subject to extension upon mutual
agreement.
Article 3 【Remuneration and Penalties】
The Company shall pay the Service Provider as per the mutually agreed compensation scheme and the payment schedule.
The Company will share the Service Provider with the details of the compensation scheme and the payment schedule, and
with the changes in the same, if any, in a written format. All the written notices made by the Company and shared via email,
social messenger such as Whatsapp, Slack, LINE, Zalo, etc. or any other medium (hereinafter collectively referred to as “The
Notice”) shall have legal effectiveness. When there are multiple Notices and their details conflict, the most recent Notice
shall function as the effective compensation scheme and the payment schedule.
In case the Service Provider is found to be carrying out an act of abusing or any activities which the Company does not
approve, penalties as per the following shall be applied:
1. The Agreement shall be terminated immediately with no balance payment;
2. The Service Provider shall be excluded from the future projects from the Company;
3. The Company can demand the refund of all the previous payments or USD 1,000, whichever is greater; and
4. The Service Provider shall compensate the Company for the damages caused by the aforementioned activities
Acts of abusing out of this Agreement shall be defined in The Notice made by the Company.
Article 4 【Confidentiality】
The Service Provider shall not, during the term of the Agreement or thereafter, for any cause whatsoever, disclose to any
third party any such trade secrets or confidential or business information, directly or indirectly. The Service Provider will be
responsible for all consequences related to the breach of Article 4.
Article 5 【Provision of Information】
The Company agrees to provide the Service Provider necessary information to carry out the agreed Service
Article 6 【Conditions of Service Provision】

1. Both parties will mutual agree on working time, location and any related conditions.
2. If the scope of Service changes, both parties can change its conditions on mutual agreement.
Article 7 【Termination】
The Company and the Service Provider can terminate the agreement on the following instances:
1. The Service Provider fails to provide the agreed service without prior notice or acceptable reason by the Company;
or
2. The Service Provider is found to be carrying out an act of abusing or any activites which the Company does not
approve
The Article 4 and any additional agreements in relation to Article 4 are effective and the Service Provider is committed to
keep confidentiality and non-disclosure as per Article 4 and any additional agreements in relation to Article 4 even after the
Termination of this Agreement.
Article 8 【Governing Law and Jurisdiction】
This Agreement shall be governed by and construed in accordance with the laws of Republic of Korea, Seoul Central District
Court.
Both parties acknowledge that this Agreement shall be electronically signed. The Service Provider confirms the above
Articles and to have received the copy of the Agreement.
