Franchise Agreement

This Franchise Agreement is entered into by Juan De la Cruz(Juan Macchiato Coffee Owner) ,
at legal age (30 years old) residing at Lahug, Cebu City and Carlos Jimenez at legal (28 years
old), residing at Sanciangko, Cebu City, who wants to franchise Juan Macchiato Coffee.

Grant of Franchisee

This Franchise Agreement grants Mr. Carlos Jimenez’s Franchise to use the Trademark of Juan
Macchiato Coffee that he is planning to build in Parian Street, Cebu City. The right given to
[Link] De la Cruz for the use of Juan Macchiato Coffee Trademark will last only on May 25,
2030 (7 years). With this right given to Mr. Carlos Jimenez, he is only allowed to sell Coffee
supplied by Juan Macchiato Coffee supplier.

Mr. Carlos Jimenez can start his business for Juan Macchiato Coffee anytime starting from the
effectivity of this Franchise Agreement.

In case of breach of contract, a legal action will be filed against Mr. Carlos Jimenez and will be
liable for Damages and a Penalty of P10,000,000 and automatic cancellation of this Franchise
Agreement.
