Interior Design Contract

This Remodeling Contract (hereinafter “Contract”, “Agreement”) is entered into on


___________________ (the “Effective Date”), by and between
____________________________, with an address of ____________________________
(hereinafter referred to as the “Interior Designer”) and ____________________________, with
an address of ____________________________ (hereinafter referred to as the “Client”), also
individually referred to as “Party” and collectively “the Parties”.

The Interior Designer commits to providing the Client with expertise and services, whereas the
Client commits to providing the Interior Designer with compensation for such expertise and
services.

The Client hereby agrees that they own the property found at: __________________________
______________________________ (the “Property”) and/or hold the rights necessary to
engage the Interior Designer in performing the services.

I. Services

The Interior Designer agrees to perform the following Interior Design services (hereinafter “the
Services”) for the Client:

II. Compensation

The Client hereby agrees to pay the Interior Designer for the Services in accordance with the
following terms:

The Interior Designer will provide a full breakdown of all costs upon the Client’s request.

The Client hereby agrees to pay the Interior Designer for the Services in accordance with the
following terms:

- Both Parties hereby agree that the Interior Designer will invoice the Client, every month,
for the Services provided.
- Both Parties hereby agree that the Services provided will incur a cost of _____ per hour.
- The Client understands that the invoices have to be paid within _______________ days
from the moment they were issued. In an event in which an invoice is not paid within
the number of days aforementioned, the Interior Designer is entitled to charge a late fee
of ______________________.

The Interior Designer shall require written consent before engaging in extra Services that might
incur further costs. The Interior Designer will provide a full breakdown of all costs upon the
Client’s request.

III. Changes in the services

In an event in which the Client requests reasonable changes to the Services described in section
1, the said changes must be in writing and signed by both Parties. The Client hereby
acknowledges that changes to the Services may result in additional charges and affect the
Schedule agreed upon in Section 3.

IV. Interior Design Schedule

The Interior Designer hereby commits to completing the Services according to the following
schedule:

V. Obligations

5.1. Interior Designer. The Interior Designer commits to respecting all the required
regulations from the Government or other public authorities for the safety of persons
and of the Property. The Interior Designer agrees to bear responsibility for taking safety
precautions when performing the Services.

5.2. Client. The Client agrees to provide the Interior Designer with full access to the
Property for the purpose of performing the services. The Client agrees to maintain the
Property so as to allow the Interior Designer to perform the Services.

VI. Insurance

The Interior Designer agrees that it is under their responsibility to purchase an insurance policy
for the services performed at the Property.

The Interior Designer vows that they are adequately insured for the safety of its
employees/subcontractors and any other kind of loss or injury. The Interior Designer
additionally vows that they are insured for any kind of damages and/or losses experienced at
the Property, as the Interior Designer or its employees/subcontractors perform their Services.

VII. Termination

This Agreement may be terminated under any of the following terms:

1. Either Party may terminate this Agreement at any time by providing the other Party
with a thirty (30) day written notice.
2. The Interior Designer is entitled to terminate this Agreement at any time, if the Client
breaches any term of this Agreement or if the Client fails to pay for the Services. The
Interior Designer shall be reimbursed for any outstanding payment, invoice or expense
related to the Services.
3. The Client is entitled to terminate this Agreement at any time, if the Interior Designer
breaches any term of this Agreement or if the Interior Designer fails to provide the
Services agreed upon. The Client shall be reimbursed for any outstanding Service that
was not received.

Upon terminating the Contract, the Client shall return all the Interior Designer’s products
and/or content within _________________ days.

The Agreement shall automatically end upon the completion of the Services and delivery of the
compensation.

VIII. Events Beyond The Interior Designer’s Control

In an event in which the Interior Designer is not able to deliver the Services by the Completion
Date, due to reasons that are not under the control of the Interior Designer (e.g. logistical
reasons for supplies deliveries, new laws that are enforced by the Government, etc) OR because
of reasons that are beyond the Interior Designer’s control (e.g. fire, acts of God, vandalism,
etc.), the Interior Designer will not have breached this Contract and the Completion Date will be
rescheduled accordingly, at a date that is agreeable to both Parties. Consequently, the payment
terms will be extended to the same degree to which the Completion Date has been
rescheduled.

IX. Indemnity

The Parties agree to indemnify each other as well as related affiliates, officers, agents,
permitted successors and/or employees and assigns against any and all kinds of claims, losses,
liabilities, penalties, damages, punitive damages, expenses, reasonable legal fees and costs of
any kind whatsoever, which may result from negligence or breach of this Contract by the

indemnifying Party, its respective successors and assigns that occur in connection with this
Contract.

In addition to the above, this section will remain in full force and tact as well as effective after
the termination of the Contract by its natural termination or the early termination by either
Party.

X. Relationship between the Parties

The Parties agree that this Contract is a non-exclusive agreement, where both Parties are
regarded as individual parties and not as employees. This Agreement does not constitute the
basis for a partnership, employment, joint venture or any other relationship between the
Interior Designer and the Client with fiduciary duties.

This Agreement does not create any other partnership between the Parties.

XI. Representations and Warranties

The Contract is a legally binding agreement between both Parties, as stated above. The Parties
each represent that they have the authority to enter into this Contract.

Both Parties commit to not violating the rights of any third party or otherwise violate other, if
any, agreements made between them and/or any other business entity or governmental
organization.

XII. Waiver

The failure by either of the Parties to exercise their rights, power and/or privileges under the
terms of this Agreement will not be considered as a waiver of any subsequent/future/other
exercises of that right, power and/or privileges,

XIII. Legal Fees

In the case in which legal action takes place, the successful Party will be entitled to its legal fees,
including but not limited to its attorneys’ fees.

XIV. Severability

In an event where any provision of the Contract has been found to be void and/or
unenforceable by a court of competent jurisdiction, the remaining provisions will remain
enforceable according to the Parties’ information.

XV. Legal and Binding Agreement

The Contract is a legally binding agreement between both Parties, as stated above. The Parties
each represent that they have the authority to enter into this Contract.

XVI. Governing Law and Jurisdiction

The Parties agree that this Contract shall be governed and construed in accordance with the
laws of _______________________________________________________________________.

XVII. Entire Agreement

This Contract contains the entire agreement and understanding among the Parties hereto with
respect to the subject matter hereof. This Contract supersedes all prior agreements,
understandings, inducements and conditions, express or implied, oral or written, of any nature
whatsoever with respect to the subject matter hereof. In the event that the Parties desire to
change, add, or modify any of the terms agreed upon in this Contract, they shall do so in
writing to be signed by both parties.
