was establish on January 2019. The owner of the company is practicing event management skills
most of his life together with the owner of its partner company, Maharlika Events Specialist. As a

are suitable for a specific occasion.
For us to cope up with the trends of 21st Century events industry, the member of the company is
attending national and international Event Management Conference for us to offer satisfying ideas

Commercial Partner will:
a. Sign this Memorandum of Agreement (MOA)
b. Terms of Payment: Give the organization, P 199,409.00 through cash/check/x-deal by (date) in
exchange for the promotional benefits specified in the sponsorship package.

least two weeks before the activity.

CONTRACT OF AGREEMENT
This Agreement is made effective as of April 22, 2019, by and between J.L. EVENTS EXPERT and
Client’s Name(s): Ms. Jeanette SG. San Jose. In this Agreement, the party who is contracting to
provide services shall be referred to as J.L. EVENTS EXPERT and the party who will be receiving the
services shall be referred to as “Client(s)”.
J.L. EVENTS EXPERT requires that all vendors be selected from their list of preferred caterers, rental
agencies, print companies, wedding officiates, ministers, musicians, bands, D J’s, on-site childcare
providers, entertainment, photographers and cinematographer, pastry chefs, hotels, lodges and
private estate properties, unless specified and agreed upon by the parties of this agreement. These
vendors and service providers have demonstrated superior professionalism and service
contributing to the development of a successful business relationship with J.L. EVENTS EXPERT and
all of their clients. Accommodations may be made to accept outside vendors on a limited basis. In
this event, J.L. EVENTS EXPERT will not be liable for damages due to the act(s) of the outside
vendor.
The Client or agent of the Client represents that the Client plans the SEMINAR FOR PRIMARY
TEACHERS (event) to take place on the exact date of JUNE 15,2019 (date) for 75 (guests) and they
desire to have event planning, coordination, and related products and services provided by with J.L.
EVENTS EXPERT. Therefore, the parties agree as follows:
1) DESCRIPTION OF SERVICES: with J.L. EVENTS EXPERT will provide the following event planning,
event coordination, on-site decorating, and/or other related products and services (initial each
applicable service):
______Needs Assessment & Consultation: Initial meeting with you to discuss & define the
fundamental objective underlying your investment of time, energy and resources required to
produce the event, and subsequently provide you with an event framework that most directly,
efficiently and effectively achieves these objectives.
______Scheduling: Manage schedules to ensure that the VIP (you) arrives on time to meetings and
events relative to your Wedding and Reception (event). Scheduling duties include booking
events, making arrangements and managing daily meetings with vendors and their support staff.
Upon request, the Event Coordinator may attend as your representative for an additional fee.
______Correspondence: Review and respond to the correspondence that you receive relative to
your Wedding and Reception (event).
______Rentals: Consultation, Coordination & On-site Management on the day of the event.
.2) COMPENSATION FOR SERVICES: (a) The Client(s) or agent for the Client(s), agree to pay an initial
non-refundable retainer of PHP 75, 304.5.00 and a PHP 5,000 nonrefundable deposit for event
styling expenses. This payment serves as a retainer, and is due and payable at the time of contract
signature. The client agrees to pay their consultant with with J.L. EVENTS EXPERT a total of 50%
of the event total after all fees, services, and taxes are applied and are payable in full at the time of
full payment or monthly with installment payments.
(b) The remaining payment of PHP 99, 704.5.00 will be due within 3 MONTHS of execution of this
contract. All subsequent charges will be billed within 3 days of occurrence, and will be due within 7
days of receipt of said billing. This billing will include required deposits for all additional services
required, payment for additional coordination/consultation time at a rate of PHP 150 per hour and
additional expenses incurred for phone, postage and shipping, etc. All remaining balance must be
paid within 10 days of the Client's event. All subsequent expenses incurred will be billed within 7
days of the conclusion of the event. Billable coordination time includes additional time spent both
on behalf of the Client(s) and time spent in communication with the Client(s) or their agents,
vendors or guests. In-house installment payment terms are bound by a separate contract.
3) DATE CHANGES: In the event the Client(s) are forced to change the date of the Event, every
effort will be made by with J.L. EVENTS EXPERT and staff to transfer location reservations, sub-
contractors and the Event Coordinator’s support to the new date. The Client(s) agree that in the
event of a date change any expenses including, but not limited to deposits and fees, which are non-
refundable and non-transferable are the sole responsibility of the Client(s). There may also be
additional charges above and
beyond those set forth in paragraph 2 above. The Client(s) further understand that last minute
changes can impact the quality of the event and that with J.L. EVENTS EXPERT is not responsible for
these compromises in quality.
4) CANCELLATIONS: Due to the nature of this business, all monies paid to with J.L. EVENTS EXPERT
is non-refundable for any reason. In the event of a cancellation all payments made to date are non-
refundable and all outstanding payments, up to the full remaining event balance, will be due
immediately.
5) REMEDIES: In the event with J.L. EVENTS EXPERT is unable to collect the required payments for
any reason the following may apply: (a) Day 1-5: A late fee of 15% of the payment will be incurred;
(b) Day 6-10: All coordination efforts will cease; (c) Day 11: All location and sub-contractor
reservations made on behalf of the Client(s) will be canceled and collection efforts for any
remaining debt to with J.L. EVENTS EXPERT will commence.
6) ACCOMMODATIONS: The Client(s) agrees that any property retained by with J.L. EVENTS
EXPERT on behalf of the Client(s) may require a separate contract.
8) ENTIRE AGREEMENT: This Agreement contains the entire agreement of the parties except as
noted in any paragraph above, and there are no other promises or conditions in any other
agreement whether oral or written. This Agreement supersedes any prior written or oral
agreements between the parties.
10) RELEASE OF LIABILITY: (a) The clients agree to waive, release, and discharge from any and all
liability, including but not limited to, liability arising from the negligence or fault for death,
disability, personal injury, property damage, property theft, or actions of any kind which may
hereafter occur to the client or any guest, including travel to and from this event, with J.L. EVENTS
EXPERT, its employees, volunteers, representatives, and agents, event holders, event sponsors, or
any other representative associated with with J.L. EVENTS EXPERT (b) The clients indemnify, hold
harmless, and promise not to sue with J.L. EVENTS EXPERT or persons mentioned in this paragraph
from any and all liabilities or claims made as a result of participation in this activity or event,
whether caused by the negligence of release or otherwise. The clients agree that with J.L. EVENTS
EXPERT, its employees, volunteers, representatives, and agents, event holders, event sponsors, or
any other representative associated with with J.L. EVENTS EXPERT are NOT responsible for the
errors, omissions, acts, or failures to act of any party or entity conducting a specific event or activity
on behalf of with J.L. EVENTS EXPERT.
(c) The clients acknowledge that this activity or event may involve physical activity, and may carry
with it the potential for death, serious injury, and property loss. The clients hereby consent to
receive medical treatment which may be deemed advisable in the event of injury, accident, and/or
illness during this activity or event. The clients understand that at this event or related activities,
they and their guests or on-lookers may be photographed. The clients agree to allow photo, video,
or film likeness to be used for any legitimate purpose by with J.L. EVENTS EXPERT. The accident
waiver and release of liability shall be construed broadly to provide a release and waiver to the
maximum extent permissible under applicable law.
11) WAIVER OF CONTRACTUAL RIGHT: The failure of either party to enforce any provision of this
Agreement shall not be construed as a waiver or limitation of that party's right to subsequently
enforce and compel strict compliance with every provision of this Agreement.
12) APPLICABLE LAW: This Agreement shall be governed by the laws Of the republic of the
Philippines.

MEMORANDUM OF AGREEMENT
3. Fifty percent (50%) of the total amount shall be deposited in favor of __________John Lloyd C.
Casoy_____ as down payment to reserve the services of the suppliers. Any remaining deposit to
complete the full deposit amount should be remitted one (1) month from the initial down
payment.
4. Any due amounts not paid on time shall be charged two (2) per cent per month as penalties.
Otherwise, automatic cancellation after five (5) days of failure to remit payment.
5. In addition to event design, Planner’s duties will include but not limited to drawing up contracts
for suppliers, performers and putting down deposits, etc.
6. Necessary lodging/travel costs incurred by the Planner will be covered by the Host.
7. The Planner agrees to use Host’s company logo and no other where desired.
8. The Host agrees to acknowledge the Planner’s services including the Planner’s logo
9. The Host will not enter into any contracts on behalf of the Planner or without the Planner’s
knowledge or consent.
10. The Host will be in charge to contact with the sponsors but the Planner can do so with the
knowledge or consent of the Host, provided that once the Planner contacts the sponsor, 10% of the
total donation shall go to the Planner.
11. Deposits are non-refundable. If the Host cancels the event, no refund will be given.
SUPPLIERS CONTRACT
This contract serves as an agreement between John Lloyd C. Casoy and Juan de Placencia.
It becomes effective on April 27, 2019 and inclusive services provided for Seminar For
Elementary Teachers, which will be held on June 5, 2019 from 8:00 AM to 5:00PM.
The supplier hereby agrees to provide the following services for the Event in exchange for
financial compensation outlined below:
-Full usage of venue’s facilities and needed stuff such as electricity and other needed
equipments.________________________________________________________________
-Serve the participants and the guest speaker all throughout the
seminar.____________________________________________________________________
COMPENSATION
The exchange for the services described above, the client agrees to provide the supplier
with a total payment sum of P 71, 250.00 A non-refundable fee of 20% of this amount or
P 14,250.00 shall be paid upon the execution of this contract, with the balance due no less
than five 5 business days prior to the Event.
EVENT LOGISTICS
The supplier shall have access to the Event location beginning at 5:00 am on June 15, 2019
in order to set up the appropriate stations, goods, or other items necessary in order to
complete the services described.
Items that require physical display space must be no larger than (Dimensions) and shall be
displayed in a clean and orderly fashion throughout the course of the Event. No goods or
services not described above may be sold or distributed during this Event without the
Client’s express written consent.
Following the event, the supplier will have until 5:00 pm to break down all equipment and
clear the area of all goods. The supplier is required to leave the area in a clean and
serviceable manner.
PROFESSIONAL APPEARANCE
The supplier will display an appearance and manner appropriate with the mood and theme
of the Event being held. The supplier’s station will not in any way interfere with the Event
on hand, nor will vending staff leave the station unattended. Any special dress or
appearance requirements outside of the accepted norm will be discussed in advance
between the Client, and the Supplier.
By signing below, both the Client and the Supplier indicate that they have read, understand,
and agree to all terms and conditions in this contract.
This Venue Rental Agreement, is entered into on June 15, 2019 by and between
_FERNANDO’S EVENTS GARDEN_and J.L. EVENTS EXPERT- MAKING EVERY EVENTS
EXTRAORDINARY. The parties hereto intending to be legally bound, and in consideration of
the mutual covenants hereinafter contained, agree as follows:
GRANT
JOHN S.J. FERNANDO, on duties and times set forth herein, and subject to the terms and
conditions of this Agreement, hereby grants to J.L. EVENTS EXPERT- MAKING EVERY EVENTS
EXTRAORDINARY a license to use FERNANDO’S EVENT’S GARDEN_ for the SEMINAR FOR
PRIMARY TEACHERS_ to be held June 15, 2019 at 8:00 am- 4:00 pm.
Access to the Venue for the Event will commence on June 15, 2019 starts at 5:00 am and
will end on the same day at 5:00 pm.
INDEMNIFICATION
The FERNANDO’S EVENTS GARDEN hereby defend, acknowledges, releases and agrees that
J.L. EVENTS EXPERT- MAKING EVERY EVENTS EXTRAORDINARY is not held responsible or
liable for any losses, damages, claims, penalties, fines, liabilities, suits, administrative
proceedings, arising out of any act or neglect by the City Government of Marikina, its
agents, employees, sponsors, contractors, invitees, representative in, on or about the
Facility/Venue.

SAMPLE INDEMNITY AGREEMENT
Indemnity Agreement
Agreement of Indemnification dated April 27, 2019 between Fernando’s Events Garden and
J.L. EVENTS EXPERT—TURNING EVERY EVENTS EXTRAORDINARY.
For value received, Fernando’s Events Garden jointly and severally agree to indemnify and
save harmless J.L. EVENTS EXPERT—TURNING EVERY EVENTS EXTRAORDINARY and its
successors and assigns from any claim, action, liability, loss, damage or suit arising from the
following:
-Vicinity Damage
-Food Poisoning
-Other harmful incidents
Thereafter, Fernando’s Events Garden shall at its own expense defend, protect and save
harmless, J.L. EVENTS EXPERT—TURNING EVERY EVENTS EXTRAORDINARY against crime
said claim or any loss or liability resulting there from.
Should Fernando’s Events Garden fail to so defend and/or indemnify and save harmless,
then, in such case, J.L. EVENTS EXPERT—TURNING EVERY EVENTS EXTRAORDINARY shall
have full rights to defend, pay or settle said claim on their own behalf without notice to
Fernando’s Events Garden for all fees, costs, payments, made or agreed to be paid to
discharge the said claim.
Fernando’s Events Garden agrees to pay all reasonable attorneys’ fees necessary to enforce
said indemnification.
This agreement shall be unlimited as to amount or duration, and it shall be binding upon
and inure to the benefit of the parties, their successors, assigns and personal agents and
representatives.
