any time and for any reason whatsoever, disregard all Bids and to terminate at will the competitive selection
process and may, at its discretion, proceed with the Project in some other manner, with no liability to any
party whatsoever.
Each Respondent is solely responsible for all costs it incurs in the preparation of its Bid, including without
limitation all costs of providing information requested by Ashghal, attending meetings and conducting any
due diligence. Under no circumstances will Ashghal or any of its advisors be liable for any costs or expenses
borne by the Respondent or any of its advisors in this process, nor shall they be liable for any damages or
consequential damages whatsoever, which may arise out of the process.
Ashghal reserves the right, in its absolute discretion, with no liability whatsoever to:
a. amend the scope of the Project, modify, cancel or suspend the RFP process or any or all stages of the
procurement process, at any time for any reason;
b. waive a defect or irregularity in the form or content of any RFP;
c. re-advertise for new responses, call for tenders, or enter into negotiations for this Project or for work
of a similar nature;
d. make any changes to the terms of business opportunity described in this RFP; and
e. extend, from time to time, any date, time period or deadline provided in this RFP.
All Bids submitted to Ashghal shall become the property of Ashghal immediately upon such submission.

1. Handback Procedure
General
The Project Company shall ensure the transfer of the Project Assets to the Handback Entity as specified in
the Agreement and in this Schedule 8 - Handback Requirements. Project Company shall fulfil all the
Handback Conditions stipulated in the Agreement and in this Schedule 8 - Handback Requirements prior to
transfer the Project Assets.

Handback Transition Plan


The Handback Transition Plan shall comprise of the plan prepared by the Project Company and approved by
Ashghal in accordance with Clause 18.
Minimum requirements of the Handback Transition Plan are as below. However exhaustive list of the
requirements shall be agreed with Ashghal.
No later than the Project Commercial Operation Date, the Project Company shall prepare a Handback
Transition Plan and submit to Ashghal. As a minimum, the Handback Transition Plan shall include the
following but not limited the following, however the content of the Handback Transition Plan shall be agreed
with the Ashghal:
(a) The Asset Register;
(b) Handback Surveys: Project Company shall carryout the Handback Surveys and the Handback Surveys
shall include the following: (i) Equipment Evaluation; (ii) Functionality Evaluation; and (iii) Structural
Integrity Evaluation of all the Project Assets in line with the methodology and procedures stipulated in
this Schedule 8 - Handback Requirements or as agreed with the Ashghal.
(c) Handback Testing Plan
(d) Training plan and schedule for Handback Entity staff
(e) List of consumables required for operation of the Project Assets for two (2) years after expiry of the
Term
(f) List of spares required for operation of the Project Assets for two (2) years after expiry of the Term
(g) All other items that the Project Company plans to transfer to Ashghal
(h) The Handback Transition Plan shall include the preparation and issue of everything necessary to meet
Handback Conditions by the Project Company.

Handback Surveys
Handback Surveys comprises of the following evaluation surveys and evaluation methodology. The
indicative scope of the evaluation surveys and evaluation methodology is described below and in Appendix
A, Appendix B and Appendix C of this Schedule 8 - Handback Transition Plan. However, the final scope of
evaluation surveys and evaluation methodology shall be agreed between the Project Company and Ashghal.
The Handback Surveys shall be carried out to determine the following Equipment Evaluation, Functionality
Evaluation and Structural Integrity Evaluation at the minimum include the following:
 condition of all fixed and mobile plant equipment;
 condition of all electrical and mechanical components;
 condition of utilities;
 condition of finishing, and ancillary components;
 condition of site infrastructures including buildings, tanks, services, drains and pavements;

 condition of laboratory equipment;


 condition of environmental monitoring system and automation monitoring system;
 condition of the vehicle fleet;
 status of plant modifications, including engineering design calculations, drawings, and incorporated
works;
 status of documentation including the design calculations, record drawings, maintenance record,
operation data, performance tests reports operation, maintenance manuals and the annual updates to
the baseline works records;
 status of previous condition surveys, and the closeout of defects registers;
 carrying out all the necessary inspections, functional and performance testing of the Project Assets or
any part thereof;
 witnessing annual Project Company performance tests; and
 benchmarking the Project Assets against relevant international standards/guidelines, and against the
performance of other similar facilities on a worldwide basis.

1.3.1 Equipment Evaluation – Residual Life Requirements


At the completion of the Term, the Project Assets shall be returned to Ashghal in a condition and state of
repair such that the aggregate weighted average useful life of all the Major Equipment is equal to or greater
than five (5) years.
Indicative Equipment Evaluation methodology is presented in Appendix A of this Schedule 8 Handback
Requirements.
The membrane filtration modules in the membrane filtration treatment system shall be excluded from
residual life requirements. The membrane filtration modules, at the end of the Term, shall comply with the
Capital Maintenance requirements specified in the Schedule 4 - Service Requirements.

1.3.2 Functionality Evaluation


At the completion of the Term, the Project Assets shall operate properly and perform the function for which
they were intended, fully available to take flows and loads as stipulated in Schedule 5 Influent Quantity and
Quality Parameters, achieves Guaranteed Output Performance Requirements stipulated in Schedule 6, and
all Project Assets shall have a functionality rating, of 3 or higher. Indicative functionality rating methodology
is presented in Appendix B of this Schedule 8 Handback Requirements.

1.3.3 Structural Integrity Evaluation


At the completion of the Term, the Project Asset structures shall have a structural integrity rating, of 3 or
higher. Indicative structural integrity rating methodology is presented in Appendix C of this Schedule 8
Handback Requirements.

2. Initial Handback Inspection


Access to Project Site and Information
No later than two (2) years prior to the twenty fifth (25th) anniversary of the Project Commercial Operation
Date, the Project Company shall co-operate with Ashghal and provide access and information to Ashghal, as
may be required or useful for Ashghal, or the Handback Entity, to take over the operation of the Project
Assets.

Initial Handback Inspection


Ashghal shall carry out Initial Handback Inspection of the Project Assets in conjunction with the submitted
Handback Transition Plan and also review the Handback Surveys and all other documents submitted by the
Project Company.
The Project Company shall carryout such maintenance or replacement work to Ashghal’ s satisfaction within
the reasonable period specified, and at the Project Company’s own cost.
If in the opinion of Ashghal, the Project Company has failed to carry out the maintenance or replacement
work necessary to hand over the Project Assets in good condition and in serviceable for continued use at the
completion of the Term, Ashghal may instruct the defects to be made good and deduct the cost from any
monies due to the Project Company under the provisions of the Agreement or as otherwise set out in clause
18 of the Agreement

Initial Handback Report


Ashghal shall inspect the Project Assets (and the Project Company shall give Ashghal reasonable access to
the Project Assets and to all operational records, data and reports as may be required).
Not less than eleven (11) months prior to completion of the Term, Ashghal shall prepare a Initial Handback
Report on the performance and condition of the Project Assets and their expected asset life and identifying
maintenance works, replacements and other works required to be carried out to satisfy the Handback
Conditions. On this basis, the Initial Handback Report shall estimate the asset replacement and/or asset
refurbishment requirements and corresponding costs so as to bring assets to comply with the Handback
Conditions.
Upon receipt of the Initial Handback Report Project Company have thirty (30) Days to raise any objections
and follow procedures set out in clause 18.2 of the Agreement.

3. Final Handback Inspection

Final Handback Inspection


After completion of the replacement and/or refurbishments conducted by the Project Company pursuant to
the Handback Works Report but no later than [one (1) month] prior to the expiry of Term, Ashghal shall
inspect Project Assets.
Based on this Final Handback Inspection and before the expiry of Term, Ashghal shall prepare a Final
Handback Report that shall delineate replacements, refurbishments and/or modifications and their
estimated costs, if any, required to bring the condition of Project Assets into compliance with the Handback
Conditions as well as spare parts, and consumables and other material required for operation of the Project
Assets.

Final Handback Report


Ashghal shall prepare and provide the Final Handback Report to the Project Company for non-objection in
accordance with the requirements set out in clause 18.3 of the Agreement. Upon receipt of the Final
Handback Report Project Company have thirty (30) Days to raise any objections and follow procedures set
out in clause 18.3 C of the Agreement.
The report shall include the methodology of the evaluation, the findings, defect list and programme for
remediation of the defects. Text, spreadsheets and databases shall all be prepared using commercially
available computer software.
Ashghal shall provide the Project Company with preliminary drafts of all documents for review and comment.
The Final Handback Report shall consist of at least the following clearly delineated sections:
1. Handback Survey
a. Equipment Evaluation - weighted average useful life of the equipment;
b. Functionality Evaluation of the Project Assets
c. Structural Integrity Evaluation of the structures under the Project Assets; and
2. Handback Works Report – with details of the defects, repairs and or maintenance to be carried out by
Project Company along with the estimated value of asset replacement and/or refurbishment
requirements to bring them into at least performance grade
3. Supplemental information as may be determined by the Ashghal.
The Equipment Evaluation section of the Final Handback Report shall include the listing of all assets to be
included in the calculation of the weighted average useful life together with their corresponding service life,
remaining life and weighted remaining life at the end of the Term values.
The procedures used to determine which assets to include in or exclude from the schedule shall be detailed.
The basis for establishing service life for each asset shall be described. This section of the Final Handback
Report shall provide the weighted remaining life of the equipment and summarize the steps followed by
Ashghal to establish the weighted average useful life at the end of the Term. All calculations performed to
determine weighting factors and the weighted average useful life at the end of the Term shall be included
with the Final Handback Report.
The functionality and structural integrity section of the Final Handback Report shall provide the results of
the functionality evaluation and the structural integrity evaluation of the Project Assets. Those assets that do
not exhibit physical or structural defects shall be noted as such in the Final Handback Report with a

statement regarding the overall condition. The findings of the functionality and integrity evaluations shall be
tabulated on spreadsheets. The Project Company shall, for components with a functionality or structural
integrity rating less than 3 as defined in this section, indicate in each instance what repairs would be needed
to bring both functionality and structural integrity ratings to a minimum level of 3.
In the event that Ashghal considers, as a result of the Final Handback Report, that any part or parts of the
Project Assets require maintenance or replacement to satisfy the requirements of this Agreement, Ashghal
shall serve notice on the Project Company of the work necessary and the work that becomes necessary during
the remainder of this Agreement, to be carried out to the satisfaction of Ashghal within a reasonable period
(as specified by Ashghal) and prior to transfer of the Project Assets to the Handback Entity.
In the interpretation of the Final Handback Report, Ashghal shall have due regard for the obligations under
the Agreement on the Project Company to fully maintain the Project Assets that is to be transferred to
Handback Entity in good and serviceable condition suitable for continued use and meet all Handback
Conditions.
The Project Company shall carry out such maintenance or replacement work to Ashghal’s satisfaction within
the reasonable period specified, and at the Project Company’s own cost.

4. Handback Tests and Other Requirements


This section describes the requirements for the Handback Tests that the Project Company shall complete
before the end of the Term as per Handback Transition Plan agreed between Ashghal and Project Company.
Further this section describes other obligations to be fulfilled by the Project Company to fulfil the Handback
Conditions.

Handback Test Requirements


4.1.1 Handback Testing Plan
 The Project Company shall prepare a Handback Testing Plan that describes the Project Company’s
approach and details for meeting the requirements of this section as part of Handback Transition Plan.
 The Handback Tests shall demonstrate the ability of the Project Assets to receive and treat the flows and
loads stipulated in Schedule 5 - Influent Quantity and Quality Parameters and successfully demonstrate
the Availability Testing criteria set out in Schedule 3.
 The Handback Tests shall demonstrate the ability of the Project Assets to meet the Guaranteed Output
Performance Requirements.
 The Handback Tests shall have a minimum duration of thirty (30) Days and shall also have duration
sufficient to demonstrate that all operations throughout the Handback Test period are in full and
continuous compliance with the Guaranteed Output Performance Requirements.
 The Project Company shall prepare and submit to Ashghal for its review and No-Objection of Handback
Testing Plan that includes the following minimum requirements, however the final scope shall be agreed
between the Project Company and Ashghal.
o procedures for testing all Shared Facilities, STW Facilities and ancillary systems;
o procedures for testing the standby power capabilities of the Project Assets, including operation
of the Project Assets on standby power;
o use of permanent and temporary instrumentation;
o response procedures for unsuccessful test results including definition of threshold results that
constitute overall Handback Test failure;
 The Handback Testing Plan shall also describe methods for demonstrating functioning of the Metering
and Monitoring Systems stipulated in Schedule 7 – Metering and Monitoring Requirements
 Handback Testing Plan shall also demonstrate compliance with Supervisory Control and Data
Acquisition (SCADA) system monitoring and control functions.
 For membrane filtration, a description of temperature correction procedures using the temperature
correction factor (TCF) as per Good Utility Practice based on standard references pre-approved by
Ashghal, transmembrane pressure differentials and variations in total membrane resistance that will be
utilised to verify design filtrate flow from the membrane filtration system is achievable at the minimum
design feed flow temperature.
 The Handback Testing Plan shall also specify the form and contents of the Handback Testing Report
and include specific, detailed sampling protocols to be utilised while conducting the Handback Tests.

4.1.2 Handback Tests


Upon completion of the all maintenance or replacement work to Ashghal’ s satisfaction the Project Company
shall commence the Handback Tests. During the Handback Tests period, the Project Company shall
demonstrate the minimum requirements but not limited to the following or as agreed with Ashghal.
 Demonstration of the ability of all components of the Project Assets to meet the minimum design
hydraulic capacity for a 24-hour period;
 Determination of the ability of the Project Assets to treat influent and produce output, Grit, Fine
Screenings, Sludge, odour, air emissions that meet the Guaranteed Output Performance Requirements
for an uninterrupted period of at least thirty (30) Days;
 Demonstration of the proper function of the Project Assets upon loss of power, loss of control system,
manual start-up and shutdown, and automatic shutdown;
 Demonstration of operation of the Project Assets over the full range of operation with all components
free from cavitation and excessive vibration;
 Demonstration that the sludge thickening, digestion, dewatering systems function as intended;
 Demonstrate that odour control systems function as intended;
 Demonstration of design filtrate flow from the membrane filtration system at minimum feed water
temperature that may be experienced for 24 hours, using the temperature correction factor (TCF) pre-
approved by the Ashghal;
 Demonstration that the control systems function as intended without interruption; and Demonstration
that the Project Assets otherwise complies with all of the Guaranteed Performance Levels.
 The Project Assets shall be operated at full design hydraulic and waste load capacity over the Handback
Tests period. However, should conditions be such that during the Handback Tests period it is not
possible to operate the Project Assets at full design capacity, selected process units shall be operated at
the maximum design rate. In such an event, the Handback Testing Plan shall identify the plan and
procedures for isolating all process units such that each component of the Project Assets is operated at
the maximum design rate for a minimum of twenty-four (24) consecutive hours during the testing
period.
 During the tests, the Project Company shall operate all systems within the Project Assets under normal
operating conditions, including routine equipment operation, maintenance services and chemical
usage.
 Influent and output quality testing shall be performed in accordance with the Handback Testing Plan.
 The Project Company shall monitor all monitor all flows and loads specified in Schedule -5 Influent
Quantity and Quality Requirements and Schedule 6 - Guaranteed Output Performance Requirements
to demonstrate the compliance.

4.1.3 Failure of the Handback Tests


Any failure of any particular test during Handback Tests shall require
(a) correction of those components or conditions that resulted in the failure, and
(b) performance of a retest of the failed test after proper notification is provided to Ashghal.

If the Handback Tests are terminated due to the failure of any particular test, it shall be restarted at the
beginning of day 1 of the thirty (30) day test and the entire test shall be run.

4.1.4 Handback Testing Report:


The Project Company shall prepare Handback Testing Report within ten (10) Days after completion of the
Handback Tests.
Handback Testing Report shall be prepared in accordance with the Handback Testing Plan and shall include
the following as minimum or as agreed between Ashghal and Project Company:
 All data measured and recorded during the tests including laboratory analyses, chemical consumption,
instrument calibrations, pressures and measurements;
 Record of equipment outages, failures and preventative maintenance;
 Summary of test results and conclusive evidence of compliance with all test requirements;
 Any other data reasonably requested by the Ashghal to be included in such reports; and
Ashghal shall notify the Project Company within thirty (30) Days after receiving each such test report
whether it accepts or rejects that such test report is accurate, provided that if it rejects such test report it shall
provide detailed reasons therefor.

If Ashghal rejects the test report submitted by the Project Company, Ashghal may request that the Project
Company repeat the relevant testing as soon as practicable thereafter.
If Ashghal and the Project Company cannot agree on whether the test report is accurate, either Party may
refer the dispute for decision by the Independent Expert in accordance with clause 23.2 of the Agreement.

Training

In the event that the Handback Entity does not wish to accept the transfer of personnel with the Project
Assets, the Project Company shall provide for one (1) months of formal and on-the-job training to the
Handback Entity for up to the similar number of personnel with similar qualifications and skills who are
currently operating the Project Assets.

The training provided shall cover all operation and maintenance activities to ensure a seamless and efficient
provision of Services following hand over of the Project Assets.

Spare Parts
The Project Company shall provide a spare parts inventory to Ashghal at the end of the Term for each item
of all equipment that is adequate for two (2) years of operation, according to manufacturer’s written
recommendations.
These include, but are not limited to, electrical and electronic components including capacitors, motors,
controllers, as well as small components, switches, cables and printed circuit boards, and mechanical
components like pumps components, valves, filters, hoses, bearings, bushings, seals, gaskets, engine spares,
belts, gears, sprockets, joints, couplings, etc.

Consumables
Provide sufficient consumables to allow the Project Assets to be operated for thirty (30) days. This shall
include process chemicals, lubricants and filters, but exclude the membrane units in the ultrafiltration plant.

5. Handback Conditions and Handback Certificate:

Handback Conditions
The Project Company shall meet the following Handback Conditions prior to issue of Handback Certificate
by Ashghal.
 The Project Company shall manage and facilitate the transfer of the Project Assets to the Handback Entity
such that the hand over is a smooth and seamless process in accordance with the procedures and
obligations set out in the Agreement.
 delivery of final documentation to the Handback Entity: Project Company shall deliver the final
documentation to Handback Entity, the list of final documentation, format shall be agreed between
Project Company and Ashghal, minimum requirements are as listed below.
o final As-Built drawings of the Project Assets;
o final Asset Register carryout rectification and repair works specified by Ashghal during Initial
Handback Inspection and Final Handback Inspection
o design details (calculations, etc.);
o operation and maintenance manuals including standard procedures, emergency procedures and
environmental management procedures;
o Project Assets inventory and data sheets for each item of the Project Assets;
o software for all programmable devices (SCADA etc.);
o updated Operation and Maintenance Plan and Asset Management Plan
o records of test results, inspections, surveys, investigations, monitoring, sampling, analysis (if not
included elsewhere);
o control system functional design specification;
o monthly operation and maintenance reports for the previous six (6) months;
o performance data of all Project Assets from the previous six (6) months; and
o schedule of outstanding repair orders.
o transfer of user licenses and rights for all software and intellectual property, including items such
as treatment modelling software, SCADA, business management systems, phone numbers and
emails, and TSE management system
 Handback Surveys rating by Ashghal is in compliance with the requirements as stated below
o useful life of all the Major Equipment is equal to or greater than five (5) years
o functionality rating, of 3 or higher
o a structural integrity rating, of 3 or higher
 demonstrate that all Project Assets are in fit for purpose condition;
o successfully demonstrate the Availability Testing criteria set out in Schedule 3 – Acceptance and
Availability Test Requirements
o to provide all the Services specified in Schedule 4 – Service Requirements
o shall be able to receive and treat the design flows and loads stipulated in Schedule 5 Influent
Quantity and Quality Requirements

o produce output compliant with Schedule 6 Guaranteed Output Performance Requirements during
Handback Tests and comply with any other requirement stipulated elsewhere in the Agreement and
Schedules
 prove that all the training to the Handback Entity as per the Handback Transition Plan agreed between
Project Company and Ashghal
 provide consumables and spares that are needed for two (2) years after the expiry of the Term in line with
the Handback Transition Plan agreed between Project Company and Ashghal
 Clause 17 of this Agreement shall include actions necessary to transfer knowledge to the Handback Entity
so that they can fully operate and maintain the Project Assets.
 transfer of user licenses and rights for all software and intellectual property, including items such as
treatment modelling software, SCADA, business management systems, phone numbers and emails, and
TSE management system; and
 take all action as necessary to protect and preserve all materials, equipment, tools, facilities and other
property
 remove all equipment, implements, machinery, tools, temporary facilities of any kind and other property
owned or leased by the Project Company (including, sheds, trailers, workshops and toilets), and repair
any damage caused by such removal;
 clean the Project Assets and leave them in a neat and orderly condition;
 deliver the Handback Works Report to the Handback Entity
 deliver to the Handback Entity a list of all supplies, materials, machinery, equipment, property and
special-order items previously delivered or fabricated by the Project Company
 deliver to the Handback Entity the operation and maintenance manual and all computer programs
necessary to operate and maintain the Facility in accordance with the operation and maintenance manual,
including all revisions and updates thereto;
 deliver to the Handback Entity a copy of all books and records in its possession required to be maintained
under Commercial Operations relating to the performance of the Project Assets;
 provide Handback Entity with a list of all files, and access and security codes with instructions and
demonstrations which show how to open and change such codes;
 advise Handback Entity promptly of any special circumstances which might limit or prohibit cancellation
of any subcontract;
 deliver to Handback Entity copies of all subcontracts.
 All other requirements stated elsewhere in the Agreement or Schedules

Handback Certificate
After successful completion of all the Handback Conditions specified in this Schedule 8 – Handback
Requirements, Ashghal shall issue Handback Certificate to the Project Company with in thirty (30) days after
Project Company has met all the Handback Conditions.
The Handback Certificate shall either:
(i) specify that no outstanding works are necessary to achieve compliance of the Project Assets with the
Handback Works Report, and confirm that the Project Company has undertaken the maintenance,

repairs, replacements and/or modifications necessary to achieve such compliance and that the
Project Company has provided the spare parts; or
(ii) specify which outstanding works are necessary to achieve compliance of the Project Assets with the
Handback Works Report, and/or establish how the Project Company has failed to undertake the
maintenance, repairs, replacements and/or modifications necessary to achieve such compliance
and/or to provide the spare parts, and all anticipated costs associated with such outstanding works
and the cure of any such failures.
The cost of mitigating defects on the Final Handback Report shall be deducted from payments payable at
that date. If this amount is insufficient to cover the cost of mitigation then, the Project Company shall pay
the balance of such amount. If the Project Company fails to pay to Ashghal such amount within fifteen (15)
days of receipt of such request by Ashghal, Ashghal may use the proceeds in the Handback Transition Fund.

6. Handback Upon Early Termination of the Agreement


Inspection by Ashghal

On receipt of a Notice of Intent to Terminate by either Party Ashghal shall within three (3) Days pursuant to
Clause 17.5 of the Agreement, inspect the Project Assets (and the Project Company shall give Ashghal such
access to the Project Assets and all the operational records, data and reports as may be required).

Not less than sixty (60) days from the date of termination of this Agreement, Ashghal shall prepare a
Handback Survey and a Handback Works Report and the provisions of Clause 18 of this Agreement shall
apply mutatis mutandis.

The Handback Works Report shall include the estimated value of asset replacement and/or refurbishment
requirements to bring them into at least performance grade.

The Handback Works Report shall also detail the list and estimated value of existing spare parts,
consumables and other materials procured by the Project Company for the operation and maintenance of
the Project Assets.

Final Handback Report Project Company have thirty (30) Days and follow procedures set out in clause 18.3
C of the Agreement.

Upon receipt of Handback Works Report the Project Company shall have thirty (30) days to review and raise
any objections pursuant to the procedures set out elsewhere in this Agreement

A. Appendix A: Schedule 8: Equipment Evaluation

This Appendix A to Technical Schedule 8: Handback Requirements describes the indicative methodology for residual
life determination through Equipment Evaluation. However, Ashghal and Project Company may modify the scope
based on mutual agreement.

Introduction
The works equipment evaluation shall include all mechanical equipment used to convey sewage and sewage
products, mechanical equipment used in treatment processes and other processes such as ACRV and building
mechanical systems.
Examples of equipment to be evaluated include pumps, conveyors, cranes, screens, blowers, aeration diffusers,
penstocks, valves, mixers, sludge collectors, disinfection equipment, chillers, fans, centrifuges and dryers.

Step 1: Estimate Service Life and Remaining Life of Equipment


For the final Equipment Evaluation, the evaluator shall verify the accuracy, including the proper designation of
each asset, and the completeness and accuracy of the Asset Register prepared and maintained by the Project
Company.
Assets removed from service but left in place shall continue to be shown in the Asset Register. However, the
initial value, replacement value and remaining life of these assets shall be set to zero (0). These assets shall be
designated as not included in the evaluations.
The evaluator shall then estimate, for the purposes of the final evaluation, the service life and the remaining life
of all components of the Project Assets having a replacement value equal to or greater than QAR 100,000 listed
in the Asset Register.
The evaluator shall estimate the remaining life at the end of the Term (in years, rounded to the nearest whole
number) of all the Major Equipment using the methods and procedures described below.
The Parties shall pre-agree on a method for converting the remaining life of an asset to its remaining life at the
end of the Term.
If the Parties cannot agree, the remaining life at the end of the Term for an asset shall equal the remaining life
for that asset at the time of the evaluation (prior to rounding) minus the time period in years rounded to one
decimal place between the time of the evaluation and the end of the Term.
After this calculation is performed, remaining life after the end of the Term shall be determined by rounding. In
addition, should the length of the Term be less than twenty-five (25) years for any reason, this calculation shall
be performed as if the length of the Term is equal to twenty-five (25) years.
The remaining life of an asset shall be based upon its ability to perform its intended function, taking into
consideration its performance history, physical condition, availability, replacement costs and maintenance
costs.
In determining the remaining life of an asset, Ashghal shall not consider whether an asset is outmoded and, if
replaced, would enhance the functionality of the Project Assets.
Evaluator shall conduct the following procedures to establish the remaining life of the equipment:
a) visually inspect the equipment;

b) monitor related instrumentation to determine the assets’ physical condition and operation
characteristics;
c) collect any measurements, readings, or other pertinent information;
d) review all repair, rebuild and replacement records, and consult with manufacturers; and
e) inspect all readily accessible parts and surfaces for any installation problems; excessive vibration, noise
or temperature; the condition of coatings; signs of wear or corrosion; and leakage of any fluids

Inspection activities shall be conducted while motor-driven equipment is in operation.


For equipment with an installed cost of QAR 400,000 or greater (as indicated in the Asset Register), diagnostic
testing shall be performed to supplement and enhance the information obtained through the visual inspections
with photographic and video recording and review of repair and replacement records.
Such diagnostic testing may include, but is not limited to, vibration analysis, oil sampling and testing, and motor
circuit analysis. In such cases, the diagnostic testing shall be conducted by manufacturer-approved personnel
or other appropriate qualified service technicians.
If any such diagnostic testing is unwarranted for any asset, then the evaluator may determine the remaining life
without performing such tests based on experience.
If the evaluator cannot estimate the remaining life of any asset using the procedures detailed above, then, as a
last resort and only with the concurrence of the Ashghal, the evaluator may calculate the remaining life by
subtracting the age of the asset from the original service life of the asset as specified in the Asset Register or any
such document submitted by Project Company.
If the age of the asset is greater than the service life, then the remaining life shall be equal to zero years. The age
of the asset shall be the number of days between the date it was placed into service and the date of the evaluation
divided by 365, rounded to the nearest whole number.
The service life and remaining life at the end of the Term of the equipment shall be added to the Asset Register.
The development of the service life and remaining life shall take into consideration the following:
a) Spare parts and consumables included in the spare parts and consumables inventory are not included
in the calculation of the weighted average useful life.
b) Membranes contained in the membrane treatment system are not included in the calculation of the
weighted average useful life.
c) Obsolete and unused assets are not included in the calculation of the weighted average useful life.
d) Assets comprising structures are not included in the calculation of the weighted average useful life.

The evaluator shall estimate the original service life value (in years, rounded to the nearest whole number) of all
equipment using available vendor information and trade/professional reference materials.
In the absence of adequate vendor information to establish the original service life for any asset, the evaluator
shall use the default service life values listed in Technical Schedule 2: Design and Construction Requirements.

Step 2: Determining Weights to be Applied to Each Asset


The weighting factor for an asset is the current replacement value of the asset divided by the sum of the
replacement values of all equipment.
Weighting factors to be applied to each asset shall be calculated using the following equation:

Evaluator shall determine the replacement value of each piece of equipment using standard valuation
techniques. If the replacement value of an asset cannot be readily determined, then the evaluator shall inflate
the initial installed cost of the asset by the same rate of change as inflation rate in Qatar from the year the asset
was installed (or purchased if equipment was not installed) to the year for which the replacement value is being
calculated.
The initial installed cost for an asset may be estimated using the following methods that are listed in order of
preference:
a) Actual, as-built vendor information (that is, labour and materials invoices);
b) Historical vendor bid and quotation documents; or
c) Other means of determining initial value of various assets, if approved by the Ashghal.

The Project Company shall provide the initial installed cost with labour and invoice documentation as part of
the record of documentation for both the Asset Register and as part of annual updates on any new installed (or
purchased if not installed) equipment.

Step 3: Determine Weighted Remaining Life


The weighted remaining life shall be calculated by multiplying the remaining life at the end of the Term of an
asset by the weighting factor (Fi) for that asset as shown in the following equation:

The weighted average useful life is the sum of the weighted remaining life values for assets constituting the
equipment having a replacement value greater than QAR 100,000 (as adjusted annually by the Project Asset
adjustment factor from the Project Commercial Operation Date to the evaluation date). The weighting factor
and weighted remaining life of the Major Equipment shall be added to the Asset Register.

B. Appendix B: Schedule 8: Functionality Evaluation

This Appendix B to Technical Schedule 8: Handback Requirements describes the indicative methodology for
Functionality Evaluation through functionality rating. However, Ashghal and Project Company may modify the scope
based on mutual agreement.
Project Assets to be evaluated as part of the condition and functionality evaluation as minimum shall include
but not limited to the following:
1. All Project Assets, systems, processes, buildings, fixed and mobile plant and tanks;
2. All exposed and buried piping
3. All valves together with hydraulic system gates and weirs; and
4. All the Metering and Monitoring System and other ancillary facilities that are needed for uninterrupted
operations.

Pipes shall be checked to assure that they are free of blockage, that fluids can be conveyed and that there is no
leakage. Detection, transmission and recording instrumentation shall be checked.
As part of the Functionality Evaluation, a functionality rating of 1 to 5 will be assigned to each component of the
Project Assets. The rating shall utilise the following criteria:
1. 5 – excellent overall condition. Asset fully functional as designed with no visible defects or wear.
2. 4 – good overall condition. Asset functions as needed for current operating conditions, visible signs of
minor defects, and wear is less than expected.
3. 3 – fair overall condition. Asset functions as needed for current operating conditions, visible sign of
moderate defects and expected wear, as described below.
4. 2 – poor overall condition. Asset operable but does not function as needed for current operating
conditions. Visible signs of major defects, wear is more than expected. There may be personnel safety
issues.
5. 1 – inoperable. Asset is non-functional, requires major repair or replacement to restore operation.

The findings of the Functionality Evaluation shall be tabulated on a spreadsheet such as in the Asset Register.
For purposes of this Agreement, level 3 fair overall condition of assets shall be characterised by normal wear
and tear related to the damage that naturally and inevitably occurs as a result of normal use or aging.
This is a form of wear that occurs when an asset is used according to manufacturer’s instructions and is properly
maintained.
Examples of level 3 fair overall condition and unacceptable condition (which would equate to a functionality
rating of “2” or “1”) are characterised in Table 1.

C. Appendix C: Schedule 8: Structural Integrity Evaluation

This Appendix C to Technical Schedule 8: Handback Requirements describes the indicative methodology for
Structural Integrity Evaluation through rating. However, Ashghal and Project Company may modify the scope based
on mutual agreement.
The structural integrity evaluation shall include visual inspection with photographic and video recording of all
structures built as part of Project Assets, including:
1. Buildings and concrete structures, both above and below ground, including doors, hatches,
stairways, and windows;
2. Walkways, roads and other paved areas;
3. Fencing;
4. Finish system – paint, sealants and other liquid applied finishes; and
5. Floor, ceiling, roofs and wall system – tiles, carpeting, raised floors and drop ceilings.

Structures and paved areas shall be checked for structural defects and damage, such as cracks and concrete
deterioration that could reduce their service life.
Finish systems shall be visually inspected to assure that they provide adequate coverage and afford the desired
protection. Occurrence of flaking, corrosion, rot and inadequate coverage shall be noted.
Floor, ceiling, roofs and wall systems shall be visually inspected for excess wear and damages.
As part of the Structural Integrity Evaluation of each structure of all Project Assets, a structural integrity rating
of 1 to 5 shall be assigned to each of the applicable structures of the Project Assets. The rating shall utilise the
following criteria:
1. 5 – Excellent overall condition. No visible defects, cracking or wear.
2. 4 – Good overall condition. Visible signs of minor defects, and wear is less than expected.
3. 3 – Fair overall condition. Visible sign of moderate defects and expected wear.
4. 2 – Poor overall condition. Visible signs of major defects and wear is more than expected.
5. 1 – Imminent Failure. Extremely poor overall condition; may be significant safety or structural
concerns.
The findings of the Structural Integrity Evaluation shall be tabulated on a spreadsheet such as in the Asset
Register.
Videotape records made of the initial condition of assets, whether or not structural or other physical defects are
revealed, shall be included as part of the Final Handback Inspection (defined and explained in subsequent
sections of this schedule).
The location on the videotape corresponding to any listed defect shall be entered in the spreadsheet with each
listing.
