Dear Modicam ,
1. CONTRACT OF EMPLOYMENT
THIS AGREEMENT is made on 24/7/2024 between:
SAMASOURCE UGANDA LIMITED a company incorporated in Uganda of P.O. Box 28 Gulu,
Uganda ("Company"); AND
Modicam Oloya , (the "Employee"), each of which may be
referred to as a "Party" and collectively as the "Parties"
WHEREAS, the Company and the Employee desire that the Employee provides employee
services to the Company upon the terms and conditions set forth below.
NOW, THEREFORE, in consideration of the premises and mutual covenants contained herein,
the parties, intending to be legally bound, agree as follows:
The Company hereby appoints the Employee and the Employee agrees to serve as an
Associate.
2. Duration of Contract:
This contract will commence on 24/7/2024 and end
on 14/8/2024 otherwise it is
terminated earlier.
3. Duties:
During the course of the employment, you shall have the following duties and
responsibilities:
● Analyze and annotate Associates’ work output against guidelines/standards and
provide feedback
● Provide feedback to Team Leaders on identified areas that individual members of the
team need to improve on for coaching.

● Liaise with Team leaders to ensure that feedback and the identified quality gaps are
addressed with the individual/team members.
● Contribute to team effort by accomplishing related results as needed.
● Perform other work as required or assigned by your supervisor.
These duties may be subject to change however, if any change occurs, you will be notified.
4. Reporting Relationship:
The Employee shall report to the designated Team Leader or any other person as
designated.
5. Hours of Work:
1. The Employee will be required to work 9 hours either (Day shift from 7:40 a.m. to
6:00 p.m) or (Night shift 7:40pm to 6:00am) including a daily 20 minute pre-shift,
Monday to Friday.
2. The Employee will be entitled to a 15-minute tea/coffee break plus a 45 minute break
for lunch/supper depending on the assigned shift.
6. Remuneration and Benefits:
The Company shall pay the Employee and the Employee accepts as monetary
compensation, a consolidated gross monthly salary of Ush 819,495 /- (
Uganda Eight hundred nineteen thousand, four hundred ninety-five Shillings
only). However, the Employee will only be paid for the number of days worked.
7. Leave: The Employee shall be entitled to the following;
1. Accrued annual leave of 1.75 working days as per each completed calendar month.
The Employee may decide to take the days consecutively or in parts. All leave must
be approved at least two weeks in advance by your immediate supervisor who will
decide based on company activities during that period.
2. Sick leave as per the company policy. Further information for long term illness will be
provided.
3. Compassionate leave of 5 days at any one time in the event of death of spouse,
child, parent or sibling.
4. The Employee, if female, shall be entitled to 60 working days maternity leave with full
salary in accordance with the Employment Act, 2006.
5. Paternity leave of 4 days annually with full pay for the delivery of the child or
miscarriage of the wife to a male staff.

8. Taxes:
1. The Company shall deduct taxes from the Employee’s salary in accordance with the
statutory requirements of Uganda.
2. The Employee hereby authorizes and consents to the Company deducting on a
monthly basis all taxes and statutory contributions due and payable to the Employee in
accordance with the applicable laws from the salary and also arising from any taxable
benefits that they receive or is deemed to receive from their employment by the
Company.
3. Filing of personal tax returns will be the Employee’s personal responsibility in
accordance with the applicable law.
9. Confidential Information:
1. The term "Confidential Information" as used in this agreement means any secret,
confidential or proprietary information of the Company or concerning any direct or
indirect shareholders of the Company, including information received by the
Company or yourself from any customer, agent or client or potential customer or
client of the Company. The term Confidential Information does not include
information that has become generally available to the public by the act of one who
has the right to disclose such information without violating any right of the customer
or client to which such information pertains.
2. In consideration of the Company's employment of the Employee pursuant
to this agreement, the Employee agrees that during their employment and after
termination of their employment the Employee will hold in a fiduciary capacity for the
benefit of the Company and will not directly or indirectly use or disclose (whether on their
own behalf or on behalf of any other person, company, partnership, venture, or any other
entity or form of business), except as authorized by the Company in connection with the
performance of Employee's duties, any Confidential Information that the Employee may
have or acquire (whether or not developed or compiled by the Employee and whether or
not the Employee has been authorized to have access to such Confidential Information)
during their employment with the Company or any Associated Company.
3. The Employee understands and agrees that nothing contained herein shall be
deemed a waiver, modification, or limitation of any rights the Company may have
under applicable laws relating to the protection of trade secrets or confidential
information.
10. Sexual Harassment Policy
The Employee undertakes to comply with the Company’s Sexual Harassment Policy and
understands that disciplinary measures may be taken against any employee of the Company
who subjects another employee to sexual harassment. The Employee confirms that they have
been provided with a copy of the Company’s Sexual Harassment Policy and that they

understand its provisions.
11. Disciplinary Measures:
1. The Company reserves the right to institute disciplinary measures in appropriate
circumstances in accordance with the Labour Laws of Uganda.
2. All disciplinary matters relating to the Employee’s employment shall be dealt with in
accordance with the Company’s Disciplinary Policy. The Employee acknowledges that
they have been informed of the proper lines of communication regarding complaints or
grievances they may have and related to their employment.
12. Termination of Employment:
1) Either party may terminate the appointment in accordance with the laws of Uganda.
2) This Agreement shall automatically terminate upon the expiry of the period stipulated in
clause 2 above without either party having to notify the other party.
3) The Company reserves the right to summarily terminate this contract in accordance
with the companies policies as amended, on account of any non-performance and
unsatisfactory performance of their duties and responsibilities, sufficient reason,
misconduct, incompetence, refusal or failure by the Employee to perform his duties,
negligence or any other valid reason.
4) This Agreement may however be terminated without notice by the Company on breach
of any conditions of this Agreement or in the case of gross misconduct.
5) Upon termination of this Agreement, the Employee shall deliver to the Company all
Samasource property in their possession, documents (including, but not limited to,
correspondence, lists of clients or customers, notes, memoranda, plans, drawings and
other documents of whatsoever nature and all copies thereof) made or compiled or
acquired during the employment hereunder and concerning the business, finances or
affairs of the Company or any of the Company group or clients. Payment of your final
dues/salary shall be made once the handover process referred to above is completed.
13. Dispute Resolution
Any controversy, dispute or claim arising out of or relating to this contract or breach,

termination or invalidity thereof shall first be settled through good faith negotiation. If the
dispute cannot be settled through negotiation between the Company and its employee, the
parties agree to attempt in good faith to settle the dispute by mediation through the labor office.
If the parties are unsuccessful at resolving the dispute through mediation, the parties agree to
refer the matter to arbitration in accordance with the DC Country Arbitration Rules.
14. Power to amend Contract:
The Company reserves the right to amend this Contract of Employment, with the prior
consent of the employee and the written amendments shall be binding upon the parties.
15. General:
1. You accept that you are not entering into this Agreement in reliance on any
representation, warranty or undertaking that is not contained in this Agreement. You
warrant to the Company that you are not subject to any restriction that will or might
affect your ability to comply fully with the terms of this Agreement.
2. This Agreement contains the whole agreement between the Parties and supersedes
and replaces prior written or oral agreements, representations or understandings
between them. The Parties agree that they have not entered into this Agreement on the
basis of any representation that is not expressly incorporated into this Agreement.
16.Governing Law
This Agreement shall be governed and construed in all respects in accordance with Ugandan
law.
17. Acceptance:
If you accept this offer of employment on the conditions outlined above, please sign the
duplicate copies in confirmation and return them to us.
