LETTER OF APPOINTMENT

Dear Mr. Krishna,

Welcome to Surya power!

With reference to your application and subsequent interview had with us, we are pleased to appoint you as “Sr.Engineer” on the
following terms and conditions which will be effective from the date of joining:

1. Date of Joining: Date of joining 01-04-2020 and date of report to the office on 30-03-2020.
2. Work Place:
Your initial place of work will be at Vijayawada,Andhra Pradesh. However, during your employment with the company you
may be posted/ transferred to any of the offices/projects/divisions/departments/units/subsidiaries/affiliated companies/sister
concerns of the company existing or to be set-up at any other location in India subject to the provision that your remuneration
and other facilities will not be adversely affected. If you are willing to go to the site, we will be offered after getting
experience on Gas compressor applications.
3. Responsibilities and Duties:
You are required to perform the duties and responsibilities related to your position as assigned to by the HOD/Management
from time to time. Your work in the organization will be subject to the rules and regulations of the organization as laid down
in relation to conduct, discipline and other matters. You must effectively perform to ensure results.
4. Performance Measurement:
Your performance will be measured on an ongoing basis. Your performance, which forms the basis for your career progress
at Surya Power, is assessed through very transparent evaluation criteria on monthly/quarterly/yearly basis and employees
with good performance are rewarded with awards and recognitions. Your increments and future prospects in the company
shall entirely depend on your efficiency, hard work, and regularity in attendance, sincerity, good conduct and such other
relevant factor. Generally salary reviews would be once in every year, however for exceptional performer time is not a
constraint. It may be noted that automatic salary increase is not guaranteed and is strictly linked to your performance.
5. Service Rules:
You will be governed by the service rules and regulations including conduct, discipline and administrative orders and any
such other rules or orders of the company that may come in force from time to time.
6. Termination of Employment:
a) In the event of violation of any of the terms of conditions, contained in the contractual obligation, the company
reserves the right to terminate your appointment without any compensation or notice thereof.
b) Absence for a continuous of two days without prior approval of your HOD, (including overstay on leave/ training)
or indiscipline or poor performance would result in losing your lien on the service and the same shall automatically
come to an end without any notice or intimation and without any compensation thereof.
c) Upon termination of employment you will return to the company all papers/documents and/ or other properties
relating to the business of the company, which may be in your possession at that time.
d) For separation after confirmation, either party may give notice of separation of employment at any time, subject to
one month notice in writing or payment of sum of money equal to one month’s salary in lieu thereof. In case of
employees absconding or seeking immediate separation their case will be dealt with as per company policy at that
time.
7. Remuneration:
Your CTC (Cost to Company) will be Rs. 4, 48,000/- (Rupees Four Lakhs Forty Eight Thousand only) per annum all
inclusive explained more clearly in Annexure-1

a) The above amount includes:-


I. Basic Salary
II. Taxable and Non Taxable allowances and benefits.
b) Salary and other perquisites/benefits, which have been distributed under the aforesaid heads, are subject to taxes, as
applicable. At its sole discretion, the management may consider either change of heads or redistribute the total
emoluments under various heads of accounts. Your salary is subject to tax deduction at source at rates in force time
to time.
8. Leaves and Benefits:
a) You are entitled for leaves as per the company leave policy. Leaves will be calculated on prorate basis wherever
applicable at present. At its sole discretion, the management may modify the leave policy as per the business needs.
b) All other benefits will be applicable as per company policy.
9. Jurisdiction:
This agreement shall be constructed and enforced in accordance with the laws of India and the Court in Vijayawada will have
exclusive jurisdiction to entertain and try any dispute.
10. Travelling:
In the course of your employment, you may be required to undertake travelling within India in connection with the
company’s business, for which you will be reimbursed expenses in accordance with the rules. Refusal to undertake such
travel may result in disciplinary action against you.
11. Code of Conduct:
You are expected to abide by the company’s code of conduct as mentioned beneath; It is the intention of the company that
every employee of the company upon himself/herself a certain degree of responsibility and is accountable for the undertaken
by him / her and will confirm to such direction that shall be given to you by the management.
a) During the period of your employment with the company, you will devote full time to the work of the company.
Further, you will not take up any other employment or assignment or any office, honorary or for any consideration,
in cash or in kind or otherwise, without the prior written permission of the company.
b) Your behaviour towards any member of the public that you come across should be courteous. The management
reserves the right to take disciplinary action against any employee who has been found to misbehave with any
member of the public or any other individual.
c) You shall not pledge the company’s credit and / or make representation unless you are specifically and duly
authorized in that behalf.
d) You shall not, either during the continuance of your employment or thereafter, except in the proper course of your
duties, divulge to any person whosoever and shall use your best endeavour to prevent publication or disclosure of
any trade secrets or a manufacturing process or any other information concerning the business or finances of the
company or any of its activities, dealings, transaction of affairs which may come your knowledge in the course of
your employment.
e) You will abide by the Rules & Regulation / Standing Orders of the company in force, at present, and as varied from
time to time.
f) The company will expect you to discharge the responsibilities entrusted to you with the highest standards of
initiative, efficiency and economy.
g) Your appointment is subject to satisfactory replies being received from the references / previous employers
mentioned in your Employment Application Form.
h) Your continuance in the services of the company will be subject to your physical fitness as may be required for the
position you may hold. Consequently, you will be required to go through such medical test and examinations from
time to time may be deemed necessary by the company.
i) All work done by you during your employment with the company will become the property of the company and you
have no right to claim the ownership or it by any way.
j) All matters pertaining to your employment and compensation are strictly confidential and it should be treated as
such.
k) This appointment letter is being to you on the basis of the information and particulars furnished by you in your
application/bio-data, if it transpires that you have made a false statement resulting in your being offered this
appointment, the management may take such action as it deems fit in its sole discretion, including termination of
your employment and / or legal action.

and they shall be subject to such modifications and amendments as may be introduced from time to time as per the
company’s Rules & Regulations.
