1) 50%+GST as down payment with Purchase Order.
2) 50% after FAT or before dispatch
Delivery time: 6 - 7 weeks after receipt of advance along with valid Purchase
order.The
delivery time is subject to confirmation on order placement and any other
mutually agreed pre-approvals.
Machine Installation & Commissioning: The machine will be thoroughly
tested at our factory with your product before shipment. Any additional
modification will incur additional charges. The installation of equipment at your
plant can be carried out by our Service Engineer. To and fro air travel, local
conveyance, boarding and lodging would be to customer’s account. Customer to
make available, a team of technical and non-technical people, to work with our
commissioning person.
Any Extra number of days would be charged at: - INR 5,000 /Day/Engineer
Service charges @ INR 5,000/Day/Engineer would be applicable after the
machine is hand overed to customer.
Other Charges: In the event of cancellation of orders, cancellation charges
would apply @50% of the Purchase Order Value before dispatch or machine
completion date.
After machine completion date or dispatch no cancellation would be entertained
irrespective of the machine condition, Buyer is liable to pay complete price
including GST. Any changes requested by Buyer after Seller has received the
original PO shall require an agreement for Price changes and delivery date
changes.
Payment Deferral : Charge for storage @2% per month on the Invoice value
shall be payable by the Buyer if the Buyer requests shipment deferral beyond
the date of completion. Deferral of shipment will not defer invoicing or payment
terms of order.
Clerical Errors: Seller may correct any clerical errors appearing in the typed
portion of this proposal at any time.

Freight and forwarding: Extra at actuals / arranged by buyer. Transit
Insurance Extra at actuals / arranged by buyer.
Validity: This quotation is valid for 21 days. The offered delivery is based on our
present engineering and manufacturing workload and may be subject to
variations from the time of the offer to the time of the order confirmation.
Warranty: The equipment is warranted (free from manufacturing defects in
materials and workmanship under normal use and proper maintenance) for a
period of 12 months from the date of shipment and at one shift operation only (8
hours shift). This, however, does not apply for any normal wear parts. Pneumatic
and electrical parts are not covered under warranty. The warranty shall only
apply to the equipment properly used and cared for and shall not apply to any
equipment which shall have been repaired, altered or changed by persons other
than authorized by the Seller. Warranty does not include cost of travel, boarding
and lodging expenses for Engineers.
Failure of spares availiability would not be inlcuded under warranty conditions.
Limitation of Liability: To the fullest extent permitted by law and
notwithstanding any provision to the contrary, FLIPPACK SYSTEMS shall in no
event be liable for any special, indirect, consequential, or incidental damage or
lost profits, lost opportunities, lost
revenues, business interruption, obligations to compensate a third party or other
similar indirect damage arising under or in connection with the parties’
cooperation.
Force Majeure:- Seller shall not be liable or responsible to Buyer, nor be
deemed to have defaulted or breached this Agreement, for any failure or delay in
fulfilling or performing any term of this Agreement when and to the extent such
failure or delay is caused by or results from acts or circumstances beyond the
reasonable control of Seller including, without limitation, acts of God, flood, fire,
earthquake, explosion, governmental actions, war, invasion, or hostilities
(whether war is declared or not), terrorist threats or acts, riot, or other civil
unrest, national emergency, revolution, insurrection, epidemic, lockouts, strikes
or other labor disputes (whether or not relating to either party’s workforce), or
restraints or delays affecting carriers or inability or delay in obtaining supplies of
adequate or suitable materials, materials or telecommunication breakdown or
power outage.
Exclusions: Plant utilities, steam generator etc., local freight, loading and
unloading of equipment at site, hiring of any special equipment required for
moving and positioning machinery is not included in the scope of supply.
Anything not expressly mentioned in the offer is excluded from the scope of
supply.
Jurisdiction : In case of any dispute/s all the claims are subject to Mumbai
jurisdiction only.
