Statement of Terms and Conditions of Employment
with Ocado Central Services Limited (“Ocado” or “we” or “us”)
Set out below are your terms and conditions of employment. You should also refer to your letter of
offer and to the Employee Handbook in force on your start date (and any amendments to it from
time to time) which contains contractual and non-contractual policies. You are obliged to
familiarise yourself with the policies and procedures set out in the Employee Handbook and those
trained, briefed or issued to you during the course of your employment.

2. Job Title: Personal Shopper. In addition to your normal duties, you may be required to
undertake other duties consistent with your position that are reasonably, lawfully and properly
assigned to you from time to time by us and you will diligently perform all such duties
assigned to you.
3. Start Date: Your employment with Ocado Central Services Limited begins on March 07, 2021.
For statutory purposes, there is no previous period of continuous employment.
4. Probationary Period: During the period of 13 consecutive weeks from your start date, your
employment with us will be on a probationary basis. During the first four weeks, we may
terminate your employment without any notice. Thereafter, and until the end of the
probationary period, your employment with us can be terminated by us or by you for any
reason on one week’s notice. We reserve the right to extend or vary your probationary period
by notice to you.
5. Place of Work: CFC Dordon, Danny Morson Way, Birch Coppice Business Park, Dordon,
Staffordshire, B78 1SE. We reserve the right to change the location of your designated place
of work.

6. Remuneration: The basic rate of pay is £9.00 per worked hour. Arrangements for payment are
by credit transfer to a bank account which must be in your name, paid on a four weekly basis
in arrears. We reserve the right to deduct from your final pay any amount due to Ocado in
respect of monies owed to us or days including holiday taken over your accrued holiday
entitlement. For further details of Ocado’s right to deduct please see the Handbook.
Certain working hours and areas attract an additional discretionary payment, which may be
subject to change from time to time. You will be notified of this in advance where this is
applicable.
7. Uniform allowance: From 5 April 2010, Ocado has signed up to a Government scheme which
allows us to pay you a tax free allowance of up to a maximum of £60 per year towards the
cost of keeping your uniform clean. Payment of this allowance is dependent on the scheme
being continued by the Government from year to year and we may therefore amend it from
time to time in line with any changes implemented by the Government. If the allowance ever
becomes taxable in the future, you will still continue to receive it but only after tax has been
deducted.
8. Working Week: : Your minimum guaranteed contractual working hours will be 40 hours per
week - inclusive of 4 hours unpaid break, your minimum paid working hours will be 36 hours
per week. Ocado reserves the right to increase your contractual working hours up to a
maximum of 44 hours per week - inclusive of 4.4 hours unpaid break where it is necessary to
meet business requirements. Your contractual working hours may be rostered over a period
of up to any 6 days from 7 within the working week which is Monday to Sunday.
In any week the days you work and the number of hours worked on any day may vary
according to operational needs and you will be notified in advance of the hours you are
required to work each shift. There is a requirement to be flexible in respect of your hours of
work. During the working week, you will be required to work irregular hours, weekends and
public holidays. You agree that the maximum 48-hour working week referred to in the Working
Time Regulations 1998 does not apply to you, but you may withdraw this agreement at any
time on three months' notice.
9. Overtime: It is a condition of your employment that you agree to work overtime as a result of
business requirements, which is outside your contractual working hours. This requirement
includes working hours before and after your rostered shift patterns but does not include rest
days. You will be entitled to overtime pay, paid at the current overtime rates as operated by
the business. Overtime is only paid if it has been agreed in advance by your Line Manager.

Overtime is at the discretion of Ocado and you have no contractual right to work any
minimum level of overtime. We will endeavor to give you as much notice as possible as to
when overtime will be required, however notice may be given on the day overtime is required.
10. Breaks: The number and frequency of breaks will be determined by work requirements and
operational needs and will be set out in the break roster. In a normal day your breaks will be
spread between 2 or 3 breaks depending on your working area. You will normally be required
to remain on the premises for your breaks.
11. Benefits: We will provide a range of benefits to you on a non-contractual basis which will
change from time to time and may be withdrawn or varied at our discretion. During your
probationary period you will not receive any benefits other than life assurance, staff discount
and accrued holiday entitlement. If your probationary period continues for longer than three
months from your Start Date then your entitlement (if any) to pension and company sick
benefit will not commence until completion of your probationary period. Benefits will be
provided to you subject to your age or health or other circumstances not being such as to
prevent cover being obtained without exceptional conditions or unusually high premiums.
Some, but not all, of these benefits may be liable to personal taxation. This is the
responsibility of the employee.
12. Holiday Entitlement:
For a 40 hour normal working week your holiday entitlement is 200 hours per annum including
unpaid breaks, this will be pro-rated if your normal working hours vary from this.
The Ocado holiday year runs from September 1st to August 31st. Holidays will be restricted
during peak time. You may be scheduled to work on any of eight Public Holidays each year
depending on Operational/Customer requirements. Additional premium payments will apply
for working 25th December, 26th December and 1st January. If any/all of these days are not
worked there will be no additional payment made over and above the weekly wage. Please
refer to the Handbook regarding further details on holiday and the procedures to follow in
booking your time off, together with any guidelines or policies on holiday entitlement which
may be issued from time to time. If you have started working with us part way through the
holiday year, your entitlement for this year will be calculated on a pro-rated basis.
13. Demotion: If you are subjected to Ocado’s disciplinary/performance management procedure
Ocado reserves the right to demote you, as an alternative to dismissal. Any salary reduction
will be made in writing and you will be given the appropriate contractual notice.

14. Business Disruption: In the event of unforeseen circumstances which severely disrupt Ocado’
s business and mean that we are unable to operate effectively or at all, we reserve the right to
:
change/cancel your rostered shift on short notice and ask you to work a different shift
within a reasonable time period instead or take the shift as either paid or unpaid holiday;
and/or
require you to work from home or from a different location to your usual place of work
provided that it is within reasonable travelling distance or where this is not possible to
travel to a different location at our expense on a temporary basis; and/or
require you to perform duties outside your day-to-day role.
Whilst every effort will be made to give you as much notice as possible, the nature of the
disruption may mean that we are unable to give you any notice. Examples of unforeseen
circumstances could include natural events (such as earthquakes, floods, hurricanes, fires
and severe snow or ice), human events (such as pandemic, war, riot or major upheaval) and
performance failures outside Ocado’s control (such as electricity power failures or gas leaks
or government restrictions).
Where unforeseen circumstances mean that you are unable to work your replacement shift in
the same week Ocado will pay you as if you had worked your rostered shift that week instead
of processing the payment of the replacement shift as an additional payment in the week that
it is worked.
For the avoidance of doubt this clause does not provide Ocado with the right to change or
cancel your rostered shift on short notice due to fluctuations in normal trading.
15. Termination of employment: During the first four weeks, we may terminate your employment
without any notice and you must give us one full day’s notice. Thereafter, and until the end of
the probationary period, your employment with us can be terminated by us or by you for any
reason on one week’s notice. We reserve the right to extend or vary your probationary period
by notice to you.
The period of notice to be given in writing by us or by you to terminate your employment after
four week’s employment with us (but less than two year’s continuous employment) is one
week. The period of notice to be given in writing by us or by you to terminate your
employment after two year’s continuous employment with us is one week’s notice for each
completed year of continuous service, up to a maximum of 12 weeks’ notice. If you commit
an act of gross misconduct, your employment contact may be terminated without notice or
pay in lieu of notice, irrespective of your length of service with us. Please refer to the

We reserve the right, in our sole discretion, to make a payment in lieu of all or any outstanding
part of the notice required to be given (if any) to terminate your employment equal to your
basic salary and the cost to us of the contractual benefits that you would have been entitled
to receive during that period. Any payment in lieu will be made subject to such deductions as
may be legally required. During any period of notice, we may require that you do not attend
Ocado premises or carry out any work or business dealings on our behalf and to refrain from
business contact with any customers, suppliers or employees of Ocado during your notice
period.
On the termination of your employment (for whatever reason) any Ocado equipment that you
were issued with including (without limitation) uniforms, mobile phones, swipe cards and
office supplies must be returned before the end of your last day to your line manager or the
People Function.
16. Grievance and Disciplinary Rules and Procedures: Details regarding the grievance and
disciplinary rules and procedures are set out in the Handbook.
17. Sickness or other unauthorised absence: If you are absent from work due to sickness or injury
, please refer to the guidelines set out in the Handbook which contains details of your
entitlement to sick pay and also our Attendance Management Procedure. If you receive a sum
of money as compensation for loss of earnings (for example, arising out of legal action
following an accident) and you were also receiving sick pay or other money from Ocado
Central Services, you will normally be required to reimburse us. People Function can give you
further information.
18. Understanding our confidentiality rules: While employed by us you must not use or disclose
any information that is or might reasonable be viewed as confidential information of Ocado,
other than in the proper course of your work with us. This obligation to keep information
confidential continues even after your employment with us ends. Ocado confidential
information includes, but is not limited to:
All company procedures, manuals and training materials used by Ocado
All computer hardware and software developed by Ocado
Any information and/or personal data about customers
The services that we are providing for our customers and relationship we have with our
suppliers and other third parties
The qualifications, performance or skills of Ocado workers

Any of our plans or strategies, including any management briefings or information
Any internal commercial or business information of Ocado, our suppliers and other third
parties
All information, documents and data including all customer lists and information
relating to Ocado that comes into your possession during your employment remains the
property of Ocado.
On termination of your employment, you must return this information to Ocado (with any
copies of it) together with any other items that are the property of Ocado.
19. Driving Licence: If you are required to drive as all or part of your duties you must provide us
with the opportunity to see your original and up to date driving licence before you start your
employment with Ocado and after that whenever we require via Ocado’s nominated third
party. If you’re employed by Ocado on a valid non UK driving licence, your employment is
conditional upon you applying for and receiving a GB licence at your own cost within six
months of your start date. During your employment with us, if you receive any points against
your driving licence (irrespective of whether you were driving on company business or not),
you are obliged to inform us within seven days of the offence and to provide detailed
information relating to the offence. Please note that if you are convicted of a driving offence
whilst employed by us you are obliged to notify us in writing. You may be subject to
disciplinary action, which could lead to your dismissal.
20. Monitoring use of Office Equipment: We reserve the right to conduct routine monitoring of our
e-mail and computer systems and you should be aware that any message sent via such
systems (even if of a personal nature) may be read at any time by us. We expressly reserve
the right to intercept, read, review, access, and disclose all e-mail messages and computer
files. Every time you use or log on to an Ocado computer, you are consenting to such action.
Please refer to the section in the Handbook on email, Internet usage and our Social
Networking policy for further information.
21. Right of search: In the course of your work you will be required to submit to a search of your
person, vehicle and personal effects including locker in accordance with the Search
Procedure in the Handbook. For more details please refer to this procedure.
22. Collective Agreements: Ocado will consult with representatives in the Ocado Council on
working arrangements relating to your employment. In relation to certain aspects of your pay
(basic pay, shift premia, service premia and overtime premia); hours (the number of hours
and shifts worked per week) and holidays (holiday entitlement). Ocado has recognised Usdaw

for the purpose of allowing its representatives to conduct collective bargaining on behalf of
all hourly paid employees employed by Ocado at all its sites named on the Usdaw agreement
and as part of the consultative process within the Ocado Council.
23. Changes to your Terms and Conditions: Ocado reserves the right to make reasonable
changes to any of your terms and conditions of employment. You will be notified in writing of
any change as soon as possible and in any event within one month of the change.
24. Equality: Ocado is an equal opportunities employer and we expect our employees to treat
each other fairly and equally regardless of their gender, sexual orientation, marital status,
pregnancy, age, race, religion or belief, disability or gender reassignment. If we find that you
have acted in breach of our equal opportunities policy or in contravention of any of the
provisions of the Equality Act 2010, we will consider this to amount to gross misconduct and
this may result in your summary dismissal.
25. Your legal right to live and work: Your employment with Ocado is subject to you having the
legal right to work in the UK. You’re required to provide us with appropriate evidence such as
a British passport, a passport or identity card from a country within the European Economic
Area (“EEA”), your passport and original work permit or visa entitling you to work in the UK. It’
s a condition of your employment that you notify us immediately in writing of any changes to
your right to live and work in the UK.

I confirm my agreement that this statement of terms and conditions of employment, together with
the applicable sections of the Employee Handbook (and any variations to it from time to time),
constitutes my entire contract of employment with Ocado Central Services Limited, and
supersedes all other agreements both oral and in writing between us. In the event there is a conflict
between any policies and these terms and conditions, these terms and conditions will take
precedence. I acknowledge that I have not entered into this agreement in reliance upon any
representation, warranty or undertaking which is not set out in this agreement.
I understand that I can access the Employee Handbook via Fuse and that if I object to anything
contained in it I must inform the Head of People Function in writing within two weeks of my start
date with Ocado.
