This Addendum is made by the undersigned BUYER and SELLER and is referenced in the Purchase
and Sale Agreement between BUYER and SELLER dated ___________ for the following described

This Addendum is hereby incorporated into and made a part of the Agreement. The offer to purchase

accepted. In any conflict of terms between this Counter Offer Addendum and the Agreement, the
terms of this Counter Offer Addendum shall prevail.

To accept this counter offer, BUYER and SELLER must sign both the Agreement and this Counter
Offer Addendum.
