PLEASE READ

1. TERMS AND CONDITIONS: Any Gauzy (Seller) QUOTATION is conditioned on Buyer’s acceptance of these Seller’s TERMS OF SALE.
Buyer shall be bound by these TERMS OF SALE without change, unless otherwise set forth in writing and accepted in writing by Seller. Terms
and conditions in this document take precedence and supersede any terms and conditions of any PO, contract, oral or written agreement
signed before the date on this quote.
2. PAYMENT TERMS: Deposits are down payments on Buyer’s order. Deposits are non-refundable. In the event that the Buyer changes or
cancels an order any or all of the deposit will be applied to work already performed and materials already purchased or processed.
3. PAYMENT METHODS: Payment can be remitted via wire transfer, check, ACH or Credit Card. A 3% processing fee is added to all Credit
Card payments. Check and Credit Card payments require additional time for processing. Funds must be received prior to orders shipping.
4. MANUFACTURING LEAD TIMES: Manufacturing lead times will be quoted at the time of order placement. Lead times start at the point in
which Shop Drawings are signed and approved and payment is received.
5. QUOTED SIZES: The sizes on your quote are block sizes. Your PO must contain final dimensions. You are responsible for ordering the
correct and final sizes.
6.TOLERANCE: +/- 1.5mm to 6mm per edge depending on size, complexity of bend, thickness, material and other design specifications.
7. CONSULT A PROFESSIONAL: Consult a professional engineer before ordering to address installation methods, glass design,
specifications, and framing systems.
8. RETROFIT FILM MUST BE INSTALLED BY A CERTIFIED INSTALLER. LC GLASS MUST BE INSTALLED BY A CERTIFIED GLAZIER.
9. LIMITED WARRANTY: Two-year warranty for Gauzy LC Glass. One-year warranty Gauzy Retrofit Film
10. WARRANTY: Warranties cover the replacement parts only, Seller will not be responsible for the removal, transport, and re-installation of
parts. Applying incompatible silicon sealants or any other glue might irreversible harm the product. We will not be responsible or provide
warranty for damages caused by the actions.

At the completion of the project, ON/OFF pictures and video must be delivered to Gauzy to activate warranty.

11. DELIVERY: Title to Goods and Risk of Loss. The delivery date, if specifically stated on the Seller’s Order Confirmation or Pro Forma, is an
estimate only and Seller shall not be bound by such date. The seller will not be liable to purchaser for compensatory, consequential or
incidental damage of any kind whether for defective or non-conforming product, breach or repudiation of any term or condition of this
document, negligence, or any other reason.
12. LIMITATION OF LIABILITY: Seller shall not be liable or responsible for any system or application design, either to Buyer or any third party.
13. LAMINATED GLASS: Laminated glass is a safety glass however it is the customer’s responsibility to understand and comply with local
building codes.
14. GOVERNING LAW: This agreement, and any Order, shall be governed by, and construed according to the laws of the state of Texas.
15. DISPUTE RESOLUTION: Any and all disputes relating to this quote or termination thereof shall be settled by binding arbitration
administered by the American Arbitration Association.
16. BY SIGNING THIS ACKNOWLEDGEMENT, PURCHASER SPECIFICALLY AGREES TO THESE TERMS AND CONDITIONS.
