3. Purchasing and Procurement

4. Revisions

Damage to property during installation unless caused by gross
negligence.
8. Confidentiality
Both parties agree to keep confidential all sensitive business or personal
information disclosed during this project.
9. Governing Law
This Agreement shall be governed by and construed in accordance with

10. Entire Agreement

insurance.

3. GST & TAXES

5. CLIENT RESPONSIBILITIES

Appoint a SPOC (Single Point of Contact) for decisions.
6. MATERIALS & WARRANTIES
Materials shall be of agreed brands/quality as per approved BOQ.
Designer provides workmanship warranty for a period of __ months

Manufacturer warranties on materials will be passed to the Client.
7. VARIATIONS & ADDITIONAL WORK
Any deviation or addition beyond the agreed scope will be charged
separately based on revised BOQ and timelines.
All changes must be approved in writing via change order.
8. INTELLECTUAL PROPERTY
All designs remain the intellectual property of the Designer until full
payment is received.
After full payment, the Client may use the designs solely for the
specified project.
9. CONFIDENTIALITY
Both parties agree to keep confidential any proprietary or sensitive
information received during the course of the project.
10. TERMINATION
This Agreement may be terminated:
By either party with 15 days’ written notice
For breach of terms or non-performance
Upon termination, the Client shall pay for work completed and any
approved material expenses.
11. LIMITATION OF LIABILITY
Designer shall not be liable for damages due to delays caused by
third-party vendors, labor strikes, force majeure events, or changes
requested by the Client.
Liability is limited to the value of the fees paid under this
Agreement.
12. GOVERNING LAW & JURISDICTION
This Agreement shall be governed by the laws of India.
Jurisdiction for any disputes arising from this agreement shall be the
