RELEASE, WAIVER AND QUITCLAIM
I, _________________, of legal age, with address at
__________________________________, hereby attest that I have been separated from ARINSO
INTERNATIONAL PHILIPPINES INC (hereinafter the “Employer”) as
______________________ of effective the close of business on ____________________, and
further manifest and declare that:
1. I have been fully paid all my salaries, allowances, and other benefits, that are due me,
which I have duly received, to my full satisfaction, representing all my privileges,
benefits emoluments, and entitlements, including but not limited to my full
compensation, pro-rata portion of my 13th month pay, and the monetary equivalent of all
benefits, which may be due to me from my employer under Philippine labor laws,
existing agreements and/or company practices or policies, as well as claims, demands and
benefits of whatever nature which I have, or may have, arising from or related with my
employment, as evidenced by my signature herein, whether such amounts are due me by
virtue of my contract of employment or any law, rule on equity, company policy,
program and/or company practice.
2. Having separated from the Employer, I acknowledge and admit that I am not entitled to
further benefits, separation pay or any other kind of emoluments, either by law or equity.
3. Having separated from the Employer, I will retain possession of the UBP ATM (with
NGA logo) issued to me, wherein my final salary shall be credited. I shall take full
responsibility in the use of the ATM and the Company shall no longer be liable should
the ATM be used in personal/financial related transactions.
4. I confirm that I release, remise, waive and forever discharge Employer, its subsidiaries,
affiliates, related companies, principals, shareholders, directors, officers, employees and
agents from any action, whether civil, criminal, administrative or otherwise, or from any
claim of any kind or character, such as, but not limited to, salaries, allowances, other
benefits, or from any right or demand whatsoever, in law or in equity, that I may now
have or may acquire in the future and/or that my heirs, executors or administrators may
have by reason of any matter, cause or thing whatsoever, arising out of or incidental to
my employment with Employer or due to the cessation of said employment.
5. I undertake not to do anything prejudicial to the interests of Employer, its subsidiaries,
affiliates, related companies, principals, shareholders, directors, officers, employees and
agents. I also agree that whenever so requested, without any expectation of
compensation, I will assist said persons or entities in a reasonable manner that may be
requested of me relative to any matter of which I have personal knowledge.
6. I will not at any time in any manner whatsoever, directly or indirectly, disclose to any
person or entity, any information of any kind relating to the businesses or operations of
Employer, its subsidiaries, affiliates, related companies, principals, shareholders,
directors, officers, employees and agents, including, but not limited to, information
concerning their plans, processes or data of any kind which I acquired, learned, and
received during my employment. I also undertake to keep the terms of this document
confidential.
7. I shall render all cooperation to Employer that it may deem necessary, and I obligate
myself to turn over and account for all records, books, money, properties, and assets of
Employer that are in my possession or have been entrusted to my custody.
8. I shall not cause, encourage, persuade, abet, or aid any employee, agent, consultant,
supplier or service provider of Employer to violate any of the terms of its contract,
agreement or arrangement with Employer and hereby acknowledge that such act
constitutes both a tortious and contractual breach on my part, making me personally
liable to Employer, either directly or severally with the erring employee, agent,
consultant or service provider of Employer.
9. I recognize Employer’s right and authorize Employer to deduct from any sum of money
belonging to me as a result of my employment with Employer, including any sum of
money that I may receive under this instrument, any amount that I may owe Employer.
10. Even if I am awarded any claim under any law or any order of competent authority, the
consideration mentioned in clause 1 above shall be considered full and final settlement of
any and all such claims.
11. I have no cause of action whatsoever against Employer, its subsidiaries, affiliates, related
companies, principals, shareholders, directors, officers, employees and agents in respect
of any matter arising out of or incidental to my employment or due to my separation from
the company.
12. If I commit an act contrary to any provision of this instrument, I will hold Employer, its
subsidiaries, affiliates, related companies, principals, stockholders, directors, officers,
employees and agents free and harmless from any and all liabilities, and will pay for all
damages suffered by them. I similarly hold Employer its subsidiaries, affiliates, related
companies, principals, stockholders, directors, officers, employees and agents free and
harmless from any and all liabilities, and will pay for all damages suffered by them on
account of any action or claim filed against any of them on account of my acts/omissions
as a former employee.
13. I have personally read this instrument entitled Release, Waiver and Quitclaim, and fully
understood every word of it and its meaning and have affixed my signature hereunder
voluntarily and freely with the full and complete knowledge of the meaning and intent of
this instrument and of my rights under existing laws and rules on equity, without anyone
or anything causing undue influence on me, coercing me and forcing me through fraud,
machinations, violence or threats.
