I. Requirement / Client Need
ACS has a requirement to upgrade several rooms on Schofield Barracks and Fort Shafter Hawaii.
ACS Schofield Barracks, Bldg 2091 will have a VTC suite with speakers, microphones, 70” SMART
Board on a stand, 70” LED TV on a stand, and BluRay DVD. It will all be controlled with a touch
panel control system.
Fort Shafter, Bldg. S330 will have a VTC suite with speakers, microphones, 70” SMART Board on a
stand, 70” LED TV on a stand, and BluRay DVD. It will all be controlled with a touch panel control
system.
Schofield Barracks, SFAC, Bldg 663 will have a 70” SMART Board on a stand and a 70” LED TV that
is wall mounted with miscellaneous cables for connection.
Schofield Barracks. FRC, Bldg. 647 a 70” SMART Board on a stand with miscellaneous cables for
connection.
Training should be provided on all equipment.
II. Scope
Description
1) Scope: This SOW includes and is limited to the Installation, and Configuration of the following items
a) Equipment in yellow is provided by IRONBOW, the rest is provided by Prosis.

2) Training: Hours for training is listed in the quote under “Customer Service Rep / Trainer.” Training
shall be provided for up to five personnel in the operation and administration of the installed equipment.
The training includes one day dedicated to onsite training and will cover the following topics:
a) Encoder Operation and Administration
b) Managing Content
c) Global Configuration
d) User system administration
e) System Operation
3) Documentation: Manufacturer’s documentation shall be provided at the time of project completion.
Additionally, Prosis shall provide the following to the Customer and End-User:
a) As Built Report – this includes applicable IP addresses, subnet masks, and access account
passwords
b) Copy of the signed Project Acceptance
c) Training Documentation – Two (2) printed copies of the user guide and one (1) soft copy.
4) Equipment Delivery: Customer is responsible for managing shipment of all components to the
installation location (e.g. server room). Typically, equipment delivery is to the doorstep, so the End-
User shall be responsible for receiving, inventorying, and storing equipment in a secure environment
until the installation team’s visit is scheduled. Once a site visit is coordinated, the Customer is
responsible for staging equipment in the exact building, floor, and room where the equipment is to be
installed.
5) Installation: After Prosis’ acceptance of a valid purchase order, all installations shall be scheduled with
at least ten (10) business days in advance. Customer may cancel a pre-scheduled installation by
providing Prosis with notice at least two (2) business days notice before the installation date. For a
system of this scope and size, Prosis estimates two (2) weeks from installation start date to Delivery &
Acceptance, barring any unforeseen delays due to Customer/End-User conflicts. This estimate does
not include any certification and accreditation approvals required by the End-User’s owning Service or
other DoD Agency.
III. Assumptions / Customer & End-User Requirements
1) Site Preparations: Prior to the arrival of the Prosis installation team, the Customer/End-User will
accomplish the following:
i) Provide physical space to accommodate additional equipment
ii) Provide the RJ45 port density required for each installed product, copper, tested and ready for
use at install site.

iii) 115V/60HZ power must available at all sites for all equipment
iv) All user training will be completed on the installed equipment only
v) To prevent undue delays at security checkpoints and access to spaces, Customer/End-User must
communicate with Prosis security manager prior to arrival on-site if security documents are
required for access.
vi) For the provided training, End-User will provide:
(1) Dedicated Classroom
(2) Seating accommodating the class size
(3) In focus projector
(4) Access to installed equipment for training
2) Access: The Customer/End-User shall permit Prosis personnel a reasonable level of access to the
installation site during the installation period. If after-hours work is required, the on-site Technician
shall coordinate with the Customer/End-User as appropriate. If Prosis technicians are prohibited from
accessing the installation sites and/or from performing their work, the Customer/End-User agrees to
coordinate a suitable Period of Performance extension through their Contracting Officer Representative
or equivalent Point of Contact and reimburse any travel expenses, if applicable.
3) Re-Work: While every effort shall be made to accommodate the End-User during scheduling conflicts
such as real-world contingencies, planned/unplanned inspections or exercises, the system being
installed by Prosis shall not be utilized by any government entity until an equipment Delivery &
Acceptance has been approved and payment has been initiated for all materials provided. If any
components are broken, reconfigured, or system cabling is modified as a result of unapproved use of
equipment that has been installed but not delivered/signed off by the Customer/End-User, any
corrective measures necessary to re-establish the previous system baseline shall be charged to the
Customer/End-User on a time and materials basis.
IV. Planning and Execution
1) The project timeline estimate for the planning and execution of Services is within 45 days from date
of execution by both parties for a duration period of not more than 6 months after start. If Services
have not been scheduled at the execution of this SOW, a timeline should be developed mutually by both
Parties and agreed to prior to the commencement of each Services phase. The actual start date will depend
on the following considerations:
1.1) Scheduled availability of a qualified systems engineer.
1.2) Receipt of equipment when applicable.
1.3) Receipt of signed SOW from Customer prior to proposed start date.
1.4) Receipt of Purchase Order from customer.
2) Either party may terminate the SOW for any reason on forty five (45) days prior written notice to the
other party. Upon any such termination, Prosis Hawaii LLC will be paid all fees and expenses which have
been incurred or earned in connection with the performance of the Services through the effective date of
such termination. Additionally, in the event Customer cancels any Services with less than two (2) weeks
prior notice, Customer shall reimburse Prosis Hawaii LLC for any non-refundable expenses incurred in
preparation for such cancelled Services.

3) Payment is due upon receipt of invoice. Customer acknowledges that Prosis Hawaii LLC may
participate in and retain the benefit of incentive plans or other programs with, among others, its travel
providers wherein Prosis Hawaii LLC may receive benefits, such as frequent flier miles or other
consideration for corporate travel volume. All fees, expenses and other charges for the Services do not
include any sales, use, excise, value added, or other applicable taxes, tariffs or duties, payment that may
be due on such amounts, and shall be the sole responsibility of Customer (excluding any applicable taxes
based on Prosis Hawaii LLC' net income or taxes arising from the employment or independent contractor
relationship between Prosis Hawaii LLC and its personnel).
4) Upon Prosis Hawaii LLC’ completion of Equipment Delivery or Service Prosis Hawaii LLC shall
notify Customer of completion of the specific Equipment Delivery or Service performed by providing a
Equipment Delivery/Service Acceptance request. Customer has five (5) working days from the receipt of
this request to schedule appropriate personnel to review the particular Equipment Delivery or Services
performed and sign the request. Signing of this request, or Customer’s failure to respond to the request
within the designated five (5) working day period, signifies Customer’s acceptance of the Equipment
Delivery and that Services have been performed as described in the request and in accordance with the
SOW. In order to refuse acceptance of the Services performed, Customer must provide Prosis Hawaii
LLC with full details that show that Services do not conform to the SOW. Prosis Hawaii LLC shall
address such non-conformance in a timely manner. Prosis Hawaii LLC shall compile an action plan to
correct any deficiencies and the process for acceptance detailed herein shall be repeated until such time as
all deficiencies have been resolved and the Services meet the requirements of the SOW. Acceptance may
not be withheld due to defects in Services that do not represent a material non-conformance with the
requirements of the SOW.
V. Payment Terms
Payment terms are specified on the attached Bill of Materials.
VI. Limitation of Liability
Prosis shall not be liable for any loss to Customer/End-User of service, revenue, business, profits, and/or any
other damage or costs arising from causes beyond the control and without the fault or negligence of Prosis,
including but not limited to: (1) acts of God or of the public enemy, (2) acts of the Government in either its
sovereign or contractual capacity, (3) fires, (4) floods, (5) epidemics, (6) quarantine restrictions, (7) strikes, (8)
freight embargoes, (9) unusually severe weather, (10) inadequate/insufficient/unstable electrical power, and
(11) burnt-in images on plasma screens caused when the monitors are left on by the End-User.
In no event shall Prosis be liable for any loss of profits or revenue or for any consequential, incidental, special,
punitive or exemplary damages incurred or suffered by Customer/End-User, even if Prosis has been advised of
the possibility of such loss or damage. Prosis’s sole liability for any damages, losses, claims and/or actions
arising out of its performance and/or provision of equipment shall not exceed the amount paid by Customer for
the equipment and/or services at issue.

If Prosis technicians are prohibited from accessing the installation sites and/or from performing their work, the Customer/End-User agrees to coordinate a suitable Period of Performance extension through their Contracting Officer Representative or equivalent Point of Contact and reimburse any travel expenses, if applicable. 3) Re-Work: While every effort shall be made to accommodate the End-User during scheduling conflicts such as real-world contingencies, planned/unplanned inspections or exercises, the system being installed by Prosis shall not be utilized by any government entity until an equipment Delivery & Acceptance has been approved and payment has been initiated for all materials provided. If any components are broken, reconfigured, or system cabling is modified as a result of unapproved use of equipment that has been installed but not delivered/signed off by the Customer/End-User, any corrective measures necessary to re-establish the previous system baseline shall be charged to the Customer/End-User on a time and materials basis. IV. Planning and Execution 1) The project timeline estimate for the planning and execution of Services is within 45 days from date of execution by both parties for a duration period of not more than 6 months after start. If Services have not been scheduled at the execution of this SOW, a timeline should be developed mutually by both Parties and agreed to prior to the commencement of each Services phase. The actual start date will depend on the following considerations: 1.1) Scheduled availability of a qualified systems engineer. 1.2) Receipt of equipment when applicable. 1.3) Receipt of signed SOW from Customer prior to proposed start date. 1.4) Receipt of Purchase Order from customer. 2) Either party may terminate the SOW for any reason on forty five (45) days prior written notice to the other party. Upon any such termination, Prosis Hawaii LLC will be paid all fees and expenses which have been incurred or earned in connection with the performance of the Services through the effective date of such termination. Additionally, in the event Customer cancels any Services with less than two (2) weeks prior notice, Customer shall reimburse Prosis Hawaii LLC for any non-refundable expenses incurred in preparation for such cancelled Services.

Shafter, Hawaii - 5 - THIS DOCUMENT IS CONFIDENTIAL AND PROPRIETARY TO PROSIS HAWAII LLC AND MAY NOT BE REPRODUCED, PUBLISHED OR DISCLOSED TO OTHERS WITHOUT COMPANY AUTHORIZATION. 3) Payment is due upon receipt of invoice. Customer acknowledges that Prosis Hawaii LLC may participate in and retain the benefit of incentive plans or other programs with, among others, its travel providers wherein Prosis Hawaii LLC may receive benefits, such as frequent flier miles or other consideration for corporate travel volume. All fees, expenses and other charges for the Services do not include any sales, use, excise, value added, or other applicable taxes, tariffs or duties, payment that may be due on such amounts, and shall be the sole responsibility of Customer (excluding any applicable taxes based on Prosis Hawaii LLC' net income or taxes arising from the employment or independent contractor relationship between Prosis Hawaii LLC and its personnel). 4) Upon Prosis Hawaii LLC’ completion of Equipment Delivery or Service Prosis Hawaii LLC shall notify Customer of completion of the specific Equipment Delivery or Service performed by providing a Equipment Delivery/Service Acceptance request. Customer has five (5) working days from the receipt of this request to schedule appropriate personnel to review the particular Equipment Delivery or Services performed and sign the request. Signing of this request, or Customer’s failure to respond to the request within the designated five (5) working day period, signifies Customer’s acceptance of the Equipment Delivery and that Services have been performed as described in the request and in accordance with the SOW. In order to refuse acceptance of the Services performed, Customer must provide Prosis Hawaii LLC with full details that show that Services do not conform to the SOW. Prosis Hawaii LLC shall address such non-conformance in a timely manner. Prosis Hawaii LLC shall compile an action plan to correct any deficiencies and the process for acceptance detailed herein shall be repeated until such time as all deficiencies have been resolved and the Services meet the requirements of the SOW. Acceptance may not be withheld due to defects in Services that do not represent a material non-conformance with the requirements of the SOW. V. Payment Terms Payment terms are specified on the attached Bill of Materials. VI. Limitation of Liability Prosis shall not be liable for any loss to Customer/End-User of service, revenue, business, profits, and/or any other damage or costs arising from causes beyond the control and without the fault or negligence of Prosis, including but not limited to: (1) acts of God or of the public enemy, (2) acts of the Government in either its sovereign or contractual capacity, (3) fires, (4) floods, (5) epidemics, (6) quarantine restrictions, (7) strikes, (8) freight embargoes, (9) unusually severe weather, (10) inadequate/insufficient/unstable electrical power, and (11) burnt-in images on plasma screens caused when the monitors are left on by the End-User. In no event shall Prosis be liable for any loss of profits or revenue or for any consequential, incidental, special, punitive or exemplary damages incurred or suffered by Customer/End-User, even if Prosis has been advised of the possibility of such loss or damage. Prosis’s sole liability for any damages, losses, claims and/or actions arising out of its performance and/or provision of equipment shall not exceed the amount paid by Customer for the equipment and/or services at issue.
