AMAG Leasing AG successfully placed two senior green bond tranches in the total amount of CHF 280,000,000 with the first tranche amounting to CHF 165,000,000 with maturity in 2028 and a coupon of 1.16 percent and the second tranche amounting to CHF 115,000,000 with maturity in 2031 and a coupon of 1.53 percent. The bonds will be listed on the SIX Swiss Exchange. UBS Investment Bank, Zürcher Kantonalbank and Basler Kantonalbank acted as Joint Lead Managers. Walder Wyss advised AMAG Leasing AG on all Swiss legal aspects of this transaction. Global private equity healthcare specialist ARCHIMED acquired a majority stake in ExcellGene and Magellan Biologics & Consulting (both in the biologic therapeutics sector), partnering with founders and management, to create a group covering gene transfer, cell line development and cell culture-based manufacturing for high-performance production of recombinant proteins, and other advanced therapeutics. Completion of the transaction is subject to customary regulatory approvals. synvert is a leading consulting firm in the data and AI space, delivering advanced expertise in AI-driven business design, data access and governance, integration, and operations. synvert employs around 550 people and has a strong presence in Germany, Switzerland, Spain, Portugal, and the Middle East. The Hitachi Group is a globally operating Japanese technology conglomerate with over 280,000 employees worldwide. Its US subsidiary, GlobalLogic, is headquartered in Silicon Valley and is a leading partner in the field of digital engineering. With more than 32,000 employees, GlobalLogic supports companies worldwide in designing and implementing AI-driven products, platforms, and digital experiences. A team from the German law firm Gleiss Lutz, acted as lead legal advisor on the overall transaction. Walder Wyss advised GlobalLogic Inc. and Gleiss Lutz as Swiss legal advisor on the transaction. ZEISS Vision Care has entered into a definitive agreement to acquire a 10% stake in Ocumeda AG at a total company valuation of EUR 100m from Fielmann Group with the intention to extend the investment up to a 25% stake. Ocumeda is Europe’s leading tele-ophthalmology platform connecting about 300,000 active patients and 700 optical retail stores with ophthalmologists and the medical community. ZEISS Vision Care and Fielmann Group plan to expand the open teleophthalmology platform across Europe. Walder Wyss advised Fielmann Group and Ocumeda in this transaction. On 30 September 2025, BOBST GROUP SA successfully completed its issuance of CHF 200m senior unsecured bonds with a maturity date in 2030 and a coupon of 2.05%. The bonds will be listed on the SIX Swiss Exchange. UBS AG, BNP Paribas, Lancy/Geneva Branch and the Cantonal Bank of Zurich (ZKB) acted as Joint Lead Managers. On 26 September 2025, the Swiss parliament passed the Swiss Federal Act on the Transparency of Legal Entities and the Identification of Beneficial Owners (Bundesgesetz über die Transparenz juristischer Personen und die Identifikation der wirtschaftlich berechtigten Personen / Loi fédérale sur la transparence des personnes morales et l’identification des ayants droit économiques) (the Act). The Act aims to ensure transparency regarding the beneficial ownership of legal entities and thereby combating money laundering, organized crime, and terrorist financing. The draft of the implementing Swiss Federal Ordinance on the Act (the Ordinance) will likely be published before the end of 2025. Both the Act and the Ordinance are expected to enter into force on or around 2027, thereby superseding the current rules on the identification of beneficial owners (so-called GAFI Rules) that came into effect in 2015.
