Strengthening governance and transparency in India’s early-stage investment ecosystem, Securities and Exchange Board of India (SEBI) has extended the compliance timeline for Angel Funds to implement a defined investment allocation methodology in their Private Placement Memoranda (PPMs). Sanchit Kapoor, Partner, IC RegFin Legal Partners LLP shares an analysis of the key provisions of SEBI’s circular: SEBI, vide its circular dated 10 September 2025, had mandated that existing Angel Funds disclose a defined methodology for the allocation of investments in their PPMs, with effect from 15 October 2025. This timeline has now been extended to 31 January 2026, pursuant to SEBI’s circular dated 15 October 2025. Accordingly, any investment made by existing Angel Funds post 31 January 2026, will need to follow the allocation methodology disclosed in their PPMs. Further, SEBI has clarified that all other provisions of the 10 September 2025 circular remain in effect. 𝗧𝗵𝗲𝘀𝗲 𝗽𝗿𝗼𝘃𝗶𝘀𝗶𝗼𝗻𝘀 𝗶𝗻𝗰𝗹𝘂𝗱𝗲: (a) Offering investment opportunities to all investors. (b) Ensuring that offers are not made to more than 200 non-accredited investors. (c) Investors’ rights in investments and distributions being pro-rata to their contribution, with carried interest allocated solely to the investment manager, sponsor, or employees/directors/partners of the investment manager/AIF. (d) Adherence to revised continuing interest requirements, among others.
