UGRO Capital has received regulatory approval from the Reserve Bank of India (RBI) to acquire 100% shareholding in Profectus Capital Pvt. Ltd. The all-cash deal, valued at about ₹1,400 crore, is expected to close by October 31, 2025, subject to satisfying customary closing conditions. Upon completion, Profectus will become a subsidiary of UGRO, and a formal application will be filed to merge the entity into UGRO, with an effective merger date of April 1, 2025. The acquisition is poised to significantly expand UGRO’s portfolio, driving a 29% growth in Assets Under Management (AUM). It strengthens UGRO’s secured asset mix and helps diversify into high-yield emerging market opportunities and embedded finance.
