What Buyers Look for in a Business: Cash Flow Appeal 👉What is cash flow? It is as simple as the activity in your bank account, cash receipts and cash payments. Having an efficient way to measure cash flow is important for you to understand how your business is doing. Investors, other partners, and potential buyers look at your business’s cash flow as a measure of how well you operate your business. When you are finally ready to exit, cash flow will be a primary determinant of your business value. At minimum, three years of increasing cash flow history are optimal in the eyes of a buyer and the banker that finances the transaction. It takes time to plan and build a business that maximizes your exit value. And that does not include the speed bumps along the way that are outside of our control. Uncertain times? Tariffs and trade wars? Rising costs? Are you thinking of selling your business? You may want to consider increasing your pricing. Once a business is listed for sale, there can be a tendency to relax and ride the wave until the closing date. However, given that a business sale takes between 9 months and a year, we recommend you maintain your margins and cash flow for that time period. If margins are not maintained the exit value will suffer. Based on lower cash flow, your buyer will negotiate the selling price downward. And after the sale, your buyer will be put in the difficult position of fixing things. It is a tricky thing. You don’t want to be first out with a price increase, and you don’t want to drive customers away. This is especially difficult when the rules change (such as those around tariffs). But when you know cost increases are sticking, you need to increase your pricing to maintain your margins. Or reduce your costs. Communication with customers is critical during these times. They want to know ahead of time about a price increase (if possible), that their supply is secure, and they want to hear about all that you are doing to minimize their cost.
