On Wednesday evening, I was honored to moderate a panel for my acquisitions class at NYU Schack. While I typically try to arrange guest speakers, this year we were fortunate that two industry leaders agreed to address the class. Jason Barnett, Vice Chairman & Chief Legal Officer at RXR and Steven Rudgayzer, Partner at Fried Frank led a discussion on Purchase and Sale Agreements. Given their depth of experience acquiring some of the largest NYC office properties, I asked them to walk the students through the key business and legal considerations when negotiating a contract of sale. They also conducted a mock negotiation that illustrated how seller and buyer work through their differences and reach agreement. Given the obvious overlap between my course and the real estate law class we opened this event to students from both as well as the wider student body. Guests also included my staff at Townhouse Partners since the topic was relevant to our role underwriting debt for the most prominent lenders. I am thrilled with the outcome as were so many of the attendees. Jason and Steve led an “intimate” working discussion among 60 +/- and covered important issues not well understood by graduate students embarking on their CRE careers. In what became many teachable moments, they fielded questions from the highly engaged audience and helped clarify complex concepts and impart knowledge and wisdom. The discussion often led back to my 10-year tenure as a Vice President of Investments for Reckson Associates (the predecessor to RXR) and the experience I gained that forms the basis for my acquisition course which I developed in 2009. Again, kudos to Jason and Steve for such a successful event and being so generous with their time and knowledge.
