“To protect clients and shareholders, insurers must anticipate how governance and operational risk failures intersect with securities claims.” Event-driven litigation is reshaping the D&O insurance market. Howden Re’s latest Casualty in Focus article, The Shifting Sands of Securities Litigation, explores how operational risk events such as wildfires, data breaches, public health crises, and product failures are no longer peripheral to D&O liability. They are now central to securities litigation in the U.S. As Brian Turner, Managing Director at Howden Re, notes: "Insurers therefore must adapt by reassessing underwriting strategies, limiting exposures to high-risk accounts and maintaining sharper focus on portfolio construction to navigate this shifting landscape." For insurers and brokers, this means rethinking portfolio diversification, attachment strategies, and how best to adapt in a market where the next big event, not a balance sheet misstatement, may drive the largest losses. Underinsurance is one of the biggest risks brokers face, and when it leads to reduced payouts, clients are left frustrated, often blaming their broker. A serious fire destroyed four farm buildings, and while liability was accepted, the insurer’s loss adjuster applied “average,” slashing the payout on the grounds of underinsurance. CEC reviewed the case and argued that the farmer’s sums insured reflected his plan to rebuild himself. By pressing this point and exploring alternatives, we secured an increase from £53K to £75K, protecting both the client relationship and the broker’s reputation. Interesting article providing an overview of shareholder class actions, analysis of Side A / B / C coverage under a directors and officers liability program and examples of where even though Directors and Officers cover could've applied, courts have ruled that the individual is personally responsible for paying fines and no indemnification is provided. "This overseas insurer interest is likely putting price pressure on Australian insurers. In their H1 2023 report on D&O Insurance, Aon noted that a number of insurers have also released or are releasing new or refreshed primary policy wordings, in an attempt to retain current or entice desired clients." https://lnkd.in/guaXGCjH
