Today AFME and ICMA - International Capital Market Association jointly published their template non-disclosure agreement for use in high yield and leveraged finance transactions and investment grade and sub-investment grade bond offerings (as well as other relevant capital markets transactions).   The template has been designed to reduce the often timely and costly negotiations undertaken between the parties to a transaction where confidential information might be exchanged and used. It has been produced and reviewed by a comprehensive sample of the market, and is intended to serve as a market standard to help streamline processes and increase efficiency and certainty around such transactions. Family Bank Ltd shareholders will meet virtually on October 27, 2025, for an Extraordinary General Meeting (EGM) to vote on a proposal to list the bank’s ordinary shares on the Nairobi Securities Exchange PLC (NSE) by introduction. Listing by introduction will allow existing shares to trade on the NSE without raising new capital. This will improve liquidity for shareholders currently trading over-the-counter and enhance transparency through NSE reporting rules. The board has also left the option of an Initial Public Offering (IPO) open if market conditions support it. 💰 Citadele has successfully issued €50 million in perpetual AT1 notes, attracting strong interest from international investors. The notes were priced with a 7.125% coupon and received orders totaling around €180 million — more than three times the amount offered. 🔴 This marks the most competitively priced AT1 transaction out of the Baltics to date. “Further highlighting the success of this issuance, Moody’s has assigned a Ba3 rating to the newly issued AT1 securities and upgraded our senior unsecured debt rating to Baa1 (from Baa2), with a stable outlook -  further reinforcing the bank’s financial strength and credibility” - Valters Abele, Chief Financial Officer at Citadele bank.
