The SEC has recently issued no-action relief to ExxonMobil (Exxon), providing a path forward for Exxon’s automatic retail voting program. - The program gives Exxon’s retail investors an option to automatically have their votes cast in line with the recommendation of the company’s board at shareholder meetings. - This is the first time the SEC has granted no-action relief for a non-financial public company to pursue a retail voting program. - The SEC has not responded to a request to rescind its no-action relief filed by two shareholder activist groups arguing that the program conflicts with Rule 14a-4 and provides an unfair advantage to the company’s management. A struggling broker-dealer’s efforts to close all of its retail customer accounts by applying theories of abandonment, including mischaracterizing securities as “worthless” and making misstatements with respect to state unclaimed property processes, resulted in a complete victory for the SEC in federal court litigation. Key violations included: - Improper mass abandonment: transfer of $54 million of customer assets to internal unclaimed property holding accounts without conducting any genuine abandonment analysis. - False customer communications: communications to customers that implied customer assets had been transferred to state authorities when in fact those assets remained in the broker-dealer’s custody. - Forced liquidation scheme: sale of customer positions valued below $1,500 to the firm’s own account without customer authorization, and the restoration of the accounts only if customers agreed to liquidate or transfer out.
