BOARD RESOLUTION

Smoothie Land Corporation

Resolution Number: 2013-1-01013

The following resolution was passed at a meeting of the Board of Directors of Smoothie Land Corporation hereinafter referred to as the Company on the 14th day of March, 2013. It was resolved that: Mr. Johnny Marc Dy, the president of the Company be hereby authorized to secure a loan of Five Million Pesos (P5,000,000.00) with Metropolitan Banking and Trust Company which loan shall be secured by a company asset herein referred to as Lot Number 2342 situated in Dumaguete City, Negros Oriental for and on behalf of the Company. It was also resolved that he be authorized to sign, initial, accept or execute all documents in connection with the transaction.
