WALDREN, LUCY LINAYAO PRYOR, CECELIA RAMOS LINAYAO, IRENE
LINAYAO-PUTMAN and TERESA LINAYAO, all American Citizen, and all of legal age
and residents of California and Alaska, do hereby irrevocably name, constitute and appoint
CARLOS R. LINAYAO JR., American Citizen, of legal age, with residence address at 3878

signature we now hereby attest to be true, genuine and authentic, to be our true and lawful

2. To accept and collect full payment in his name and/or in our joint names, the proceeds
of sale of the aforesaid described property and sign for the receipt thereof;
3. To sign and execute any all documents of sale, transfer or conveyance of the
aforementioned property;
4. To pay any and all unpaid or accrued property taxes including such capital gains and
documentary stamp taxes necessary to affect the registration of the sale and the transfer
of title of the said property to the buyer or purchaser of the same;
5. To engage the services of a reputable real estate broker, a lawyer, a tax professional and
such professional real estate practitioner, if necessary, to ensure the expeditious and
smooth sale of the property and to pay their respective fees and/or commissions from
out of the proceeds of the sale of the same;
6. To do and perform any and all other lawful act and deeds necessary to undertake the
execution and finalization of sale, transfer or conveyance of the said property;
7. This Irrevocable Special Power of Attorney is coupled with consideration and it is
agreed that this Irrevocable Special Power of Attorney shall not be revoked or cancelled
without the prior written consent of the undersigned principal.
HEREBY GIVING AND GRANTING unto our said attorney-in-fact full powers
and authority to do and perform all and every act requisite or necessary to carry into effect the
foregoing powers, as fully to all intents and purposes as we might or could lawfully do if
personally present, with full power of substitution and revocation, and hereby ratifying and
confirming all that my said attorney or his substitute shall lawfully do or cause to be done by
virtue hereof.
