This Memorandum of Agreement is entered into this 12th day of September, in Quezon City, by and
between:
JS TRADING, a corporation existing and registered under the laws of the Republic of the
Philippines, with principal address at Unit 6A, 8101 Pearl Drive, Ortigas Center, Pasig City,
represented in this Agreement by its President / OIC, Mr. Park Sung Hyun, and its Financial
Officer Mr. Song Ha Park, hereinafter referred to as “CLIENT”,

QD TOP IMPORT & EXPORT PHILS. CORP., a corporation existing and registered under
the laws of the Republic of the Philippines, with principal address at 39 Data Street, Barangay
don Manuel, Quezon City, represented in this Agreement by its President, Benedict G. Lam,
hereinafter referred to as “SUPPLIER”,
CLIENT and SUPPLIER shall be collectively referred to herein as “Parties” or singly as
“Party”.
WITNESSETH, That:
WHEREAS, the SUPPLIER is engaged in the business of selling, distributing, installing or otherwise
providing LED Solar Street Lamps (hereinafter, referred to as “Materials”).
WHEREAS, the CLIENT desires to purchase from the SUPPLIER, the materials as may be necessary
or desirable for the Supply and Delivery of Solar Lamp Heads to Municipality of Burgos, Ilocos Sur.
WHEREAS, THIS AGREEMENT is made for the release of Three Hundred Thousand Pesos
(300,000.00) from JS TRADING as a partial payment for the 289 pieces of LED Solar Lamp Head
purchased to QD TOP IMPORT and EXPORT PHILS CORP., and is expected to be delivered to Manila
within 17 working days.
WHEREAS, SUPPLIER expressly warrants, confirms and guarantees that the purchase price of the
Materials provided in this Agreement shall be applicable throughout the term of this Agreement, as well
as any valid extension hereof. The SUPPLIER further acknowledges and confirms that the fixing of the
purchase price, as provided in this Agreement, is likewise a principal consideration of the CLIENT in
entering into this Agreement.
IN WITNESS WHEREOF, the Parties have caused this Agreement to be executed on the day
and year first above written.

This Acknowledgment refers to a Memorandum of Agreement between JS TRADING and QD TOP
IMPORT & EXPORT PHILS CORP consisting of two (2) pages, including the page on which this
Acknowledgment is written, signed by the parties and their witnesses on each and every page hereof.
