We reference to your quotation Dated _________ and subsequent discussions held

moth with you. We are pleased to inform that, we are releasing the LOI for Rental of
Grader at Our ___________site with following terms & conditions:

Scope of Work:

Note: Machine should be available for in working condition with required operators at
site.
Terms & Conditions:

 Validity : The duration of the contract period is for 06

(six) Months from the date of commencement.
 Maintenance : 4 Days per month can be taken anytime
during the month. We shall not make any deduction
on account of Breakdown upto 4 days a month.
 GST : Current 18% As Applicable under GST Act shall be
paid extra if there are any changes.
 TDS : As per Government Rules
 HSD : HSD shall be provided by us on Free of Cost
Basis Average Diesel Consumption of Motor
Grader shall be considered at @ 11 Ltrs per Hour.

 Billing : You will submit your monthly bill and extra hours
and extra days will be paid on Pro-rata Basis.
Your payment will be paid after 3 days of receipt
of Bill without fail to your Bank Account only.
 Advance : One Month Advance shall be paid to you and shall
Be adjusted with the final bill only.
 Accommodation & : Accommodation / Room shall be provided by us
and Fooding Fooding for the operator & Helpers shall also be
provided by us. We shall pay you Rs. 6000/-
monthly over and above the monthly rent, if it is not provided by us.
 Operator : Operator should be available at site for one shift
only.
 Termination : Both parties reserve the right to terminate the
contract at any point of time by giving minimum 3
days prior notice, and is not liable to give any
 reasons whatsoever and compensation in lieu of
the same.
 Governing laws & : This LOI shall be constructed and interpreted in
Jurisdiction accordance with and governed by the Laws of
India and shall have exclusive jurisdiction.j
 Transportation: if equipment to be used for less three months than both side
of mobilization, will be paid by us, and if used beyond 3 months than one side
Mobilization will be paid by us.
 Clause-1: If breakdown is more than 4 days then proportionate deduction
shall be made in a month.
 Clause-II: If Operator is not available at work time than equipment will be
treated as Break Down.
 Clause-III: Overtime payment shall be made to you for working beyond 250
hours and 26 days in a month.
 Clause-IV: No materials/ spares shall be given by us to our operator.
 Clause-V: You shall not responsible for any losses of your work, on Account
of breakdown/ stoppage of machinery. No compensation on this account shall
be claimed by us.
 Clause-VI: In case of delay/ non-timely payment, you shall be at liberty to
demobilize our Motor Grader If the Motor Grader is stopped forcible by us we
shall be liable to pay demurrage @Rs.15,000/- per day to you.
 Clause-VII: No claims whatsoever shall be entertained by us. There shall be
no reimbursement payable by you to us on account of transportation charges
for mobilization of the Motor Grader, in case the Motor Grader is demobilized
by you on whatsoever account.
 Clause-VIII: There shall be no deduction upto 3 days each for Diwali & Holi
Festivals. This is other than the Maintenance / Breakdown period.
 Clause-IX: We shall be responsible for the safety & security of the machine at
our site.
