Dear [LETTER_RECIPIENT_NAME]:
You freely entered into a signed written contract between you and [LETTER_SENDER_NAME]
regarding a Non-Compete Agreement on [ORIGINAL_AGREEMENT_DATE] at the time you
accepted employment with [ORIGINAL_AGREEMENT_COMPANY]. This agreement
stipulated that you not compete for a period of two years independently or through a competitor
of [ORIGINAL_AGREEMENT_COMPANY] within [LETTER_SENDER_CITY].
More specifically, your Non-Compete Agreement states that you will refrain from any direct or
indirect contact with current employees, vendors, customers or any other individual entity
maintaining a contractual relationship with [ORIGINAL_AGREEMENT_COMPANY] that
develops, manufactures, markets, distributes and/or sells any products/services provided by or
for [ORIGINAL_AGREEMENT_COMPANY].
It has come to my attention that you are now working with a competitor of
[ORIGINAL_AGREEMENT_COMPANY] and have been soliciting business from customers
and/or business associates of [ORIGINAL_AGREEMENT_COMPANY]. As you are aware,
soliciting customers or associates of [ORIGINAL_AGREEMENT_COMPANY] is a breach of
contract and a direct violation of the Non-Complete Agreement you signed on
[ORIGINAL_AGREEMENT_DATE], and thus you are interfering with the agreements
established between [ORIGINAL_AGREEMENT_COMPANY] and its customers/business
associates. In addition, your current employer, [RECIPIENT_CURRENT_EMPLOYER], is also
interfering with the agreements set forth and established by
[ORIGINAL_AGREEMENT_COMPANY].
You are hereby requested to cease and desist any further solicitation of current employees,
vendors, customers or any other individual entity maintaining a contractual relationship with
[ORIGINAL_AGREEMENT_COMPANY]. Failure to comply will result in the obtainment of a
temporary restraining order in District Court against both you and your current employer and the
filing of a motion for Breach of Contract seeking monetary damages, courts costs and attorney
fees.
It is not my wish to seek legal recourse; however, I will vehemently do all that is necessary to
protect [ORIGINAL_AGREEMENT_COMPANY]’s interests. Please note this letter will be the
only warning provided. THEREFORE, you are hereby requested to immediately cease and desist
any further breach of your contract and within 10 business days, or by
[RECIPIENT_RESPONSE_DEADLINE], return the signed written assurance below affirming
that you will refrain from any further acts of Breach of Contract with regards to your signed
Non-Compete Agreement.

ASSURANCE TO CEASE AND DESIST FURTHER ACTS OF BREACH

NON-COMPETE AGREEMENT
In accordance with the above request and stipulation, I, [LETTER_RECIPIENT_NAME], do
hereby agree to immediately cease and desist any further acts of Breach of Contract with regards
to the Non-Compete Agreement signed on [ORIGINAL_AGREEMENT_DATE].
HOWEVER, should I act or behave in a such manner that would result in a breach of this
agreement, [LETTER_SENDER_NAME] will be entitled to filing fees, courts costs and attorney
fees in any action which may be filed in an effort to enforce this agreement, in addition to any
injunctive relief and/or monetary damages that [ORIGINAL_AGREEMENT_COMPANY] may
be entitled.
