RETAINERSHIP CONTRACT
KNOW ALL MEN BY THESE PRESENTS:
This contract made and executed by and between:
UNISAFE MARKETING AND DEVELOPMENT INC. (Doing business under the name and
style of Zamboanga Safety Enterprises & Unique Motor Center) an agency duly organized and existing
under and by virtue of the laws of the Republic of the Philippines, with principal office at C 0992 Mayor
Jaldon Street Canelar, Zamboanga City, Philippines and represented by ARLINA M. DIU, JANELYN
D. BELANDRES, JUDITH D. PEREZ, EMMANUEL M. DIU, and MICHAEL M. DIU, hereinafter
referred to as the “CLIENT”.

BALAGOT LAW AND ACCOUNTING OFFICE, a law and accounting firm organized under
and virtue of the laws of the Republic of the Philippines as general profession partnership, with principal
office at 74 E Estrada St. Tetuan, Zamboanga City, Philippines and represented in this act by its
managing partner, ATTY. ANTHONY QUIN A. BALAGOT, CPA hereinafter referred to as the “LAW
FIRM”
WITNESSETH: that-
WHEREAS the LAW FIRM has offered its professional legal services to the CLIENT and
CLIENT agrees to retain the professional legal services of the LAW FIRM under a retainership basis,
subject to the terms and conditions hereinafter stipulated:
1. The term of this contract shall be for a period of ONE (1) YEAR effective upon signing of
this agreement and shall automatically renewed on a year to year basis unless either party pre-
termination the same upon serving a thirty (30) day-prior written notice to the other party,
without need of cause;
2. The LAW FIRM, while in the performance of its duties, shall be entitled to a fixed monthly
retainer fee of________________________ payable every last day of the month as
consideration for the firm’s services as well as notarial fees EXCEPT for sales, mortgages
and donation;
3. The LAW FIRM shall render free consultation, documentation and notarial services to the
CLIENT as part of this retainership agreement;
4. In the event you need any of the firm’s lawyers in handling of your case, the acceptance and
appearance fees including the preparation and filing of case/s in the court shall be separate
charge;
5. The LAW FIRM shall not, either during the term of this contract or any time thereafter, use
or disclose to any person, office, corporation or entity any confidential information
concerning the affairs of the CLIENT which he may have acquired in the course of or as
incident to this contract for its own benefit, or to the detriment or probable detriment of the
CLIENT;
6. It is understood and agreed that nothing in this contract shall be constructed as establishing
the relationship of employer-employee between the CLIENT and the LAW FIRM, including
its personal;
7. The CLIENT reserves the right to terminate this Agreement without need of cause or reason
upon thirty-day written notice to the LAW FRIM.

ACKNOWLEDGEMENT
BEFORE ME, on this __________ in the City of Zamboanga, Philippines,
personally appeared the above-named persons, all known to me and to me known to be the same
persons who executed the foregoing instrument and that they acknowledge to me that the same is
their free act and voluntarily deed of the entity he represents. This document consisted of two (2)
pages, including this pages, including this page on which this acknowledgement is written has
been signed by the parties and their instrumental witnesses on each and every page thereof,
sealed with my notarial seal and the same refers to a Retainer Contract.
