MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This Memorandum of Agreement is entered into this ____ day of June 2022 by and
between:

The DEPARTMENT OF TRADE AND INDUSTRY, a government entity created by virtue of


Executive Order 133, which recognized the then Ministry of Trade and Industry, renaming it
as the Department of Trade and Industry (DTI) with principal office address at the Trade and
Industry Building, Sen. Gil J. Puyat Ave. Makati City, herein represented by its Secretary,
RAMON M. LOPEZ, JR., hereinafter referred to as “DTI”;

-and-

The COMMISSION ON HIGHER EDUCATION, an agency of the National Government


organized and established under Republic Act No. 7722, otherwise known as the “Higher
Education Act of 1994,” which office address at Higher Education Development Center
Building, C.P. Garcia Ave, Diliman, Quezon City, herein represented by its Chairman, DR. J.
PROSPERO E. DE VERA III, herein after referred to as “CHED”.

Collectively, the DTI and the CHED will hereafter be referred to as the PARTIES.

WITNESSETH THAT:

WHEREAS, the DTI serves as the primary coordinative, promotive, facilitative and regulatory
arm of the government for the country’s trade, industry, and investment activities. It acts as
catalyst for intensified private sector activity to accelerate and sustain economic growth
through a comprehensive industrial growth strategy, a progressive and socially responsible
liberalization and deregulation program, and policies designed for the expansion and
diversification of both domestic and foreign trade;
WHEREAS, the CHED, is mandated to develop programs for the higher education sector
which will assist in the enhancement of institutional performance of higher education
institutions (HEIs) and ensure the continuous provision and advancement of quality
instruction;
WHEREAS, CHED, through Commission En-Banc (CEB) Resolution No. 354-2020, created
the Short-Term Scholarships (STS) Grant which will ensure continuity of adult learning
among higher education institution (HEI) personnel and officials and support the
enhancement of institutional performance and quality of instruction;
WHEREAS, the Short-Term Scholarships (STS) Grant will provide funding support to eligible
and relevant short-term training programs designed for HEI officials and personnel to further
enhance institutional and professional competencies through re-skilling and upskilling of their
fields of interest and expertise;
WHEREAS, CHED recognizes the research and development component of State
Universities and Colleges (SUCs) and their potential for product development, marketing and
commercialization and the need for training and support for its sustainability and competitive
advantage;
WHEREAS, CHED and the DTI through its training arm, the Philippine Trade Training
Center – Global MSME Academy will develop and implement training programs responsive
to HEIs’ needs inon product development, marketing, commercialization and its components
with funding support under the STS program;

NOW THEREFORE, for and in consideration of the foregoing premises, the parties of
mutually agree to abide by the provisions and perform their respective roles and
responsibilities stated hereunder:

I. COVERAGE

This Agreement covers the fund transfer from CHED to DTI on the total amount cost of not
more than 40 identified CHED participants per training program of DTI.

II. PURPOSE OF FUND TRANSFER

The fund transfer stipulated in this Agreement shall be solely used by DTI for the purpose of
delivering mutually agreed-upon training programs for HEI personnel and officials under the
CHED’s Short-Term Scholarships (STS) Program.

III. ROLES AND RESPONSIBILITIES OF THE PARTIES

1. The DTI shall:


a. Issue orders, circulars or guidelines for the effective and efficient
implementation of identified training programs;
b. Ensure timely implementation of the training programs conducted by PTTC;
c. The PTTC shall:
i. Formulate and conduct with CHED a Training Needs Assessment
(TNA);
ii. Undertake a pre-assessment of training needs based on the results of
the CHED-PTTC TNA;
iii. Design and implement training programs in accordance with the
results of the pre-assessment and CHED-approved training design
and procedures;
iv. Ensure submission of complete documentary requirements to CHED
to facilitate fund transfer;
v. Utilize the amount received from CHED solely for its intended
purpose;
vi. Administer the funds transferred in accordance with government
accounting and auditing rules and regulations;
vii. Separately maintain all necessary accounting documents for each
deployed training program with CHED which shall be submitted one
(1) week after receipt of the request from CHED or its authorized
representatives;
viii. Submit the liquidation and financial report to CHED for each training
program conducted within 30 days from completion of the training
program;
ix. Submit a terminal report of the training program within 30 days from
completion of the training program;
x. Return to CHED any unused funds and balance and refund
disallowance upon completion of the program;
xi. Abide by the provisions of COA Circular No. 94-103 and 2012-001
and other pertinent government laws rules and regulations;
xii. Acknowledge CHED in all corresponding presentations, publications
or press releases relative to the implementation of the training
program;
xiii. Issue official receipt for every amount received from CHED

2. The CHED shall:


a. Design and conduct with DTI-PTTC a Training Needs Assessment for HEI
personnel and officials;
b. Review the proposed training programs for funding;
c. Establish a mechanism in identifying qualified HEI participants for each
training program to be offered by DTI-PTTC;
d. Serve as coordinator and liaison between program participants and DTI-
PTTC;
e. Prepare the necessary vouchers, obligation requests, and other financial
documents for release of payment to DTI-PTTC;
f. Facilitate the processing of fund transfer from CHED to DTI-PTTC;
g. Promote the mutually identified training programs;
h. Monitor and ensure completion of program of identified participants;
i. Demand refund from DTI of unused funds or savings;
j. Issue an official receipt for the unexpended balance and the refunded
disallowance remitted by DTI;
k. Comply with accounting and auditing requirements of fund transfer to DTI per
Commission on Audit (COA) Circular 94-013 and 2012-001
l. Assess each program deployed and implemented in accordance to HEI
training needs;
m. Conduct follow-through activities and/or post assessment of the program and
participants as needed;
n. Facilitate the accreditation of the 3-unit equivalency course subject as
deemed applicable;
o. Recognize DTI and PTTC in all publicity materials and press releases
relevant to the implementation of the programs

IV. GENERAL PROVISIONS

a. The Parties mutually agree to perform and abide by all the provisions and
corresponding roles and responsibilities stipulated or could be reasonably inferred
from this Agreement. Failure of either party to comply shall not be construed to be a
waiver of any provisions of the Agreement and/or waiver of right of each to enforce or
settle the same;
b. The Parties agree to provide further assistance and execute documents as needed
or reasonably expedient to accomplish the intent and purpose of this Agreement;
c. This Agreement may be amended or modified to ensure conformity with existing
laws, policies, guidelines, rules and regulations. Any modification or amendment to
this Agreement shall only be made through written mutual agreement of both Parties.
d. All attachments are expressly made an integral part of this Agreement by reference,
excluding any inconsistencies with any section inadvertently contained in this
Agreement;
e. Should any of the provisions of this Agreement be held invalid, illegal, or
unenforceable for any legal reason or basis, the remaining provisions shall remain
valid and in effect.

V. EFFECTIVITY AND DURATION

This Agreement shall take effect upon the signing of the Parties and shall remain effective
for a period of twelve (12) months from the date of receipt of DTI. Extension of the effectivity
of this Agreement should be requested in writing by any of the Parties within sixty (60) days
prior to the expiration of the contract period. The extension should be for valid cause and a
written approval is issued by the CHED Commission en Banc prior to the expiration of the
original contract period.
