SECRETARY’S CERTIFICATE

I, LERAH A. HOJILLA, of legal age, married, resident of Balabago, Jaro, Iloilo City, in my
capacity as Corporate Secretary of Mission Valley Pre-School, Inc., a corporation existing under and by
virtue of Philippine laws with main office address at Korean Building, Metropolis Executive Village,
Bito-on, Jaro, Iloilo City, Philippines, hereby depose and certify, THAT:

1. During a Special meeting of the Board of Trustees of Mission Valley Pre-School, Inc., held last
October 14, 2014 at the corporate office at Korean Building, Metropolis Executive Village, Bito-on, Jaro,
Iloilo City, where a quorum was present, the Board approved and passed the following resolution:

“RESOLUTION NO. 001, series of 2014

“ON MOTION DULY MOVED AND SECONDED, the Board of Trustees hereby
RESOLVE:

To authorize the corporate President, SONNY T. TOLENTINO III, to enter into a


contract and sign for and in behalf of the corporation in connection with the Deed of Usufruct
for the use of a parcel of land and the building located thereon situated at Lot 4, Block 3,
Metropolis Executive Village, Brgy. Bito-on, Jaro, Iloilo City, registered in the Registry of
Deeds for Iloilo City in the name of MISSION VALLEY CHRISTIAN FELLOWSHIP
ILOILO, INC., under Transfer Certificate of Title No. No. T-149449, as the school site of
Mission Valley Pre-School.”

2. The foregoing resolution is valid and subsisting, and has never been amended, modified, or
otherwise repealed and is in full force and effect.
