The quoted price excludes any government tax & duties, VAT as applicable at the time of execution of the order

SPECIAL COMMERCIAL TERMS & CONDITIONS

We hereby state compliance to the conditions of your document, with the following information,
additions/amendments to be considered:

Price Basis:
Our prices are quoted in Saudi Riyals (SAR) and will remain fixed and firm for the contract period. All
prices (unit and total prices) shall be, without any correlation with the exchange rate of any other
currency.

The payment between the Company and the Contractor shall be carried out according to the actually
implemented works and services which have been approved by the Company both at the planning
stage and in their execution, i.e. the value of the actually implemented works shall be calculated
according to their bill of quantities and services used in the implementation multiplied by the unit
prices as included in the Contract after the application of any deductions or penalties due to the
contractor.

Terms of Delivery:

Ex-Works-Factory Riyadh.

Terms of Payment:

30% advance along with the PO and balance 70% through LC @ 30 DAYS.

Delivery Period:
20-24weeks from the date of approved manufacturing drawings.
However,delivery can be mutually agreed during finalizing the Order.

Guarantee Period:
Our equipment is guaranteed for a period of 12 (twelve) months, from date of delivery.

Validity Period:

This offer is valid for a period of 30 (thirty) days, from date of quotation, and is therefore subject to
confirmation by us.

Consequential Damages:
META Switchgear. Cannot be held liable for any consequential damages or loss of any nature
whatsoever.

Termination of Purchase Order:


In the event, the order is cancelled by you, the following cancellation charge schedule shall apply.
Event/Time period: cancellation charges (%)

2 weeks after Order 25% from total order
4 weeks after Order 60% from total order
5 weeks after Order 100% from total order

Scope:
Our Scope is limited to supply the Panels.
Supervision of Installation ,Testing & Commissioning at site is not in our scope.
General Terms & Conditions of Supply & Purchasing:
Our attached General Terms & Conditions of Supply & Purchasing form and integral part of the offer
they shall apply unless or otherwise superseded by the above mentioned specific conditions.

GENERAL TERMS AND CONDITIONS FOR SUPPLY

1. General: These conditions apply whatever the purchaser's general purchasing conditions may be
and to equipment sales performed by KFB Holding Group, hereinafter referred to as the Supplier.
These can be either completed or modified by special conditions agreed between the Supplier and
the Purchaser to the exclusion of any other terms of conditions. Any deviation from the conditions
stipulated in the order will only be considered as accepted once the order has been acknowledge by
us.

2. Scope and Limit of the Offer: The conditions of this offer apply exclusively to supply of
equipment specified in the offer, and are not binding for additional supplies. The Purchaser will in
no case be allowed to put forward standards, specifications, statutes, rules and uses not dully
accepted by the Supplier.

3. Validity: This offer is valid for the period specified in the "Special Terms & Conditions".

4. Coming into Force of Contract: The contract shall be deemed to have been enforce - Signature
of the contract by both the Supplier and the Purchaser. - Receipt by the Supplier of the advance
payment to be made at the time of order. - In case of payment through a letter of credit, to be
opened at the time of order and acceptance of its terms by the Supplier. - Should these conditions
not be fulfilled within 30 days after the contract has been awarded, we are entitled to renegotiate
the terms.

5. Inspection Test: Type test will not be performed, instead a type test certificate from similar
equipment will be provided if requested. Routine test are always undertaken on the equipment in
our factory. Some this routine test may be repeated during inspection at the Purchaser's request.
We will notify the purchaser in writing, seven (7) calendars days before the date set for inspection.

Should the Purchaser or his representative fail to take inspection within a seven (7) day period
from the date of inspection, the equipment will be considered as duly accepted and will be entitled
to proceed with packing and delivery. In any case should the inspection be delayed for reason

outside our control or the duration of the inspection exceed two (2) days, or technical modification
be directed, then the delivery period will be extended accordingly. Necessary facilities for
performing the inspection (test equipment and personnel) will be made available by us exclusive of
the expenses incurred by the Purchaser's representative.

6. Delivery:

6.1 Delivery Time: The specified delivery time is deemed to be for an ex-works delivery and is
counted from the date of coming into force of the contract. The order is not considered as final and
the delivery period does not come into force before the due completion of the following: - All
information necessary to proceed with design and manufacture has been transmitted/forwarded to
us. - The term payable at time of order, if any, has been paid or, in the event of payment by
documentary credit opened at the time of order, the letter of credit has been duly opened and
accepted by us. If dispatch is delayed by the Purchaser for any reason, the goods will be stored and
handled by us at the expense of the Purchaser.
6.2 Delivery Conditions: The delivery conditions stated in our offer are to be in accordance with
the Incoterms of the International Chamber of Commerce. From the moment when the goods are
delivered at the place agreed upon, we decline liabilities on our part in the event of loss, robbery or
damage to the goods. Unless otherwise agreed we reserve the right to dispatch our goods in partial
deliveries.

6.3 Variations & Modifications after receiving Purchase Order: Should during the execution
of the contract, will be directed by notice in writing to alter, amend, omit or remove any part of the
specification, technical data or drawings, a corresponding decrease or increase in the contractual
price will be determined and the execution will be rendered after the receipt of the variation
ordered. Due account shall be taken of any partial execution of the contract which is rendered
useless by any such variation. Furthermore an extension of time will be granted to us. If required a
manufacturing time schedule including deadlines, after which modifications shall affect the final
delivery date, will be established by us after coming into force of contract. The variation amount
will be invoiced separately and all cost will be on the customer’s account.

7. Packing: Unless otherwise specified, packing is made in accordance with our experiences and
practices. Only packing made by us in such conditions can involve our responsibility. Packing is
non-returnable.

8. Payment: Payment shall be made in Saudi Arabia, net without discount, in accordance with the
stipulated terms of payment.

9. Penalty for Late Payment: As compensation for the prejudice suffered as a result of late
payment(s), the Contractor will pay the Company without delay a sum equal to the annual rate of
interest of 15% applied to the entire outstanding unpaid balance, such sum to be due upon the day
following the invoice date of the late payment in question, without necessity of a reminder. In
addition to this sum, the Contractor will reimburse the Company of the corresponding collection
expenses, with a minimum fixed compensation of SAR400 (or its equivalent in the invoiced
currency) per unpaid invoice.

10.Retained Property: The Supplier shall retain the ownership of the equipment until the full
payment of the contractual price including interest if any. The supplier will be entitled to have the
unpaid equipment back at any time. Whether it is still under the Purchaser's control or not
nevertheless, the Purchaser will continue to bear the risks in the equipment and will be responsible
for the damages that the equipment might case.

11.Warranty: The Supplier warrants that the equipment furnished by it will be free from defects in
design, workmanship and materials. The above mentioned warranties shall be for a period of twelve
months the date of testing and commissioning or eighteen months from the date of delivery,
whichever comes first. The Supplier doesn't assume any warranty in case of: - Defects resulting
from material furnished by the Purchaser or from design it has imposed. - Replacements of repairs
caused by normal wear and tear, damages or accidents due to lack of care, insufficient, supervision
or maintenance or misuse of the equipment. - Failure attributed due to fortuitous circumstances or
"force majeure". The warranty consists of the repair modification or replacement in the shortest
period of time of the defective parts or equipment, at the Supplier's expenses except for the
transportation cost. Supplier's liability under the warranty is limited to the satisfactory performance
of such repairs or replacement. There are no implied warranties of merchantability of fitness for
purposes. Purchaser will immediately inform the supplier of any defects and shall afford access to
the defective equipment to the Supplier's personnel. Supplier warranty will not apply if the
Purchaser has modified or repair the equipment without being expressly authorized to do so by the
Supplier.

12.Force Majeure: Our responsibility could not be involved in the event of delays of the delivery due
to "force majeure" or fortuitous circumstances beyond our control such as wars, disease,
requisitions, strikes, fires, floods, cataclysms, interruptions, or delay in the transports, or supply of
raw materials, power etc..

13.Liability: The Supplier's liability for any act of default under or arising out of the contract shall not
exceed the contractual price of the defective equipment or ten percent (10%) of the contract price
whichever is the lowest. The supplier shall not be liable to the buyer nor to third parties for any
consequential damage.

14.Confidentiality: The information (drawing and technical documents) supplied to the Purchaser
shall remain the Supplier's property and shall be treated with confidentiality. Buyer might neither
use such other than for the operation and maintenance of the equipment nor disclose it
conscientiously to third parties and will take all reasonable care to comply. In case the contract
shall not be entered into or shall not come into force, the technical information and documents will
be surrendered to the Supplier at his request within 15 days from such request.

15. Documents Approval: When the documents are submitted for approval to the purchaser, he shall
notify his approval or his comments within fifteen (15) days from the submission date, otherwise
delivery schedule will be extended accordingly.

16.Delay & Terminations: If we are prevented from the execution of the project due to reasons
beyond our control, we shall have the right to terminate the contract upon written notice of seven
(7) days. In such a case, we shall be entitled to receive all cost incurred up to the date of
termination plus an attributable portion of the overheads.

17.Disputes: Disputes if any, which could not be settled by mutual agreement, shall be finally settled
under the rules of conditions and arbitration of Chamber of Commerce by one or more arbitrators
appointed in accordance with the said rules. The laws of Kingdom of Saudi Arabia shall govern the
validity, construction and performance of the contract.

18.Liquidated Damages: The Contractor is principally agree with aggregate sum and pro rata
charges up to a total maximum of ten percent (10%) of the total Contract Price.
