Immediately after realisation of Rs.50,000/- advance, the following activities will take place
* Welcoming confirmation mail from our team
* Assigned designer along with the team scheudle Measurement, Survey & record visit to site
* Design process includes five steps (including physical & virtual)

Design discussion process includes the following

1. Client orientation
* Brainstorming on shared client questionnaire
* Our designer will discuss with you on space palnning,themes,concepts and specific requirements

2. Conceptual 3D-design discussion

* Designer will present you the initial 3D-design walk through according to inputs along with possible options ,take your opinion on the
design

3. 3D-design review along with the material selection

* Designer will present the design as per your last discussion and you will select the laminates and hardwares

4. Final 3D-design review along with final B.O.Q

* Final of 3D-design with laminates,material specifications, along with working details will be presented & shared
* Our technical team will review the complexity and feasibility of design and release the final B.O.Q (bill of quantaties) accordingly

What if I want to add some changes into the design after the final B.O.Q is presented?
Although our team takes great care to understand you & craft a designer home specific to your taste,if by any chance you want to add some changes to
the design presented to you,our team will sit with you for further cosultation and re-work on the designs and call you for the revised design
presentation.

5. Final altreation for the design if required

* One last final design review after all the alterations done

NOTE :
* It is difficult to discuss about design and selection process in a short period and we all know that time is very precious resource for all.
So We request you to conclude each visit in and around 90 mins. Additional visits can be provided on chargable basis according to
company norms
* Dspaces will try to make your home as lovable as possible. So apart from designing, our designer will assist you like shopping & selection
of accessories, curtains, wallpapers, movable furnitures etc (as per mutual feasibility)

* DESIGN CHANGES DUE TO TECHNICAL NON-FEASIBILITY

At the time of execution, there may be design changes due to site condition, material changes and/or technical non-feasibility. The client
should approve these changes when brought to their attention by the designer / project manager and the implication(s) thereof.

Materials can be change with clients approval because of

Third Party Products

Dspaces in the course of undertaking the project works, has provided certain materials, equipment, appliances and goods manufactured,
fabricated, assembled and/or sold by third party vendors, distributors, and manufacturers ("Third Party Products"). In relation thereto,
Dspaces hereby assigns (to the extent they areas signable) and conveys to the client all manufacturers and supplier warranties together with
operating instructions, if available ("Third Party Products"). The Third Party Products, which are subject to the Third Party Warranties cover:

It is hereby clarified that in the event there is any conflict between the Terms and Conditions contained herein, and the Third Party Warranties,
the Third Party Warranties shall prevail. Provided however, Dspaces is not providing any warranty (express and/ or implied) in relation to the
third party products, and shall not be liable. Therefore, the clients sole remedy in relation to the third party products lies with the third party
vendors and manufacturers. Please note that for every new product and/or service offered by the Dspaces, the third party warranties
extended by the supplier of the new product and/or Dspaces of the services, as the case be, shall prevail.
 WARRANTY POLICY
The warranty card or a valid proof of purchase (invoice) must be shown to avail the warranty.
Upon approval of the warranty claim, the product will be repaired or replaced with the same or comparable product with a value
not higher than the price of the original product purchased. Due to material and finish variations, the replaced product may not be
an exact replica of the installed product, i.e. there may be some variation due to batch differences in laminate, acrylic, veneer or any
other used material.
In the event that repair work has been done to a product without any authorization from Dspaces, the product's warranty coverage
is automatically deemed void.
All warrantied products may carry a warranty card from the manufacturer. The warranty applies only to such specific parts of the
product and not to the whole assembled product.

Warranty terms and conditions are fixed, non-negotiable, non-transferable and only benefits the original purchasers of the product.

Woodwork: Plywood- BWP / BWR Plywood, Blockboard, Marine plywood

Period: 5 Years

This warranty is a structural warranty that covers delamination, edge-band peeling, bubbles in lamination,
Warranty: and borer-infection. It also covers any bend more than 8mm, caused due to weather conditions and moisture
level in the atmosphere. Dspaces plywood is borer-proof and termite-resistant.

Damage to woodwork due to continuous seepage of water/dampness because of seepage of water from
ceiling, flooring, walls and/or other site conditions is covered under warranty. Damage due to misuse and
Exemption: negligence by the Client and normal wear and tear will not be covered. Further, notwithstanding anything
contained under woodwork warranty, there shall be no warranty for surface damage and/or damage due to
scratches in relation to acrylic, high-gloss laminate, duco and PU, and/or veneer.

The Woodwork warranty shall be null and void, and Dspaces shall not be liable if the damage is due to:
1. Continuous seepage of water/dampness
2. Misuse, normal wear and tear
3. Negligence in Handling

4. The dismantling and shifting is done by any person other than the Dspaces qualified and authorized representatives. The decision
of Dspaces in relation to whether the damage is due to seepage/dampness, misuse, normal wear & tear and/or negligence (as
provided herein) shall be final and binding on the Client.

NOTE
Please note that Dspaces will first attempt to repair the defective or damaged woodwork under the woodwork warranty. Only in the
event that the Dspaces (at its sole discretion) decides that the repair is not feasible, then it will replace the defective or damaged
woodwork under the woodwork warranty. The client agrees that the decision of the Dspacess (as provided therein) shall be final and
binding. Further, please note that if the client is required to purchase and install a more valuable material under the woodwork
warranty, then the client cannot claim/recover the additional value of the better material.
 TERMS & CONDITIONS
The above quote is an estimate based on current design and sizes. They are liable to change till the sign off/production stage depending on
the actual measurements at site and/or design and finishes selected, increasein scope of work, and/or changes made by you or as per your
instructions

TAXES & DUTIES: All Dspaces product pricing is exclusive of taxes. The taxes have been mentioned in your estimate separately and will be
charged at the time of billing at each stage as per prevailing government tax rates.

FINANCIAL SERVICES: Dspaces facilitates the financial loans and services. Approval, processing and terms of the loans and services are at
the sole discretion of the financial entity / partner / service provider.

SITE READINESS: For the Dspaces Survey & Measurement team to carry out their works, the site should have thefollowing 3 aspects
completed.
1) Flooring should be completed
2) Walls should be plastered
3) Electrical & Plumbing works should be completed
We assume that the on-site work will be carried out in one continuous phase without any disruption from building management,
governmental authorities and in tandem with the payment schedules. Dspaces will not be responsible for any delay caused due to any
disruption from the above-mentioned reasons. At the same time if the disruption is caused due to Dspaces, we are willing to take full
responsibility for the same.

Dspaces Vendor: The estimate is given by Dspaces and payment is made to Dspaces directly. For works undertaken by a Dspaces Vendor,
Dspaces will raise the relevant stage invoices and payments will be made to Dspaces. Dspaces is completely responsible for the works
undertaken and the warranty terms areapplicable as enumerated in the Warranty Policy.

Client Vendor: Dspaces is not responsible for the works of the Clients Vendor(s). The estimate is given directly by the vendor and the
payment is given directly to the vendor. Dspaces will not give guarantees of timelines, quality or finish and the Warranty Policy does not
apply for such works undertaken.
VALUE ADDED SERVICES
1) Deep cleaning of your project will be undertaken by Dspaces LLP on chargeable basis
2) Before Starting onsite works Dspaces LLP will undertake pest control chemical work on chargeable basis

3) 3d design walk through provide upto 2 concept make over only, further will be provided on chargable basis according to company norms

4) Dspaces will coordinate on your behalf with the builders agents with respect to furnishing details of civil, electrical and plumbing changes
if any. When within Dspaces scope of services, we will issue GFC(good for construction) drawings to our vendors to execute the same. We
do not issue working drawings of a civil, Electrical and Plumbing nature, as these are outside of our scope of services. The same drawings
will be issued to a clients vendor too, with one discussion at our office/ site as deemed fit to explain the same.

CANCELLATION & RETURNS: Any non-manufacturing defects and damages post receipt of delivery are not valid for returns or
replacements. Customised and made-to-order furniture, purchased from Dspaces, cannot be returned or exchanged.

EXCLUSIONS
1) Any item which is NOT mentioned in the above Quote will be considered as variation and will be raised for approvals based on
confirmation from the client.
2) IT & A/C equipment supply NOT included
3) Any electronic equipment supply NOT included
4) All Approvals from Building security & building authority, if any to be paid AS PER ACTUALS by Client.
5) Access Control & Signage including Infrastructure NOT included in the above scope.
INTERIOR FIT OUT WORKS
1) Site should be well ventilated prior to site possession.
2) Scope of work is Quote specific. Any addition and commission in the scope of work when full drawing package is available will be
additionally charged as variations.
3) Dspaces cannot be held liable for any issues arising due to custom design provided by the client.
4) The project is deemed to be complete after the final inspection by the client during handover along with closing documents.
5) Any Preventive maintenance/maintenance will be limited to Quote items.
6) Any payment done under Payment terms will not be refunded. If the client wishes to drop after the project confirmation, the paid
amount will not be refunded and the work payment till the date should be cleared.
7) In case work schedule gets disrupted due to lapse of payment as per schedule mentioned or any other governmental hinderances,
Dspaces shall not be held responsible.
8) All materials in working site (provided by the client & Dspaces) are in control of Dspaces until full payment clear.

9) All finished products are from our range and subject final approval by client within the same price range, else variation to be applied.

10) The completion schedule is possible only if the entire finishes are selected within one or two weeks from the order confirmation with
the advance payment.
11) Any additional works to the above scope will be charged accordingly and required additional time which will be mutually discussed and
agreed upon.

12) Please note any changes (requested by the client) in the approved drawings will require re-submission and re-approvals from the
concerned authorities before execution and all charges paid to them on account of re-submission to be borne by client.

13) Client shall be informed in case access (on site or material) is denied / not possible due to any reason out of contractor's control. The
impact hence, on the delivery time-lines will also be informed to client.
14) Please note that the contractor can not be held liable for any defects on the existing site, its fittings, services unless such a defect is
caused by the contractor.
15) In the event the site does not have water and electricity and an additional/extra amount/fee needs to be paid to building management
/ any related authority, the same shall be informed to client and to be borne by client.
16) In case any client specific item requiring specialised/custom wiring or installation, we would require a client representative with
adequate knowledge of the specific item to assist us at site.
17) Any change in Design / Finishes may result in delay in the completion of the project (Delivery Time).

18) Additional 3d design concept will be charged Rs. 25,000/- & additional visits to discuss on design will be charged Rs. 5000/- only

Dspaces will not be deemed to be in breach of its obligations hereunder or have any liability for any delay, cancellation or damage arising in
whole or in part from any act of God, act of nature, acts of civil or military authority, mechanical failure, lack of essential supplies or parts
or for any cause beyond the direct control of M/s D-Spaces

Please note that the unit rates of Items and Services indicated in this quote are based on this project being TURN-KEY for the contractor
and may vary on an individual basis outside this project. However these rates are applicable in case of any variation to be made in this
project.
Dspaces cannot be held liable for any fault/error on the existing services such as Drain pipes, Sprinklers, Wires or Air conditioning which is
already being installed by the Landlord.

PLEASE NOTE: Any delay caused from client end towards finalization of (i) design, (ii) finishes, (iii) change of design/modification etc and/or

*** PAYMENT TERMS
1) Rs.50,000/- Advance payment upon conformation & to process for mood board & 3D design.
2) 50% progress payment once the 3D design approved to start procurement & factor work.
3) 40% progress payment upon delivery and installation furniture on site.
4) Balance amount Progress payment to delivery & installation glass and final fixers on site hand over site to client.
