I hereby acknowledge, confirm and accept the following terms and conditions:
1. That I will submit an offer only for the motor vehicle/s/chattels that I am certain to purchase.
2. That the above-mentioned motor vehicle/s/chattels, hereinafter referred to as unit/s is/are sold on an
“AS IS-WHERE IS" basis.
3. That I confirm that I have undertaken all necessary inspection of the unit/s I am purchasing
prior to making my bid/offer. I further acknowledge and confirm that the Bank does not provide any
other warranties, express or implied, including, but not limited to, any warranty against any and all
physical defect/s which may be found, but are not otherwise stated herein, on the unit/s after the
sale.
4. That after having made a reasonable inspection and examination of the above-mentioned unit/s
including its/their physical condition, documentation and historical background, I hereby confirm that I
am fully satisfied and intent on purchasing the said unit/s.;
5. That the subject unit/s’ registration in the Registry of Deeds/Land Transportation Office may not
updated.
6. I fully acknowledge and understand that in the event my offer to purchase the unit/s is
accepted and approved by the Bank, I am committed to complete the purchase of the unit/s
and that if I back out from purchasing the unit/s at the allotted time, the Bank may impose a
sanction on me – which will be an amount not greater than 2% of the selling price of the unit/s
being purchased. I acknowledge that the said right-to-purchase is exclusive and non-transferrable
by me to any other party.
7. I confirm that I have no past due BPI or BPI Family Savings Bank loan accounts – whether in own
name of my company’s name. Should it be discovered that I have a past due loan account, I agree to
fully settle said past due loan account before the Bank can accept my payment for the motor vehicle.
I further understand that should I refuse to settle my past due loan account/s the Bank will
automatically rescind my offer to purchase the motor vehicle.
8. I understand that payments via Cash, Managers Check or Cashiers Check must be made within
forty-eight (48) hours from notification of SAMS about my winning bid or approval for the sale;
failure to pay within this period shall result in the instant and irrevocable cancellation of my bid/offer
and forfeiture of my right to purchase the unit/s.
9. That if I avail of a loan from BPI Family Savings Bank – Auto Loans (BFSB Auto Loans) – to
purchase the unit, I undertake to give SAMS the Bank Guaranty of my loan application within ten (10)
days after submission of this Offer to Buy form. I fully understand that by not giving SAMS this Bank
Guaranty within ten (10) days would result in the instant and irrevocable cancellation of my offer and
forfeiture of my right to purchase the unit/s.
10. BPI employees who avail of a car facility to pay for an auto unit have sixty (60) days from date of
receipt of all pertinent documents to effect transfer of vehicle ownership and registration (if
necessary). Transactions allowed beyond this allotted period will be imposed an additional amount
equal to 2% of the selling price of the unit. That all Documentary Stamp Tax, Value Added Tax (if
any), transfer tax, expenses for the preparation of the Deed of Absolute Sale and other relevant
documents, notarial fees; expenses/ fees for the cancellation of previous ownership and
corresponding transfer in my favor and other taxes and fees as may be imposed by law shall be
borne exclusively by me. The actual cancellation of the existing mortgage and transfer of ownership
of the unit/s bought shall be done by me.
11. That the Bank shall execute/issue the Deed of Absolute Sale upon full payment/clearance of my
check for the full payment of the purchase price.
12. That the Bank reserves the right to reject any and all offers and to accept, at its sole discretion, such
offer as may be considered the most advantageous to the Bank.
