By submitting content for publication on ProjectManagement.com, the author (hereinafter “Virtual Event Content
Provider”) agrees to the following terms and conditions.

Virtual Event size: PMI reserves the right to determine the number of participants per virtual event. The
maximum amount of virtual event participants is 2,500.
2. INTELLECTUAL PROPERTY
(a) Project Management Institute, Inc.(“PMI”) is the owner of ProjectManagement.com and shall own all rights to
any and all Intellectual Property (hereinafter “PMI IP”) related to ProjectManagement.com (hereinafter “Site”),
including the name and URL of the Site, content and materials, including but not limited to, software (including
modifications, upgrades or new versions), designs, icons, menus, trademarks, text graphics, photographs,
illustrations, audio, video and data, related to the Site, including the graphical look and feel of the Site. To the
extent that the Virtual Event Content Provider is provided or gains access to software, methodologies,
information or data of ProjectManagement.com or its licensors, with the express written permission of PMI,
then Virtual Event Content Provider is hereby determined to be a Licensee of PMI. As such, Virtual Event
Content Provider agrees that it may not sell, copy, distribute, market, derive, or modify existing PMI IP, and
Virtual Event Content Provider further agrees that it may only use the PMI IP for the exclusive and specific
purpose of performance of services under this Agreement. In additional to other rights and remedies available,
PMI shall be entitled to enforcement of such obligations by court injunction.
(b) Any and all new content and features developed or conceived by Virtual Event Content Provider or Virtual Event
Content Provider’s sub-hires, employees or helpers, as well as other results and proceeds for this virtual event
presentation (collectively, the “Work”) will be “works made for hire” and will be the exclusive property of PMI.
Within the meaning of the Copyright Act of 1976, 17 U.S.C. § 101, et. seq., the Work(s), as previously described,
constitutes a Work for Hire as ordered or commissioned by PMI. Virtual Event Content Provider acknowledges
that the portion of the Work created or to be created by Virtual Event Content Provider, under PMI’s direction
and control, is the property of PMI, and PMI will own the copyright in such Work(s). Virtual Event Content
Provider shall waive any claims to “moral rights” Virtual Event Content Provider might have in connection with
the Work.
(c) If any Work is determined to not be a “work made for hire”, the Virtual Event Content Provider must specifically
identify the pre-existing Virtual Event Content Provider Content, Personal Content or Intellectual Property that
was previously developed by Virtual Event Content Provider at its own expense and with no consideration from
PMI (hereinafter “Virtual Event Content Provider IP”). The Virtual Event Content Provider must provide
notification of the Virtual Content Provider IP in writing and submit to PMI prior to submitting content for
publication on ProjectManagement.com. Virtual Event Content Provider, by submitting content for publication
on ProjectManagement.com, agrees to provide PMI with a non-exclusive, worldwide, perpetual license to use,
adapt, reference and reproduce the Virtual Event Content Provider IP in all media currently in existence or
invented in the future.
(d) Virtual Event Content Provider shall include, in every agreement with all persons employed or supervised by
Virtual Event Content Provider providing services to PMI, language and terms consistent with the terms of this
agreement, including the assignment of all IP rights noted herein and set forth specifically in paragraphs (a) and
(b) above for any work so developed or provided.
(e) As the primary speaker you are responsible for signing this Agreement, emailing virtual event materials to PMI
and gathering materials and communicating the terms of this Agreement with any co-speakers.
3. LICENSE
PMI hereby grants to Virtual Event Content Provider a non-exclusive, perpetual, worldwide license to use the Content Provider
IP in connection with the Work in any manner, form or medium whatsoever, whether now or hereafter known.
4. Due Dates
In order to maintain the quality of PMI webinars, it is crucial that PMI receive responses from you as mutually
agreed:
A. Signed copy of this Virtual Event Agreement (all pages) by: the date on which the schedule is confirmed.
B. All webinar slides for each webinar presentation must be received no later than 4 days in advance of webinar.
All presenters must use the PMI provided webinar template for all virtual events. PMI reserves the right to review
presentation content and advise the presenter of recommended changes, if needed.
C. Presenter agrees to attend at least 1 webinar orientation session no more than 4 days prior to the presentation
date.
D. Presenter should plan on logging on to the live virtual event no less than 30 minutes prior to the start time to
allow for set up. Unless otherwise specified by the planned format of the event, the presenter should plan on
speaking for 45-50 minutes to allow 10-15 minutes for questions and answers at the end, to be facilitated between
the host and presenter.
5. Cancellation
PMI reserves the right to cancel a webinar for any reason, unless otherwise stated below. Should the presenter be
unable to deliver his/her webinar due to illness or emergency, he/she will provide written notification at least 3
days prior to the scheduled webinar date with a proposed rescheduling date. Optionally, in addition to providing
notification of unavailability for the scheduled webinar date, the presenter may also arrange for a substitute
presenter capable of delivering the agreed upon webinar topic and materials at the same level of facilitation skills
and content knowledge as him/herself. The presenter is responsible for contacting and preparing the substitute
and informing their PMI Staff Liaison of intent to provide a substitute. If a substitute presenter will be suggested,
notification must be sent as soon as possible. The original presenter is responsible for providing the substitute’s
name, contact information, and link to ProjectManagement.com profile as soon as possible. PMI may, at its
discretion, cancel the webinar if not promptly notified of the substitution of the presenter with another presenter
with credentials, expertise and capabilities similar to those of the original presenter.
If any of the above reasons or any other reason beyond the parties’ control makes it inadvisable, illegal or
impossible to perform said duties, then this Agreement may be terminated by either party by giving written notice
to the other party. In such event, the parties shall be released from their obligations under this Agreement and any
amounts paid under this Agreement shall be refunded.
6. Copyrighted material
A presenter may include copyrighted materials in the webinar available to the participants provided that; a) he/she
obtains written permission from the copyright holder, and b) he/she pays any permission fees. As such, the
presenter expressly agrees to obtain any such permission and pay any required fees prior to the production and
distribution of course materials. Reprint excerpts from PMI copyrighted publications may be used without written
permission provided proper copyright ownership of PMI is noted and it is stated that the content is copied with the
permission of PMI. For the presenter’s convenience, he/she may copy and use a form letter for requesting written
permission to duplicate\ copyrighted book/periodicals. Complete and mail the form letter to the publisher. When
sending this letter, be sure to include a copy of the materials the presenter wishes to use. Submit any completed
copyright permission letters to PMI by the printed materials due date indicated in this Virtual Event Speaker
Agreement, paragraph 2, above. If your materials contain pre-existing copyrighted materials by you or your
company, please place a copyright mark on each page for your protection. Virtual Events are recorded and are
available for viewing only through the Site. The link to the webinar and presentation slides may not be shared
outside of PMI.
7. Self-promotion
Presenters shall not use PMI’s webinars as a vehicle to promote non-PMI services, products, or educational
programs unless agreed to in writing. This includes the sale or advertising of non-PMI books, audio or videotapes,
CDs, or software by the presenter or his/her agent. Presenters may share their contact information, not exceeding
name, e-mail address, phone number, and website (if applicable). PMI reserves the right to promote its programs,
products, and services during virtual events. It is agreed that PMI may exercise this right at its discretion.
8. Personal Conduct
While facilitating a webinar, the presenter must at all times conduct themselves in a professional, respectful, and
ethical manner. Presenters should be sensitive to the cultural diversity of the attendees and must not behave in a
manner that could be interpreted as harassment of any type.
9. Indemnity statement
You agree to indemnify and hold harmless PMI from any and all claims of third parties, of any nature whatsoever
arising out of this Agreement, resulting from or arising out of any breach by you of your obligations under this
Agreement.
10. Complete Agreement
This Agreement constitutes the complete understanding of the Parties and supersedes all prior Agreements with
the Parties relating to the webinar/presentation. No amendment or waiver of any provision of this Agreement shall
be valid unless in writing and signed by all Parties hereto. This Agreement shall be governed by the laws of the
Commonwealth of Pennsylvania with venue limited to Delaware County, Pennsylvania.
PMI wants the educational webinars to be a rewarding experience for all involved. If there is any discrepancy
between what you have already verbally agreed to and the information contained in this letter, contact
[email protected].
Otherwise, please sign this original Virtual Event Agreement to evidence the Agreement between you and PMI.
Upon receipt of your signed Agreement, PMI will email you a copy for your records.
