TERMS & CONDITIONS:
Price: Includes Delivery & Installation within UAE.
VAT: All prices quoted are exclusive of VAT
VAT charges will be extra, at actuals, as applicable by the UAE Government, for all deliveries made inside the UAE.
Payment: 50% Advance 50% Against Delivery.
Unloading
The Buyer has to manage the unloading at their site. The Buyer needs to provide forklift, crane and/or unskilled labor if
required, for unloading. The Buyer is responsible for any damage happening to the machines during the unloading
process or thereafter.
Installation
Onsite Training and Installation is included in the above price. All recommended utilities, as applicable, like power supply,
compressed air, fittings, wire pulling at the required places etc. has to be provided by the customer. The Buyer needs to
sign the daily activity reports of our engineers and the final installation report, during & upon successful completion of
installation.
Approvals
Buyer, at its sole cost and expense, shall secure and maintain in effects all approvals, permits and licenses required by
local authorities to undertake and complete the work related to the project as the case may be, including without
limitations Municipality approvals and No Objection Certificate (NOC) from Environment, Health & Safety (EHS) Authority.
Buyer shall indemnify Seller against payment of the cost thereof and against any fines, penalty or delays that may be
levied to failure to procure or to comply with such permits or license as well as remedial cost to cure violations thereof.
Site Conditions
The site is assumed to be flat, clear and leveled. The Buyer will ensure that the site is free of any obstructions that may
hinder the installation works and complete access to site will be granted to Seller technicians. The Buyer will ensure that
the projects main contractor and sub-contractors work in line with the schedule of the Seller in cooperation and provide a
safe work environment with required refreshment areas, drinking water, Electrical power to operate the hand tools and
adequate lighting to Seller and its sub-contractors at free of charge.
Warehouse Floor and Storage Space
Seller has considered that floor slabs are capable of supporting the loads imposed by the equipment sold. Buyer shall
confirm same with its contractors.
• It is assumed that the floor is flat with variation less than +/- 4mm between any two points
• An adequate area should be provided adjacent to the installation area for storing of materials, assembly of the rack
component and tools
Warranty
All the materials are guaranteed for manufacturing defects for a period of 12 months from the date of supply.
Validity
30 days from the date of this offer.

GENERAL TERMS & CONDITIONS:
Delivery
Quoted delivery time represents the best estimate of shipment. Seller is not liable for delay in delivery due to causes & forces beyond its control.
Seller is not liable for any losses incurred by the Buyer on account of delay in delivery from its side due to the above mentioned and this is well
understood & accepted, while placing the order.
Ownership of Material
Notwithstanding delivery of any product to the Buyer, ownership thereof shall remain vested with the Seller, until the final payment to the Seller has
been cleared in full.
Partial Payment
The seller reserves the right to demand a partial payment if partial delivery of products is made due to site non-readiness in total or delays from the
side of the buyer.
Exclusion of Liability
Under no circumstances shall the Seller be liable to the Buyer or any other party, for any type of damage, whether they are special, consequential,
indirect, incidental, exemplary or punitive, whether such damages arise from or result from a contractual breach, a guarantee, tort (including
negligence) of strict liability or otherwise, and even if the contract fails to fulfil its essential purpose. Such damages include, but are not limited to, loss
of profit or revenue, loss of use of equipment or a piece of equipment, cost of replacement of equipment, facilities, time costs of stoppage,
construction cost increases, reputational damage, Buyer loss, or any claim by Buyers or subcontractors for such damages.
Breach
Seller shall be entitled to suspend supplies of product to Buyer or installation work, should any credit limit envisaged in the payment terms be
exceeded. Should any amount payable by Buyer not be paid on the due date for payment thereof or should Buyer otherwise breach or fail to comply
with any term or condition of this agreement, or should the Buyer be sequestrated or be placed under judicial management or in liquidation (whether
provisional, final, voluntary or compulsory), or being the dissolution of a partnership prior to Seller having received full payment of all monies owing by
the Buyer to Seller in respect of any product, then in any such event and without prejudice, Seller shall be entitled:
To suspend performance of Seller obligations until such breach is rectified and/or all such monies have been paid or secured to the
satisfaction of Seller
To recover possession of and remove any product which has not been fully paid
To cancel the applicable agreement and to retain all monies previously paid by Buyer to suspend any credit facility granted to Buyer
Confidentiality
This document contains proprietary and confidential information. All data submitted to the holder of this proposal is provided in reliance upon its
consent not to use or disclose any information contained herein except in the context of its business dealings with Seller. The recipient of this
document agrees to inform present and future employees who view or have access to its content of its confidential nature. The recipient agrees to
instruct each employee that they must not disclose any information concerning this document to others except to the extent that such matter are
generally known to, and are available for use by, the public. The recipient also agrees not to duplicate or distribute or permit others to duplicate or
distribute any material contained herein without Seller's express written consent.
Force Majeure
Seller shall not be liable for failure to perform or for delay in performance due to fire, flood, strike or other labor difficulty, act of God, act of any
governmental authority, riot, embargo, fuel or energy shortage, wrecks or delay in transportation, or due to any cause beyond its reasonable control. If
any such event occurs, Seller may extend delivery dates by a period of time necessary to overcome the effect of such delay, allocate available
product or cancel any purchase order.
Cancellation
Once the order is confirmed, the manufacturing of the machines is taken upon immediately. After this Seller cannot accept any cancellation of order
and the Seller cannot refund the advance amount to the buyer, under any circumstances. This is acknowledged and accepted, while placing the order
and this overrides all other terms & conditions, including those mentioned in the Buyer's purchase order.
Warranty
The faulty part will be replaced free of cost during the period of the warranty. The cost of transport/courier of the new part to be borne by the Buyer, in
case outside UAE. The warranty shall not apply to normal wear and tear or in the event our Product is damaged as a result of natural disaster,
accident, misuse, abuse, neglect, inappropriate storage, improper use of MHE, improper application, modification or repair or attachments to the
product not approved by us. Should any person, firm, or corporation other than us have, since the installation of our product, performed or attempted
to perform any modification or repair to the product, then this warranty shall become null and void.

The attached picture(s) is/are for representation purpose and aim to provide the best possible depiction of the actual machine supplied. The color
and/or look of the actual machine may vary from what is shown in the image.
Project Pictures
The seller is permitted to publish press release and pictures of the project in its newsletter catalogues and specialized media for advertising purposes.
Jurisdiction
In case if any disputes arise, and cannot be settled mutually, or in case of violation of contract by any party, the jurisdiction of the courts of Dubai,
UAE will be applicable.
