We are pleased to extend to you an offer of internship program (“Internship Program”) with Impact Guru
Technology Ventures Private Limited (“Impact Guru”) or (“Company”) in the capacity of as Intern- PR.
We have enjoyed getting to know you and believe you have much to contribute to our firm and our culture.
We hope that in the process of getting to know us and working with us, you will learn new skills and develop
a deeper understanding of the concepts through hands on application of the knowledge that you gained in
the classroom. We are excited that you will be joining our team. We congratulate you.
This Internship Program is viewed by the Company as an educational opportunity for you and you shall be
paid a stipend of INR 5000/- (Rupees Five Thousand Only) + Performance Incentives of up to INR 5000/-
(Rupees Five Thousand Only) and shall be effective from 10th June 2024 at the Mumbai office. During
your time at Impact Guru, you shall be governed and evaluated as per the terms and conditions attached
herein under and you shall be obliged to adhere to the same.

TERMS & CONDITION
You (“You/Intern”) signing the offer letter with Impact Guru shall form a binding contract between the two
and thereby during the tenure of your appointment with the Company, you must abide with all the rules,
regulations and policies (hereinafter referred to as “Agreement”) as described herein under.
1. Terms of Appointment
a) Impact Guru through this Internship Program is providing You an opportunity to come together to
help and be a part of solving one of India's most critical Healthcare challenges.
b) The purpose of this Internship Program is to provide you with relevant guidance and to equip you
with experience that will be helpful in your future career. In furtherance of this, You may be asked
to perform tasks/assignment during the course of your internship. You should use your best efforts
in performing and delivering the tasks assigned to You during your tenure with us.
c) You are expected to comply with all applicable rules and regulations of Impact Guru as enforced
from time to time in respect of the matters not covered by this Agreement. Impact Guru’s decision
on all such matters will be final and binding on You.
d) It is clarified that You are not an "employee" or a "workman" for the purposes of any employment
statute and there is no assurance or guarantee that You will be employed by Impact Guru upon
completion of your internship program.
2. Duties and Responsibilities
During the tenure of your Internship Program, Impact Guru may assign different duties to You, and You
shall be responsible to perform the duties and responsibilities assigned to You faithfully and to the best
of your ability, under the direction of Impact Guru.
3. Stipend and Certificate
a) During the tenure of your Internship Program, You shall be entitled to receive a stipend of an amount
of INR 5000/- (Rupees Five Thousand Only) per month + Performance Incentives of Up to
INR 5000/- (Rupees Five Thousand Only) . You will however not be entitled to any other
allowances or benefits given to the regular employees of Impact Guru.
b) On your successful completion of your Internship Program, You will be provided a certificate of
excellence by Impact Guru.
4. Term
Your Internship Program shall be for a maximum term of 2 months, effective from 10th June 2024 to
23rd August 2024.

5. Training
a) Impact Guru invests time and resources in training its newly appointed interns to prepare them to
cater the services. From the Commencement Date, a period of 15 days shall be the skill set training
period. During your time at Impact Guru, You shall be given various tasks to complete and shall be
assigned a co-ordinator under whom You shall be trained and evaluated. We encourage our interns
to be proactive and get hands on experience through timely completion of tasks, asking questions
and conducting research.
b) During your training period your performance will be evaluated from time to time and if not found
satisfactory or as per the desired expectations of the Company, the Company may initiate PEP
(Performance Enhancement Plan) of seven (7) days (“PEP period”). In case there is no significant
improvement during the PEP period, the Company reserves the right to terminate the Internship
Program with immediate effect.
6. Termination
a) During the course of your Internship Program, either party may terminate this Agreement by giving
one (1) week’s prior notice in writing.
b) Impact Guru shall be entitled to terminate this Agreement with immediate effect (but without
prejudice to the rights and remedies of Impact Guru for any breach of this Agreement and to your
continuing obligations under this Agreement) if You are guilty of dishonesty or serious or persistent
misconduct, or without reasonable cause neglect or refuse to attend to your duties or fail to perform
any of your obligations hereunder or fail to observe Impact Guru’s disciplinary rules or any other
applicable regulations of Impact Guru.
7. Office Timings and Working Days
All Interns are required to work from Monday to Friday and on alternate Saturdays (1 st and 3rd). The
2nd,4th and 5th Saturday of every month along with every Sunday shall be a holiday. Impact Guru does
its best to allow flexibility with respect to work timing and at the same time maintain discipline. Thereby
You must report to the office by or before 10:30 am. Reporting to the office beyond 10:30 am shall be
marked as half day, unless You are required to attend a client meeting scheduled in the morning hours
and / or dedicated to evening / night shift by Impact Guru.
8. Work from Home
Impact Guru discourages work from home culture as we believe in higher and better productivity at
office in a disciplined work atmosphere. Although, Impact Guru expects its Interns to be dependable for
the work assigned, we do not expect Interns to carry work back home, except in case of emergencies.
Work from home is not allowed, unless explicitly agreed upon at the time of your service agreement or
approved by your reporting manager (“Reporting Manager”) at Impact Guru. Calling in for work from
home just before your work timings is highly discouraged and will be penalized as per discretion of
Management.
Further, You CANNOT request work from home in the following two scenarios:
i. When You are not in Mumbai (for Mumbai staff) / New Delhi (for New Delhi staff)
ii. When You are sick

The rationale behind the rule is that in occurrence of above mentioned scenarios You will not be able to
give your 100% to work.
9. Work Hours
You are expected to work for nine (9) hours every day. However, more than the minimum number of
hours, You should be driven by accomplishing your targets and completing all the deliverables that have
been assigned by the Reporting Manager to whom You report to for that day.
10. Loss of Office Property / sudden damage
We trust You to use the office property (including but not limited to laptop, desktop, phones, sim cards,
office equipment, furniture, etc.) with care and responsibility. However, in case of loss of property or
sudden damage or mishap (e.g. theft when it was in your possession), You are liable to pay back to the
company 100% of the replacement value of impacted office property.
11. Limited Authority
You will not enter into any commitments or dealings on behalf of Impact Guru or be a party to any
alteration of any principle or policy of Impact Guru or exceed the authority or direction vested in You
without the previous sanction of Impact Guru or those in authority over You. Any violation of this may
lead to the termination of your Internship Program with immediate effect.
You further agree to comply with all Human Resource policies, procedures, rules, and regulations
(“policies”) of Impact Guru that may reasonably be issued and as amended by Impact Guru from time
to time. You agree that the introduction, amendment, administration, and deletion of all policies are
within the sole discretion of Impact Guru and shall not constitute a constructive dismissal.
12. Confidentiality/Intellectual Property
a) You shall keep confidential all the information and material, including information in relation to
business, dealings, transactions and affairs, provided to You by Impact Guru or by its clients
concerning their affairs or any information that comes to your knowledge or You make or discover
during the course of the Internship Program, except as required to perform tasks during the course of
your Internship Program. Your obligation to keep such information confidential shall remain valid
even on the termination or cancellation of your Internship Program.
b) You shall also keep your Internship Program terms and conditions strictly confidential. Any
disclosure will constitute a breach of this Agreement and may result in termination of this Agreement.
c) You shall not at any time after the termination of this Agreement in any way make known, disclose
or divulge to any person, firm or body corporate any of the methods, systems or other information of
any kind in relation to the affairs of Impact Guru, whether such information is or was acquired by
You before commencement of your Program with Impact Guru, in the course of your Program or
otherwise.
d) You may be required to be involved in developing material as per Impact Guru’s requirements. Any
material or intellectual property so developed by You, during the course of your Internship Program
shall be regarded as having been made under a contract of service and shall be the exclusive property

of Impact Guru and You shall not use the same in any personal capacity, during the term of the
Program or at any point in time thereafter. For the avoidance of doubt, Impact Guru
shall have a right to freely develop and alter such material, results and intellectual property rights
and to license and assign them to third parties.
e) You agree to hereby transfer, assign in favour of Impact Guru, all rights, titles and interests in and to
all the intellectual property, together with the rights to sub-license or transfer any and all rights
assigned hereunder to third parties, in perpetuity.
f) You shall inform Impact Guru, if at any time during your Internship Program, You believe You are
being asked to engage in work that will, or will likely, jeopardize any confidentiality or other
obligations owed to any third party, so that Impact Guru may consider modifying your duties. You
undertake to indemnify Impact Guru against any claims, costs, damages, liabilities or expenses which
Impact Guru may incur as a result of your breach of any third-party obligations, which You did not
first raise a concern with Impact Guru.
13. Exclusivity and Non-Compete
a) You shall render your services exclusively to Impact Guru during the term of your Internship
Program and will not be associated with any other organization, either directly or indirectly, and in
any capacity whatsoever with or without remuneration, unless You have prior written approval of
Management of Impact Guru. Outside activities may include (but are not limited to) activities as a
part-time employee, full-time employee, intern director, officer, partner, sole proprietor, employee,
or controlling shareholder, trustee, volunteer of any other company, non-profit, or legal entity. If your
request for outside activity is not approved by Management and You decide to engage in the activity,
your Program may be terminated without any notice.
b) You shall not during the term of your Internship Program with Impact Guru enter into any contract
or agreement, which in the opinion of Impact Guru is against the interest of Impact Guru. The
Management’s decision in this regard to what is against the interest of the Impact Guru shall be
conclusive and binding to You.
14. Return of Impact Guru Property
a) You will be responsible for the safe return of all the properties of Impact Guru including any
drawings, software, employee data, notebooks, manuals, documents, computerization of technical
data, donor lists, specifications, files, memoranda, or other records of any nature belonging to Impact
Guru or any reproduction thereof which may have been provided to You during the course of your
Internship Program with Impact Guru or which may be in your use, custody, care or charge.
b) On expiry or earlier termination of this Agreement, You shall immediately hand over all papers,
documents and other property of Impact Guru as may be in your possession, custody, control or
power, including but not limited to any phones, computers, vehicles, etc. provided by Impact Guru.

15. Governing Law and Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of India. The courts in
Mumbai will have exclusive jurisdiction in relation to all disputes arising out of this Agreement.
16. Entire Agreement
This Agreement constitutes the entire terms and conditions governing your appointment as Intern- PR
with Impact Guru.
17. Amendments
Any term of this Agreement may be amended or waived only with the written consent of Impact Guru.
I hereby accept my appointment with Impact Guru for the Internship Program as described in my offer
letter, including the said Agreement. I have read and understood the terms and conditions and agree to
abide by them. I am under no obligation or duress to accept these terms and conditions. I accept them of
my own free choice and will.
