mutually discussed and confirmed in writing by both parties and subject to payment
terms and timelines (in terms of working days) as discussed.

C. Terms and Conditions
1. The customer is expected to pay the amount specified as per the terms specified in
Section A, to initiate implementation of the ERP Software. Failure to pay within 15 days
of the due date being passed will result in termination of the Work Order.
2. The term “Pre-Implementation” refers to a time frame before the deployment of the
cloud software instance. “Post-Implementation” refers to a time frame when -
a. Training has been provided to Staff Members (Teaching and Non-Teaching).
b. Data is onboarded onto the ERP Software.
c. Customizations highlighted in Section B are delivered.
3. Any Payment to be made to the Campus 365 shall be made through the billing portal
or through direct bank transfer to the account number confirmed by the Company.
4. Any timeline provided for delivery of product customizations will be communicated in
terms of “working days” (which exclude Saturdays, Sundays and public holidays).
5. Campus 365 shall disable access to the Institute Management Software if payment has
not been made within 15 days of the due date for payment of availed services being
passed.
6. In case of failure of deliverables committed in the Sales Process (as specified in
Section B), Campus 365 shall refund the customer paid amount with a 30% deduction,
if the request for refund is placed within 45 days of payment for the first invoice
raised by Campus 365. This deduction accounts for incurred man-hours and initiated
software infrastructure costs. The refund will be processed within 30 days of the
cancellation request.
7. Termination of contract from both parties will be made with a 30 days notice from the
party that wishes to terminate the contract. In such a case, the Customer Success
Team will assist the customer in retrieving the data that is available on the platform,
however it is the sole responsibility of the customer to initiate the activity. The time
allotted for the customer to take a backup is 30 days, after which the ERP instance,
along with the data on it, will be permanently deleted.
8. Upon termination of contract or disabling of software instances (for every case,
excluding failure of deliverables committed), the customer is expected to pay all the
remaining dues to retrieve the data.
9. A 10% increment will be applied every year on the subscription price for the Institute
Management Software specified in Section A during the time of renewal.

10. Campus 365’s cloud based architecture employs Google's advanced encryption
techniques to ensure the highest level of data security. Your confidential information
will be safeguarded, and access to sensitive data will be restricted based on user roles
and permissions.
