PART-II Detailed Commercial Terms

1. Time of delivery
within 30 working days after getting the deposit. The Seller shall not be liable for failure
or delay of the delivery in consequence of any Force Majeure.

2. Price terms: Exw price.

3. Payment
100% Irrevocable L/C at sight. It should be opened or confirmed by the World famous
bank.(We have the right to adjust the PI if the sea freight rate fluctuates by 10 percent
or more, and both parties have the right to adjust the PI if the exchange rate fluctuates
by 5 percent or more.)

4. Documents:

a). The Seller shall present relevant technical documents to the buyer after receipt
of the deposit. Include: Drawing of the Foundation work.

b). The Seller should provide the Buyer original documents after shipment from
Seller's factory to be sent through air courier or telex-release scan copy by email.

5. Installation:
Skilled general 1 technician to supervise the assembly, installation, commissioning and
train the local operator will be supplied after the seller confirms the preparation for
installation is ready in the buyer’s site. The technician with Chinese English language
skill. The buyer should prepare the necessary materials, tools, human labors and offer
necessary assistance. (But basic tools like Special wrench; Adjustable spanner etc. will
be together supplied by buyer as usual). The reasonable local cost of the technician
during installation period including the accommodation, round-trip ticket, insurance,
communication fee, etc. are on the account for the buyer.
Total installation days will be 3months, 10 of installation workers (not technicians) will
be needed.
The buyer should pay 100USD per day per person to the technicians. Duration time
will be around 3 months. The seller has no obligation to install the machines sourcing
from other supplier at the request of the buyer.
6. Warranty
Equipment is guaranteed free from defects or faults in materials and workmanship for
a period of 12 months after the bill of lading date or 15months from leaving seller’s
factory (whichever occurs first); During the warranty period, if any serious quality
defect be found in the contractual machines, the seller should negotiate and solve the
problem by repairing or replacement with new parts. If the defects are fatal and cannot
be recovered, the seller should accept returning of corresponding machine and refund
to the buyer, without taking any other responsibility or expense. This warranty excludes
damage caused by negligence, carelessness, incorrect maintenance, lubrication or
operation, or any unauthorized modification; The seller will not guarantee the quality of
the machines or other goods souring from other supplier at the request of the buyer.
After-sale service center 24 hours hot line to solve difficulty the buyer maybe
encounter.
