Dear Sir,
We are pleased to attach herewith offer our best commercial and technical proposals for Solar Photo
Voltaic Power Plant (GRID-TIE Type) of 5 KW Capacity with 5 KVA Grid-Tie PCU for synchronizing the
generated power with the KSEB System and feeding back the same to to the grid through the Bi-Directional
Meter.
This proposal is prepared for design, supply and Installation of a 5 Kwp (Solar Array Capacity ) Grid-Tie SPV
Plant at your premises. Output of this power plant will be connected and synchronized with the KSEB
Power grid. The existing transmission line will keep feeding the power from Grid to the connected load.
And, the proposed SPV Power Plant consisting of 5 Kwp Solar Panels, generating a Peak Power of 5 KW will
be converted into AC Output compatible with the KSEB Grid and will be fed back to it. The proposed SPV
power plant would require 290 sq. ft. of shade free rooftop. In case of KSEB Power failure/ Power cuts,
the SPV PCU will shut down and discontinue the supply of power to the Grid.

3 .ABOUT THE PROJECT
Photovoltaic (PV) is a method of generating electricity by converting solar radiation into direct current using
semiconductors that exhibit the photovoltaic effect. Photovoltaic systems (PV system) use Solar Panels to
convert sunlight into electricity. Another important component in PV Power Plant is the Inverter or Power
Conditioning Unit (PCU). The PCU converts the DC power produced by the PV array into AC power.

8. PAYMENT TERMS
60 % ( Sixty Percentage ) Order Value as Project Order Advance along with your Order Confirmation
30 % ( Thirty Percentage ) Order Value upon delivery of materials to your site and
10 % ( Ten Percentage ) Balance Order Value upon completion of Installation, testing and
commissioning. In the case of On Grid Solar Systems, the balance 10% Payment needs to be paid
immediately upon completion of Installation & Our Internal Testing of the system as the KSEB
Inspection and Commissioning are usually taking more time due to procedural delays. However,
we will ensure that all necessary support will be extended to you when the KSEB Team visits your
facility for smooth commissioning of the Project.
This offer is valid for a period of 1 week from this proposal date
9. OTHER CONDITIONS
Requirements at Site: (Pre/ Post Installation)
Customer will provide a closed Safe & Secured Indoor Area of reasonable size at Site for the
storage of Goods, Tools and Equipments required for the Installation of the System
Safe and Covered space for the PCU at close vicinity of SPV Panels to be provided by the client.
Shortest cable route will be identified by our installation team from the inverter to the LT Panel,
which needs to be approved by the client.
Access for connection to the existing LT panel has to be provided by the client.
Payment
All prices are firm unless otherwise agreed in writing. FURBO reserves the right to change the prices and
specifications of its products offered at any time, without notice, after the validity of the offer. Payments
as per schedule must be paid as per agreed terms.
Delivery
Delivery of materials (excluding panels and inverters) shall be made to the site based on the requirement
of the project from time to time.
Cancellation
If the Customer requests that an order for products or services that has already placed with FURBO to be
cancelled and if FURBO agrees to accept any such cancellation, Client shall be liable to FURBO for all costs
incurred by FURBO as a result of such cancellation, including but not limited to, cancellation costs to
suppliers and unreimbursed advances on goods, if any, together with any specifically identifiable incidental
and consequential expenses.

PROJECT COMPLETION: Within 3-4 Working Weeks after receipt of your Firm Project Order along with
Advance Payment as above and Final Acceptance of our Installation Design and/or Drawings. It is of utmost
importance that the Work Site must be kept ready for the proper and smooth installation activities of our
systems for timely completion of the Project
Third Party Testing : In the event of KSEB Inspection Team raise any objection about the Harmonics Levels
in the Output of the Solar Plant, then, we will be forced to conduct a Test by engaging a Third Party Testing
Agency - So, in the event of any such issue, you will be required to pay an Additional Amount of Rs. 10,000/-
Plus 18 % GST towards the Third Party Testing Fee, over and above the Project Cost. This Third Party
Testing Fee is NOT included in our Project Cost.
Warranty
Scope of warranty
During the warranty period, we undertake to repair or replace, as the necessity may be and as quickly as
possible, any parts that are demonstrably damaged or unusable as a result of poor quality materials,
defective design or incorrect execution.
If a substantial defect is present for which we are responsible, we shall arrange to repair it or replace the
defective part with a new part, at our cost, as soon as possible.
Our warranty shall be null and void should you or any other third party carry out inappropriate
modifications or repairs, should you fail to immediately use your best endeavours to prevent any damages,
or fail to inform us immediately to enable us direct you suitably about the course of action and rectify the
defect, once it has occurred.
Any damages that may arise for which we are not responsible, such as natural wear and tear, defective
servicing, disregard of operating instructions, excessive loading, usage of non-suitable equipments,
chemicals, electrolytic or electronic accessories, maintenance work that has not been carried out by us,
etc., shall be excluded from the warranty and liability.
System Performance
The above mentioned power generation & system performance are software generated under STC and
subject to change with respect to the actual site conditions.

Service
We shall invoice you nominally for all our services after the warranty period of the system. Any other
agreements like AMC shall only be binding, if it has been made in writing and mutually agreed.
Schedule Contingencies
Conditions or events beyond the control of FURBO may jeopardize the proposed performance schedules.
FURBO shall not be responsible for delays in delivery beyond FURBO’s control. Examples of conditions or
events beyond FURBO’s control include a change in the CLIENT Side Personnel working on the project or
our inability to access the Primary Contact Personnel or Site location.
Governing Law
Any and all claims relating to this proposal or any services provided by us will be construed in accordance
with and will be governed by the laws in force in Kochi, Kerala, India. You irrevocably submit to and accept
the exclusive jurisdiction of the Courts of Kerala, India.
Force Majeure
FURBO is not liable for failure to perform our obligations if such failure is as a result of Acts of God (including
fire, flood, earthquake, storm, hurricane, pandemics or other natural disasters ), war, invasion, act of
foreign enemies, hostilities ( regardless of whether war is declared or not ), civil war, rebellion, revolution,
insurrection, military or usurped power or confiscation, terrorist activities, nationalization, government
sanction, blockage, embargo, labour dispute, strike, lockout or interruption or failure of electricity or
telephone service, etc.
FURBO will provide Non-comprehensive O & M Services to Customer for a nominal fee per annum ( After
warranty Period ) to ensure that the Solar power plant is operating at its optimal performance. The scope
of our services will include: For 1st year AMC will be free

GENERAL TERMS:
Free & Easy access for our vehicle ( Mini Van Passage ) and installation persons to be provided to
the Project Site.
Project Site must be kept ready for installation in all respect before commencement of installation.
It is the client’s responsibility to provide AC-IN and LOADS-OUT cabling to the solar inverter point.
Kindly note that the isolated cabling should be free of earth drops, neutral leakages or Power load
leakages. Any damage caused to the inverter due to surge or over load from improper wiring
requiring replacement will be charged extra and will not be covered under warranty
Any activities like Ducting, Masonry Work and/or other Civil/Mechanical work which are NOT in our
scope and NOT included in our Proposal, which if come across as necessary at any time during our
System Installation needs to be taken care and made available by the client.
AC cables to the loads from inverter are not included in the offer.
Permissions required, if any, from the Landlord / Owner of the building needs to be made
available, as and when necessary.
It is highly recommended to have a Single Point of Contact at your end for better clarity and ease
of project handling and execution.
