• Compensa on and Benefits:

 A er commencement with the company as an employee, you shall be compensated the

salary of Rs. 3,20,040/- Annum all inclusive. You will be responsible for your own taxes
(TDS). The pay will be processed monthly and is paid on or before the 3rd of the month.
 Income Tax (TDS) Applicable
 Salary will be calculated as per the Project Manager approved mesheet.

• Discre onary Benefits:

You may be eligible to par cipate in an incen ve or bonus plan applicable to your posi on, as
operated by the company from me to me. Your eligibility to par cipate in any such plan and
your en tlement to any compensa on under such plan will be governed by applicable law, the
terms of the plan and applicable company policy as established from me to me.

You acknowledge any compensa on payable under such plan shall be at the absolute discre on
of the company and you agree that as a condi on of par cipa ng in any such plan that you will
not make and do not have, any legal claim to expect or be en tled to a payment, even if such
payment was made repeatedly and without any explicit acknowledgment on each occasion as
to its voluntary and/or discre onary nature.

The company reserves the right, among other things, to amend, replace or withdraw at any
me at its discre on any sales commission, incen ve or bonus plan in which you par cipate.

• Place of Work:

You will be posted at our Hyderabad office. Your services are transferable to any place in India
or abroad, at the company’s discre on.

• Repor ng:

Your employment is intended to commence not later than above specified date failing which
this offer of employment will automa cally stand withdrawn. On the commencement Date, you
are requested to report at the Bengaluru office address at 9 AM.

• Proba on:

You will be on proba on for a period of 6 months from the commencement Date. The
proba onary period can be extended further if your performance / conduct is found not
sa sfactory, at the company’s sole discre on. You will con nue to be on proba on un l
confirmed in wri ng by management.

• Abandonment:

Your Employment with the Company will be valid ll you a ain the age of 58 years subject to
sa sfactory performance and conduct. Your services are terminable by giving a month’s wri en
no ce on either side except in cases of gross misconduct or non-performance. In case your
no ce of resigna on or the Company’s no ce of termina on falls short of the required no ce
period, the Company shall recover/pay the propor onate amount of shor all in the period as
applicable. In cases of gross misconduct or non-performance, the Company reserves the right
to terminate your services without no ce and no dues will be payable to you. Any unauthorized
absence from work for a con nuous period of 10 days (including absence upon leave applied
for but not granted), shall automa cally terminate your employment without any no ce
obliga on on the company.

• Full me employment:

You shall, during your employment with the company, devote the whole of your me and
a en on to the company’s business entrusted to you and you shall not engage yourself directly
or indirectly in any business and service other than company’s business and service unless with
prior wri en permission of the company.

• Declared Holidays:

There will be 10 holidays in a year as per the holiday list issued by the company from me to
me.

• Confiden ality:

As part of your employment, you will acquire or develop confiden al and proprietary
informa on concerning the company and its dealings and methods of dealings, and you also
will develop rela onships of special trust and confidence with the Company’s customers (and
their end-user) and the employees (collec vely, “Confiden al Ma er”). Upon the conclusion of
your employment, you will promptly return all documents and informa on (including computer
generated or stored ma ers) concerning the Company or its customers (and their end-users) or
employees and also all personal property of the Company (i.e., laptop, pager, etc.).

• Non-Compe on and Non-Solicita on:

During the period un l one year following the termina on of your employment for whatever
reason (which me shall be extended by the length of me during which you are in viola on of
this paragraph), you shall not directly or indirectly solicit the business of) or otherwise deal in
a manner adverse to the Company) or provide any so ware engineering. consul ng or
programming service to, the customers or end-user of customers of the company for which you
provided services or were associated prior to your termina on, nor directly or indirectly solicit

the services of (or otherwise deal in a Manner adverse to the Company with) any employee of
the Company or induce such an employee to terminate his or her employment.

• En re Agreement:

This Agreement and any Addendum a ached represent the en re agreement of the par es and
supersede all prior statements, discussions and understanding and may be amended only by
the wri ng signed by both par es. The terms of this Agreement and its Addenda shall be
applied as wri en and if necessary, shall be deemed modified as necessary so as to render them
valid and enforceable to the fullest extent permissible by applicable law.

• Reference or background checks:

This offer of employment and any consequent employment rela onship is con ngent upon
sa sfactory reference and/or criminal records checks as well as verifica on of your employment
and salary history. Any false informa on provided by you or at your request may result in
immediate termina on of your employment with no compensa on to you.

This offer le er sets forth the terms of your employment with the Company and supersedes

agreement between you and the company with respect to your employment and you
acknowledge that no other representa ons were made to you concerning your employment at
the company.

The terms of this offer le er may only be changed in a wri en document signed by you and an
authorized officer of the company.
