MEMORANDUM OF ASSOCIATION

1. Name of the Association: The name of the society shall be "Governance And
Economic Motivators ofBihar."

i. Registered Office: The Registered Office of the Society shall be situated in the
National Capital Territory of Delhi. At present it is located at:
First Floor, KH No. 137/16/2 & 17/1/2 20/10,
A-1, Block, Rani Public School Wali Gali, Sant Nagar, Burari, Delhi- 110084.

3. Area of Operation: The area of operation shall be All Over India.

4. Aims and objects of the Association: The aims and objects of the Society are
as under: -
(i) To act for the welfare and development of weaker section of the society in all
areas especially in health, education, sanitation, cleanness, lifestyle and all

(v) To support the government(s) in the field of educational research, law and
order, finance, industry, education, schools, universities, social welfare and
allied activities which shall be deemed necessary.

(vi) To assist the farmers and facilitate them to get proper storage of the food
grains, vegetables, fruits and other agricultural products produced, to assist in
establishing, running and maintaining the commercial activities by way of
Companies, producer companies, co-operative societies, cooperative banks,
credit societies, housing societies, retail stores, chain stores, online-offline
marketing, which will help the residents financially and economically.

(vii) To arrange and facilitate the training institutions in Typing, Shorthand,


Computer, Fine Arts, Crafts, Music, Painting, Modelling, Dancing, Yoga,
Physical Education and other Professional Training subjects on the different
levels relating to education including literacy, cultural and other social
activities by awareness programme, adult education classes, lectures, essay
competitions, exhibitions, symposiums, cultural programme, press conference
and seminars and to encourage, employ or hire appropriate staff workers, legal
experts and other professionals, attorneys, managers and agents for the work
and furtherance of the aims and objects of the Association and to pay their
wages, salaries, stipends or fees.

(xiii) To provide food, clothes, medical aid, stationery, transportation, Libraries,


Laboratories, reading rooms, hostels, play grounds, swimming pool and other
possible facilities to the needy students and also to the members of the
Association as required.

(ix) To encourage, employ or hire appropriate staff workers, legal experts and
other professionals, attorneys, managers and agents for the work and
furtherance of the aims and objects of the Association and to pay their wages,
salaries, stipends or fees.

(x) To purchase/acquire the land and/or the building in the name of the
Association and to construct the centers for above mention activities and also
promotion of cultural places, temples and dharamsala and to do such other
things/acts/activities which are necessary and which may be incidental or
conducive to the attainment of any of the object of the Association.

(xi) All the incomes, earnings, movable/immovable properties of the Association


shall be utilized and applied towards the promotion of its aims and objects only
as set forth in the Memorandum of Association of the Association and no profit
there of shall be paid or transferred directly or indirectly by way of dividends,
bonus, profits or in any manner whatsoever to the present or the past members
of the Association or to any person claiming through any or more of the present
or the past members. No member of the Association shall have any personal
claim on any movable or immovable properties of the Association or to make
any profits, whatsoever, by virtue of his membership.

RULES AND REGULATIONS
OF
GOVERNANCE AND ECONOMIC MOTIVATORS OF BIHAR

Name of the Society: - The name of the Society is "Governance and Economic
Motivators ofBihar."

MEMBERSHIP
1. Definition of a member: - The membership of the Association is open to all
persons who is a member of the Institute of Chartered Accountants of India,
Institute of Company Secretaries of India and Institute of Cost Accountants of India.
Any person, whose is an Associate, Fellow or Licentiate member and follow the rules
and regulations of the Association, can become a member of the Association. Any
person may be enrolled after having filled the prescribed form along with the
applicable fee in this behalf and attaining approval from the Governing Body of the
Association.
Name: Name of the Society shall be "Governance and Economic Motivators of
Bihar".

1. MEMBERSHIP
The membership of the Association is open to all persons having their native place in
Bihar and is a member of The Institute of Chartered Accountants of India or The
Institute of Company Secretaries of India or The Institute of Cost Accountants of
India. Any person, whose is an Associate, Fellow or Licentiate member and follow
the rules and regulations of the Association, can become a member of the
Association. Any person may be enrolled after having filled the prescribed form
along with the applicable fee in this behalf and attaining approval from the
Governing Body of the Association. If the membership is refused to a certain person
or persons, the reason for refusal shall be communicated to the person concerned.

2. SUBSCRIPTION
The Admission Fee and Annual Subscription at the time of admission of Member
and annual renewal per annum shall be Rs. 555/- or as may be prescribed by the
Governing Council from time to time.

3. TERMINATION OF MEMBER
i) On the person's death.
ii) If prescribed annual subscription is not paid within three months of the due
date.

iii) If a member works against the aims and objectives of the Association as laid
downinMOA.
iv) If the member tenders his/her resignation.
v) If the member fails to attend Three consecutive General Body Meetings without
intimating the Association.
vi) If any member has been found undisciplined or guilty of any other activity, not
mentioned in MOA or bye-laws and approved for disqualification by three-fifth
members of the General Body of the Association.
vii) If adjudged by any court of law to be a criminal offender.
viii) If found to be involved in any anti-social activities.
ix) On Mental retardation of the member
x) Members found to be involved in a case of Moral Turpitude.

NOTE: The decision of the Governing Body regarding the termination from the
Membership of the Association shall be communicated to the member concerned by
ordinary post. Any member, expelled by the Association on any grounds mentioned
above, shall have a right to appeal before the General Body, which may or may not
be accepted.

4.APPEALS
'! All the appeals should be referred to the Governing Body. The decision of the
Governing Body shall be final. The reasons for rejection shall be communicated to
the person concerned.

5. RE-ADMISSION
In case a member is expelled by the Governing Body, the same can be readmitted
provided the member pays up all the dues to the society. However, the decision of
the Governing Body shall be final.

6. RIGHT AND DUTIES OF THE MEMBERS


The RIGHT of the Members of Association are as under:
i). Participate in the General Body Meeting,
ii) A member will have the right to vote in favour or against of election of any post
of the Governing Body.
iii) A member can introduce or second any member's name for the election of
governing body.
iv) A member can introduce or second any resolution in the General Body with the
permission of President.
v) A member can vote in favour or against any resolution according to his own will
in general assembly.
vi) A member can contest election for any post of the governing body, if a member
introduces his name and another member seconds him for the said purpose.
vii) A member can inspect the records of the Association with prior approval of the
General Body,
viii)A member can challenge for any irregularity in the accounts and other records of
the Association and can refer it to the president.
ix) Participate in functions, cultural and social get-together as and when

DUTIES of the Members of Association are as under:
i) A member shall give the necessary information to the Association, pertaining to
any matter which is necessary to be known by the Association,
ii) A member shall not indulge in activities which are prejudicial to the aims and
Objects and I or the Rules & Regulations of the Association.

7. GENERAL BODY
There shall be a General Body of the society consisting of all the members. The
meeting of the General Body shall be held at least once every year with 2/8rd
-quor\HR.- ~at'ge-Ilt~etin~~f the- General Body may also be summoned on the
written request of 3/4th members, with 21 days prior notice for such meetings. The
notice period of the general meeting of the General Body shall be 21 days. The
following business programs shall be transacted in these meetings:-

i. To prepare annual programs and policies;


ii. To discuss and decide all such matters and issues which are directly or
indirectly related to the affairs of the society;
ni. To pass annual budget of the society;
iv. To appoint a qualified auditor for conducting annual audit of the society; and
v. To consider any other business brought forward by the Governing Body.

8. GOVERNING BODY
The management of the affairs of the Association shall vest in the Governing Body
consisting of the following:-
i. President : One
11. Vice President : One
iii. General Secretary : One
IV. Treasurer : One
v. Secretary : One
vi. Auditors : One
vii. Executive Members : Three

9. BANK ACCOUNT
The bank account of the Association shall be operated by the President, General
Secretary and Treasurer jointly or severely, as may be decided by the Governing
Body.

10. FUNCTIONS OF GOVERNING BODY


i. To consider any business brought before the Governing Body; and
ii. There shall be meeting of the Governing Body once in Three months.

11. SOURCE OF INCOME


The fund of the society shall consist of:-
i. Admission fee;
ii. Capital fund;
iii. Donations and Gifts;
iv. Subscription and donation from members;

12.GOVERNING BODY
The Governing Body's strength shall not be less than 9 & not more than 21. The
members of the Governing Body shall hold the office for Two years. The meeting of
the Governing Body shall be held as and when necessary, for which seven days
notice will be required and the Quorum shall be 2/3rd.

13.ELECTION & QUORUM


The General Body in its Annual General Meeting will elect all the Office Bearers in
the Annual General Meeting every year by secret ballot or by raising of hand. The
quorum of the General Body & Governing Body Meetings shall be 2/3rd.

14.MANAGEMENT OF FUNDS
All the income of the Association shall be deposited in the designated Bank.

15.POWERS & DUTIES OF THE OFFICE BEARERS:-


a) PRESIDENT
He/she will be the head of the society & preside over the meeting of the General
Body & Governing Body. He /she will have the right of casting vote in the case of tie.

b) VICE PRESIDENT
In the absence of President, the Vice President shall enjoy all powers which are
entrusted to the President.

c) GENERAL SECRETARY
The powers of the Secretary shall be as under:-
i) To sign on behalf of the society & to conduct its correspondence & record the
proceedings of meeting.
ii) To summon & attend the meeting of General Body.
iii) To call ordinary general meeting, if desired, on written request of at least 1/lOth
members.

d) TREASURER
He/she shall keep accounts of all receipts & expenditures of the society and to
furnish necessary information to the Governing Body. He/she will keep with him/her
Rs. 10000/- (Rupees Ten Thousand only) and the balance account will be deposited in
the bank I post office etc. as decided by the Governing Body.

16.AUDIT

The Account of the Association shall be audited at least once a year by an auditor
' appointed by the Governing Body.

l' 17.FINANCIAL YEAR


The Financial Year of the Association shall be from 1st day of the April to 31st day
of the March every year.

18.TENURE
The tenure of the Governing Body shall be Two years.

20. LEGAL PROCEEDINGS
The society may sue or be sued in the name of the President as per provision laid
down under Section 6 of the Society Registration Act, 1860 as applicable to the
National Capital Territory of Delhi.

21. ANNUAL LIST OF GOVERNING BODY


Once in every year a list of the office bearers & member of the Governing Body shall
be filed with the Registrar of Societies, Delhi as required under Section 4 of the
Societies Registration Act, 1860 as applicable to the National Capital Territory of
Delhi.

22.DISSOLUTION
If the society needs to be dissolved, it shall be dissolved as per provisions laid down
under Section 13 & 14 of the Societies Registration Act of 1860 as applicable to the
National Capital Territory of Delhi.

23. APPLICABILITY OF THE ACT


All the provisions under all the sections of the Societies Registration Act, 1860, as
applicable to the National Capital Territory of Delhi, shall apply to this society.

24.ESSENTIAL CERTIFICATE
Certified that this is the correct copy of the Rules and Regulations of the Society.
