LEASE AGREEMENT
BETWEEN
ROBIN DAYWELL
AND
INFINITY ESTORE
BETWEEN
ROBIN DAYWELL of P. O. Box 40831 DARESALAAM (Hereinafter to be referred to as a
“lessor” expression of which shall, where the context so permits include assigns,
executors and other successors in title) on one hand.
AND
INFINITY ESTORE a Business incorporated in Tanzania under the Companies Act (CAP.
212, Act No. 12 of 2002) located at sinza madukani,(Hereinafter to be referred to as a
“lessee” expression of which shall, where the context so permits include assigns,
executors and other successors in tittle) on the other hand.
WHEREAS the lessor is the holder in respect of the premises located at Samora Tower,
Basement Office No. 4; and the lessee has seen the premises and is ready Lease the
same.
NOW WHEREFORE this agreement is WITNESSETH as hereunder: -
1. PREMISES
The premises subject to the lease is at sinza madukani with approximately 10
square meters located at sinza madukani (hereinafter to be referred as “the
Premises”). The premise is fully furnished.
2. LEASE
2.1 lessor entered into a Lease Agreement for the rent and use of the premises.
lessor represents to lessee that the Original Lease is in full force and effect
that no default exists on part of any party to the Original lease.
2.2 This lease is subordinate to and will be at all times subject to the Original
Lease. The Original Lease is hereby incorporated by reference.
3. AGREEMENT TO LEASE
lessor agrees to Lease and lessee hereby agrees to permantely accept from lessor for
the term specified below, and upon all conditions set forth herein, that portion of
lessor’s interest in the premises, including improvements.
4. TERM OF LEASE
4.1 lessor leases the premises to lessee for a term of two years, effective from
23th April 2025 and ending on 23 April 2027 (the “Term”).
4.2 The term may be renewed at the discretion of the lessor on similar or
different terms and conditions. lessor is not bond to renew this agreement.
lessor may decide otherwise at its discretion and is not bound to give
reasons of its refusal to renew the agreement.
4.3 This lease may be terminated before the expiration of its period by lessee
provided that three Months prior Notice shall be issued to lessor; and lessor
may terminate the same upon issuing a three Months’ Notice to lessee.
4.4 Where this Lease agreement comes to an end by whichever way and lessee
continue to stay in the premises, his stay shall be at the will of lessor. In this
case lessor shall be at liberty to take any action against lessee including
evicting lessee from the premises without Notice.
5. LANDLORD APPROVAL
In the event that the Original lease requires the approval of landlord prior to any
sub-letting of the Premises by Sub-lessor, then the validity of this Sub-lease is
subject to securing the approval of Landlord. Sub-lessor shall supply Sub-lessee a
copy of Landlord’s written approval at least seven days prior to the start date of the
Term. Should Sub-lessor fail to secure approval of this Sub-lease by Landlord prior
such date, this Sub-Lease shall be null and void.
6. RENT
6.1 lessor leases the premises at a rate of fifty thousand Tanzania Shillings
(50,000/=) per month.
6.2 Upon signing of this agreement, lessee shall pay to lessor a sum of one fifty
thousand Tanzania Shillings (Tsh.150,000/=) being Three Month rent of
the Lease and subsequent rents thereof shall be payable three months in
advance.
6.3 lessee shall be responsible to pay for costs of the agreement including Stamp
duty.
6.4 lessor will be responsible for paying the rent on the Original Lease to the
Landlord.
7. UTILITIES.
lessee is responsible for payment of all utility and other services for the Premises for
the Term.
8. BREACH OF CONDITIONS
8.1 If the rent agreed or any part thereof shall, at any time remain unpaid for one
month, after becoming payable (whether formally demanded or not) or if at
any time thereafter Sub-lessee is in breach of any condition referred in this
agreement, Sub-lessor shall have the right to enter and take possession of
the premises or any part thereof and, upon such entry the lease shall be
terminated absolutely.
8.2 If lessee is in breach of any conditions referred to in this agreement and
lessor having issued a reasonable notice of rectification of such default
fails to rectify such default, lessor shall enter the premises or any part
thereof and upon such entry the lease shall be terminated absolutely.
8.3 Without prejudice to the right of the parties provided herein, termination of
this agreement shall not affect any right of either party which shall have
accrued at the time of termination.
9. NOTICES
Any Notice or communication required or permitted to be given or made under this
agreement to any party must be in writing.
10. DISPUTE RESOLUTION
In the event of any dispute relating to this agreement, lessor and lessee will make
every effort to resolve amicably by informal negotiation, and upon failure of
negotiations the dispute shall be referred before the court of competent jurisdiction.
