THIS SUPPLEMENTARY PARTNERSHIP AGREEMENT is made at
Gurgaon on this 04TH November, 2022:

(1) Mrs Sonia Sharma, D/o Ramesh Sharma, R/o House No 355/97,
Street No 16A, Ashok Vihar, Gurgaon 122001 (which expression
shall, unless it be repugnant to the context or meaning thereof, be
deemed to mean and include his heirs, executors and administrators)
of the party of the First Part

(2) Mr. Sandeep Kumar Mishra S/o Mr Pramod Kumar Mishra R/o House
No 26, Gali No 7, Near Chotu Ram Chowk, Ashok Vihar, Part 3, East
Gurgaon 122001 India (which expression shall, unless it be repugnant
to the context or meaning thereof, be deemed to mean and include his
heirs, executors and administrators) of the party of the Second Part
(3) Ms. Rambha Singh D/o Mr Jaymangal Singh, Aged 37 Years, R/o
141/452A, Shivji Park, Gurgaon 122001 India (which expression shall,
unless it be repugnant to the context or meaning thereof, be deemed to
mean and include his heirs, executors and administrators) of the party
of the Third Part
(4) Mr. Ramdev Singh Bijarniya S/o Mr Pusa Ram Bijarniya, Aged 56
Years, R/o Bijarniya Ki Dhani, Singrawat, Sikar, Rajasthan 332030

context or meaning thereof, be deemed to mean and include his heirs,
executors and administrators) of the party of the Fourth Part
(Here-in-after collectively referred to as partners and individually as partner)
WHEREAS:
The First Party and Second Party are carrying on the business in India or
elsewhere, either alone or jointly with one or more persons, government,
local or other bodies, the business manufacturing, trading, sale of home
finishing items & textile items under the name and style of SONISA
CREATIONS (hereinafter referred to as “the FIRM”) , having its registered
office at 26,GALI NO. 7,ASHOK VIHAR PART 3, Gurgaon Haryana 122001.
(a) in terms of the Partnership Agreement, Dated 14.07.2021 under the
provisions of Indian Partnership Act, 1932.

(b) The Third party AND The Fourth party have expressed his desire to join
the firm.
(c) The Second Party has given notice in writing to the firm of her desire to
retire from the said FIRM after execution of this Supplementary FIRM
Agreement.
(d) The Partners have discussed and mutually agreed for the admission of the
Third party and Fourth Party as Designated Partner/Partner in the FIRM
and retirement of Second Party as Designated Partners/Partners from the
FIRM as per the terms and conditions stated herein below:
NOW THIS DEED WITHNESSETH AS FOLLLOWS:
1. SUPPLEMENTARY DEED
That this Agreement is supplement to the Limited Liability Partnership
Agreement dated 14.07.2021.
2. ADMISSION OF NEW DESIGNATED PARTNERS/ PARTNERS
That the Third party and Fourth Party shall be admitted as Designated
Partner/partner in the FIRM from the date of this Supplementary
Partnership Agreement.
3. RETIREMENT OF DESIGNATED PARTNERS/ PARTNERS
That the second Party shall be retired as Partner/partner from the FIRM
after execution of this Supplementary FIRM Agreement.
4. PARTNERS CONTRIBUTION AND PROFIT SHARING

That the Capital of the FIRM shall be remain same as Rs. 1,00,000/- (Rs.
One Lacs Only), the Second Party shall withdraw his entire capital
contribution of Rs. 50,000/-, the First Part shall withdraw capital of
Rs16,000/- and the Third and fourth Party shall contribute a sum of Rs.
33,000/- each towards the capital contribution of the FIRM. The Capital
may be increased or reduced from time to time in the same proportionate
or as may be mutually agreed upon between the Partners from time to
time.
The Partners of the FIRM shall be entitled to share profit and losses in the
proportion mentioned herein below or any other proportion with the
consent of all the designated partners.

5. TERMS AND CONDITIONS
That from the date hereof, the said First Party, Third Party & Fourth Party
shall be designated partners/partners subject to the terms and conditions
of the Partnership Agreement, dated 14.07.2021, except in so far as the
same are varied by this Supplementary Partnership Agreement.

6. AMOUNT DUE TO SECOND PARTY
That the Second Party confirms that as a result of account being taken,
there are no dues payable to him in lieu of capital, right, title and interest in
the FIRM business including its assets and goodwill and he has no other
claims against the FIRM and its partners.
