Agreement Contract

Dear

With reference to our subsequent discussion, we are pleased to appoint you as agriculture
surveyor on retainer ship basis for Rabi season 2024-25

The following are the terms and conditions:

1. The payment for CCE / Localised Survey / CHM / Driage will be paid to you on weekly/
monthly on the basis of data availability as per MIS/ web portal data. Final settlement of the
amount would be paid after the data has been validated at QC Level along with all the
CCE/Localised survey/CHM forms submitted to the company.
2. District / Tehsil coordinator will be your reporting authority.
3. The entire CCE / Localised survey / CHM / Driage will be performed through mobile
application developed by the company.
4. You will have to install the mobile application in your smartphone and use the app for the
activity as directed.
5. Company will not provide any mobile, or money as loan for smart phone.
6. You will be provided training for CCE / Localised survey / CHM/ Driage through App before
assigning your area to you.
7. You need to submit your identity proof, address proof, Permanent Account Number (PNA), a
passport size photograph and bank account details to the company. In absence of any, the
agreement will be invalid.
8. All payments made to you would be subject to Income tax deduction at source as per
Income Tax Act, 1961.
9. Your agreement will be valid for 6 Months or till the completion of allocated work
(CCE/Localised Survey/CHM) or it may be extended/ Curtail in special case by the authority.
10. Independent Relationship: Your relationship with the company will be that of an independent
contractor, and nothing in this agreement is intended to, or should be construed to, create a
partnership, agency, joint venture, or employment relationship.
11. Terms of Agreement: Either party may cancel this agreement on fifteen (15) days’ notice to
the other party in writing, by certified mail or personal delivery. However, no fee need be paid
in case termination of your services is on grounds of dishonesty, misconduct and violation.
12. Confidentiality: As a retainer you will clearly understand that this agreement is in utmost good
faith and that during the operation of this agreement, various confidential information relating
to the Company/ Group Companies and various projects shall be passed on to you. You also
undertake to keep such information strictly confidential and that you shall not divulge the same
to anybody else. You agree that you will enter into a Non-Disclosure Agreement with the
Company as per the Company policy.
13. Ownership of Work Product: Retainer agrees that all work product developed by him/her
alone or in conjunction with others in connection with the performance of services pursuant to
this agreement is and shall be the sole property of the company, and retainer shall retain no
ownership, interest, or rights therein. Work product includes but is not limited to reports, graphics,
data, service, and other work-related activities.
14. Miscellaneous: During the period of engagement, you shall not act in any way prejudicial to
the interest of the Company/ Group Companies. You shall not represent as the Representative/
Agent of the Company/Group Companies to any third parties, and shall not make any
commitments whatsoever in the name of the Company or its Group Companies unless specially
authorized to do so by the Company in writing.
15. Severability: If any provision of this agreement is held by a court of law to be illegal, invalid,
or unenforceable, (a) that provision shall be deemed amended to achieve as nearly as possible
the same economic effect as the original provision, and (b) the legality, validity, and
enforceability of the remaining provision of this agreement shall not be affected or impaired
thereby.
16. Payment terms: Payment for relevant work done by you would be made on a weekly/
monthly basis subject to the completion of work. The final payment would be made at the end
of the season/after completion of work/submission of all relevant documents as specified in para
2 above.
17. Penalty: During the period of this Retainership, you shall ensure uninterrupted CCE/Localised
survey/ CHM/ Driage and shall also ensure supply of the correct data/ images for your assigned
area. If it is found that any readings/ information/ data/ images provided by you is/ are fake or
duplicate, or is a copy of any data of a previous date, then in either one or more of such events,
the company will be entitled to the following course of action:
a) You will not be entitled for the payment for that particular CCE/Localised Survey/ CHM/
Driage and;
b) The company shall levy a penalty of Rs.1500/-(Rs one thousand five hundred only) for
each of such instance and some shall be deducted from the payment to be made to
you.
If the amount of penalty levied upon you is in excess of the amount payable to you at any
point of time, the same shall be recovered from you from any future payments payable to you
or else, you will be required to deposit such penalty amount with the company. The company
reserves its right to take such effective steps, as it may deem proper and expedient under the
circumstances, to recover the said penalty amount from you in such manner as it may consider
appropriate.If data is pending for more than two days from the agreed schedule, then the
company shall be entitled To deduct/ recover Rs.100 /- (Rs one hundred only) for each such
case of delayed delivery or synchronization of data.
18. Compliance Assurance: You will follow all rules and regulation of the company while
conducting the activities specified above and more particularly would be governed by laws of
Company and India relating to anti bribery rules, Anti-corruption rules and Anti Money
Laundering rules.
19. Legal Action: If you are found involved in any form of financial transactions or financial fraud,
an immediate First Information Report (FIR) will be filed, will be immediately filed, and stringent
legal proceedings will be initiated against you.
If you are willing to accept the terms and conditions of agreement, Kindly confirm your
