Subject: Offer of Employment
We are pleased to extend our intern cum offer of employment to you for the position of SW Engineer Trainee /
Associate SW Engineer with IINVSYS Private Limited ("Company").
You are required to acknowledge acceptance of this offer and attest that all information provided by you to
IINVSYS in relation to your employment with IINVSYS is accurate.
You are required to furnish your correct address to the Company. If there is change in the address. it should be
informed to the Company in writing, for official communications.

Training Period : 6 Months
Training Location : Puducherry
Trainee Period Compensation : ₹10,000/- (Monthly)
Full time Employment Compensation : ₹3,50,000/-
(Annual Compensation and it is subject to successful completion of
the six months Training period with satisfactory performance in the
training period evaluation)
Location for full time employment : Puducherry / Chennai
This offer of employment is conditional based upon the satisfactory results of pre-employment medical examination
and Background Verification.
The terms and conditions of your employment are as follows.
1. Employer
Your employer is the Company (i.e.) IINVSYS Private Limited.
2. Employment Start Date
Your Intern period /employment start date with the Company could be October 25, 2023. Pease note that, this
date is tentative and may subject to change. If there is any change in the start date, the same will be
communicated to you before October 25, 2023.
3. Trainee Period
During the first six months of training, you will be assigned project and product oriented learning activities in
combination with minor project activities. You will be evaluated very closely by your Team Lead and Manager
on your performance on weekly basis. If your performance is found satisfactory during the first six months of
training period, you will be given the opportunity to continue your employment with IINVSYS as Associate
SW Engineer.
If for whatever reason, if your performance is not found to be satisfactory, you will be given feedback and your
training period with IINVSYS may extended or your employment may be terminated.

4. Compensation & Benefit
Your monthly compensation during the trainee period is ₹10,000/-.
After successful completion of training with satisfactory performance, if your employment confirmed with
IINVSYS as Associate SW Engineer, then your annual compensation package is ₹ 3,50,000/- (Three Lakhs
and Fifty Thousand Only). In case you have any questions regarding your compensation, you may clarify the
same with the Company’s human resource team at the time of joining.
You will be eligible for annual leaves as per the rules and regulations and policies of the Company as in force
from time to time.
The Company will be offering a variety of benefits to assist you and your family, including leave time and
health care plans.
5. Hours of work
For the first twelve (12) months from the date of joining, your normal working hours of employment will
be 09.00 am to 6.00 pm from Monday to Saturday. After completing twelve (12) months of service,
subject to your performance, your normal working hours of employment may be changed to 09.00 am to
6.00 pm from Monday to Friday.
However, you will be required to work for additional hours or sometime during weekends in accordance with
the business requirements. Sometime based on the business needs, you may be required to work in shifts and
the working hours will be communicated to you accordingly.
6. Place of work
In the normal run of events you will be working in the Company’s offices. The Company reserves the right to
transfer you to any other location to its subsidiary, sister concerns or group companies either in India or abroad
as and when determined necessary by the Company from to time. Based on the requirements of the business
and operations on the Company, the Company also reserves the right to depute you to any client/customer
location either in India or abroad for a period of time, which the Company may determine as necessary. It is
hereby clarified that the terms of employment provided under this Appointment/Offer Letter continue to apply
during the period of such deputation in addition to any applicable rules/code of conduct which may be made
applicable by the relevant client/customer on you, during such deputation.
7. Other employment
During the period of your employment you will not be engaged in any other business or occupation or
participate in any activity that leads to or constitutes an actual or potential conflict of interest with your
employment with the Company.
8. Termination of Employment
i) You are required to give three (3) months prior notice to the Company if you wish to resign from the
services of the Company for any reason whatsoever and under any circumstances. The discretion to
accept pay in lieu of notice rest with the Company and you will be bound by any such decision of the
Company, which will be taken based on work exigencies and you therefore may be required to work
through the notice period.
ii) The Company reserves the right to recover from you the cost incurred by the Company in relation to any
specific expenditure such as relocation expenses, processing of visa/work permit or any specific training
given to you for an assignment where you are unable, for any reason, to fulfil your part of the obligation,
either to travel or complete your assignment.

iii) The Company has the right to discharge or terminate your services at any time, without assigning any
reason thereof, by giving three (3) month notice or three (3) month's salary (gross salary only) in lieu of
such notice period.
iv) During your training period, if you wish to leave the company, or after completion of the training then the
Company has right to recover from you the expenses incurred during the training.
v) If you resign the company within 24 months from the date of joining, you must pay the company the
hiring fee, training and other expenditure for a total of₹2,00,000/- [Two lakh] before you get relieved
from the company
vi) The Company reserves the right to terminate your services immediately without any notice, in the
following circumstances:
a) If you are found guilty of misconduct in connection with or affecting the business of the Company
or any Associated IINVSYS Companies. For the purpose of this offer/Appointment Letter,
“Associated IINVSYS Companies" will mean any company which: (i) is a holding company of the
Company, (ii) is a subsidiary of any such holding company or a Company subsidiary or a sister
concern;
b) If you are in breach of any provisions of this Appointment/offer Letter;
c) If you are convicted of any criminal offence (other than a traffic violation for which a fine is
imposed); or
d) In the event you are identified to be having any form of mental disability or if you are unable to
perform the duties assigned to you as part of your employment with the Company.
e) In the event of any non-performance of your employment duties as per the set organizational
expectations communicated from time to time to you during the, course of your employment with
the Company.
f) If any false information had been furnished by you to the Company at the time of accepting this
employment offer, which is discovered at any time by the Company during the course of
employment.
9. Non-Competition and Non-Solicitation
i) During your employment with the Company, and for a period of one year after the termination of your
employment with the Company or any of the IINVSYS Associated Company, you shall not (whether on
your own account or on behalf of any other person. firm, company or organization), within India or
abroad, take up employment with company engaged in similar professional services with whom you have
had business dealing in the year prior to your termination of employment.
ii) During your employment with the Company and for a period of one year from the cessation of your
employment with the Company (irrespective of the circumstances of, or the reasons for, the cessation)
you will not cause or attempt to cause or solicit, induce or encourage:
a) Any employee, consultant, agent or other representative of the Company to terminate their
employment or relationship with the Company or to accept employment with any competitor,
supplier or any customer with whom you may have a connection.
b) Any contractor, customer, supplier or vendor of the Company to move his existing business with the
Company to a third party or to terminate his business relationship with the Company.
c) Any existing employee to become associated with, or perform services of any type for any third
party;
d) Any prospective customer of the Company from whom you solicited business within the twelve (12)
months period immediately preceding the termination of your employment with the Company, to
move their existing business with the Company to a third party.
iii) You will not take employment directly or indirectly with any of the customer/associated parties you have
worked or have been working during your employment with IINVSYS within twelve (12) months period
immediately preceding the termination of your employment with the Company.

10. Company Property
i) All equipment, documents and other papers, computer and other disks, tapes or other software storage
media and all other property made or supplied relating to the business of the Company (and any copies of
the same whether made or located by you or otherwise), and all copies, prints, notes or extracts thereof
remains the property of the Company and you will return all such property immediately on demand and in
any event on the termination of your employment with the Company.
ii) Any products, services, developments or improvements to the administration, services or management of
the Company made by you or in conjunction with others during your employment will, at all times, be
deemed to be and remain the absolute property of the Company.
iii) All inventions, improvements and intellectual property, whether registrable, patentable, copyrightable or
not, pertaining to the business of the Company or relating to Company’s actual or demonstrable
anticipated research or development or inventions (collectively, “Inventions and Discoveries”) that result
from any work performed by you Solely or jointly with others for the Company or which you solely or
jointly with others conceive, develop, or reduce to practice during the course of your employment with
the Company are the sole and exclusive property of the Company. You will promptly disclose all such
matters to the Company and will, if required, assist the Company in obtaining legal protection for
Inventions and Discoveries. You hereby agree on behalf of yourself, your executors, legal representatives
and assignees that you will assign, transfer and convey to the Company the Inventions and Discoveries,
and take all actions and execute all documents as may be required at any time to perfect the Company's
rights and title to the Inventions and Discoveries as per the applicable laws.
11. Confidentiality
During your employment with the Company nor at any time afterwards (without limit), you will not divulge,
use or cause any unauthorized disclosure of any confidential information relating to the business of the
Company or any IINVSYS Associated Company, meaning any information which you are told or reasonably
determinable as confidential, including details of suppliers and clients and their terms of business, price lists,
marketing plans, sales forecasts, financial information .and any information which has been given to the
Company in confidence by Clients, suppliers or other persons.
i) All files, records and other documents in whatever format used or prepared by you during your
employment are the property of the Company and must on demand by the Company or on termination of
your employment be returned to the Company together with all copies thereof, before settling your dues
by the Company.
ii) You are required to execute separate agreements with adequate confidentiality provisions with the
Company whenever called upon by the Company to do so.
12. Conflicts of Interest
i) You are required to engage yourself exclusively in the work assigned by the Company and will not take
up any independent or individual assignments (whether the same is part time or full time, in an advisory
capacity or otherwise) directly or indirectly without the express written consent of the management.
ii) You will ensure that you will not, directly or indirectly, engage in any activity of have any interest in, or
perform any services for any person who is involved in activities, which are or will be in conflict with the
interests of the Company.
iii) You will not participate in any activity that constitutes an actual or potential conflict of interest with your
employment with the Company at any time during the course of your employment with the Company. For
the purpose of this Clause, "conflict of interest" will mean:
a) Any of your interests that create or has the potential to create a clash between your self- interest and
the Company’s interest and such clash undermines or has the potential to undermine your
impartiality; or

b) Any of your interests towards any third party that limits, either completely or partially, your ability
to discharge your responsibilities towards the Company; or
c) Any of your interest towards any third party that limits, creates or has the potential to create a loss
(whether pecuniary or otherwise) to the Company.
13. Variations
The Company reserves the right to make changes to the service conditions. Changes may be made from time to
time and will be communicated to you in writing or by email and same will be binding on you.
14. Definitions
The terms "holding company" and "subsidiary" will have the meanings respectively given by Section 2 (46)
and Section 2 (87) of the Companies Act., 2013.
15. Other Terms & Conditions
Any other terms and conditions which do not form part of this Appointment/Offer Letter will be governed by
the Company policy. You are required to abide by rules and regulations in existence at the time of employment
and changes made from time to time as communicated via group mails or documented policies, by the
Company.
16. Governing Law and jurisdiction
This Appointment Letter is governed by and will be construed in accordance with the laws of India. The courts
of competent jurisdiction at Chennai only will have exclusive jurisdiction over any and all disputes relating to
this Appointment/Offer Letter or performance there under.
Please sign and date the attached copy of this letter and return it by the above-mentioned date to signify your
acceptance to these terms and conditions of employment.
