Upon receipt ofa countersi gned copy ofthis agreement, and provided any outstandi ng
reporting
requirements resulting from this or previous FPOS grants have been satisfied; and a represent
ative ofthe
Grantee has registered with FPOS 's online Foundati on Connect system, FPOS will pay
the grant in
installments as requested.

1he Grantee has been determin ed to be the equivalen t ofan organiza tion exempt from :federal
income
taxes under Section 501(c)(3 ) of the Internal Revenue Code of 1986, as amended (the
"Code"), and not a
private :foundation or supportin g organiza tion as defined in Section 509 ofthe Code. By
signing this
agreement, the Grantee represents and warrants that there have been no changes in the
facts contained in
your Equivale ncy Determin ation Affidavit and agrees to give FPOS immedia te written
notice should any
ofthese facts change. FPOS is making this grant on the basis ofthese representations.

In addition, the Grantee agrees:

1. to use these funds solely fur religious, charitable, scientific, literary or education al
purposes
as defined by Section l 70(c)(2)( B) ofthe Code;

2. to maintain adequate :financial records consisten t with generally accepted accountin g

3. to send FPOS an annual report detailing the Grantee's activities and finances for each
whole
or partial calendar year in the grant period;

4. to allow FPOS to conduct site visits to observe, review, and discuss the Grantee' s
operations;
and

5. to allow FPOS, at its discretion, to publish informat ion regarding this grant and the
Grantee.
Ifthe Grantee :fails to use the grant funds fur the stated purpose ofthe grant or ifthe Grantee
fails to
provide FPOS with a full accounti ng and descripti on ofhow it spent the grant fimds, and
the Grantee does

not cure such :failure upon FPOS 's demand , FPOS will immedia tely stop fimding
the Grantee and may be
prohibit ed by law from awardin g the Grantee any addition al grants in the future.

Beyond the rights and obligati ons specific al]y stated in this letter, FPOS disclaim
s any legal right to
control or otherwi se influenc e the Grantee 's use of any funds provided pursuan
t to this agreeme nt.
Furtherm ore, it is express ly understo od that by making this grant FPOS has
no obligati on to provide
addition al :funding to the Grantee.

This is the entire agreerre nt between the Grantee and FPOS concern ing this
grant and may be rrodifie d
and waived only by a written agreeme nt between the Grantee and FPOS. The
Grantee acknow ledges that
it is not relying on any represen tation ofFPOS , except as set furth in this agreeme
nt, and that no
representations FPOS may have made in the past survive.

This agreerre nt is made subject, at all times, to FPOS's complia nce with
all applicab le laws and
regulations, which may impact grant processi ng and paymen ts.
